作为资讯科技供应商，ORION主要为客户提供电脑化维护管理软件 (Computerized Maintenance Management Software/CMMS) ，集中在产品开发、研发活动、市场营销和人力资源开发等几个关键领域。

CMMS是一个软件配套，主要用于维护客户的信息数据库，目的是帮助客户更有效率的进行维护工作，并帮助管理层作出明智的决定。例如，CMMS可判断及确定哪些机器需要维护，哪些数据库包含客户所需的备件。

自2013年以来，CMMS行业长期面临不少挑战，主要因为电脑化维护管理仍处于行业生命周期的初始阶段。作为软件供应商，ORION的产品功能对客户的有效性和可用性非常重要。然而，集团研发的CMMS解决方案在过去几年逐渐失去竞争优势，主要因为无法达到客户对更全面的解决方案的要求。换句话说，集团研发的产品已逐渐被市场淘汰。

因此，ORION的营业额在FY15和FY16连续2年呈现下滑。再加上赚幅低迷，这导致集团在过去4年皆蒙受亏损。雪上加霜的是，集团其中一项设计、供应、安装及维修电脑化存货管理系统的合约，在去年遭到终止，主要因为未能就系统规格达成一致。

ORION的转折点在于去年10月，建议以RM73m现金收购ASAP有限公司，并通过2配7比例发售新股和派送凭单来融资整个企业活动。ASAP是一家信息和通信技术解决方案供应商。其主要软件解决方案 – “ASAP资产和设施管理软件解决方案”与ORION提供的软件解决方案非常相似，均属于CMMS市场领域的一部分。

ASAP的解决方案涵盖各领域资产管理的整个生命周期，有助于管理、监控和维护企业的核心价值及资产。这解决方案适用于建筑物、机器等有形资产，也适用于知识产权和商誉等无形资产。此外，ASAP也提供其他软件解决方案，如应用程序和性能系统监视、服务台、合同管理和项目管理。

ORION和ASAP主要提供设施管理服务的软件解决方案；两者的不同之处在于ORION的客户以建筑承包商为主，而ASAP直接与资产拥有者合作。根据研究机构Protégé Associates，ORION和ASAP分别占有本地CMMS市场的3.5%和9.0%的市场份额。

这项收购将使ORION和ASAP能够探索利用彼此的技术、专业知识和客户。换句话说，集团将通过整合解决方案、扩大市场份额和客户网络来提高整体竞争力。此外，双方可在研发活动上使用相同的资源，以提高效率和节省成本，从而转化为更高的赚幅。

根据集团首席执行员Abdul Rani，ASAP目前手持RM11m的订单，可至少维持未来一年的业绩表现。同时，ASAP也正在招标20个项目，总金额约为RM11-1m，而竞标成功率为60-70%。

ASAP已经在印尼设立办事处，并计划在2018年进军菲律宾市场。随着越来越多的投资项目及资金涌入，这两个新兴国家往后将蓬勃发展。换句话说，印尼和菲律宾市场拥有很大的发展潜力。

这项收购已在今年8月完成，而集团将在FY17Q3起纳入ASAP的业绩表现。如无意外，ORION往后的盈利表现肯定将获得显著的改善。目前，ORION是大马最大的CMMS提供商，资产规模为RM78.3m。

在这之前，ORION本身的业务已失去竞争力，而且也不再成长。若非收购ASAP，恐怕未来一年的表现依然还是亏损。
