Felda not permitted to buy higher than 1.30 and therefore, those buyers above 1.30 range foresee either a revision of higher offer price OR should the privatisation fails, its share price is not worth only RM1.30 as seen before on 16/03/2021 when the MGO lapsed....

At this week price range, whoever wanted to sell have sold, those not selling aim for higher return. Next week political noises will reduce and eventually stabilised, by then the price likely will move upward...

If one to have a broader view, FELDA for sure will take FGV private in one way or the other. Few options available; one of it is to revise offer price...

Probably next date to watch out is 15/09/2021 ie 6 months from offer date lapsed..

Extension as expected, another 6 months until 03/02/2022, before Felda can make another new offer price.

We refer to the announcements dated 5 February 2021, 16 March 2021 and 24 March 2021 on FGV Holdings Berhad’s (“FGV” or “Company”) non-compliance with the public shareholding spread requirement pursuant to Paragraph 8.02(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“Public Spread Requirement”).



The Board of Directors of the Company wishes to announce that Bursa Securities, has vide its letter dated 4 August 2021, granted a further six-month extension until 3 February 2022, for the Company to comply with the Public Spread Requirement.



Based on the Record of Depositors, the public shareholding spread of the Company continued to decrease from 13.99% as at 19 March 2021 to 13.69% as at 30 June 2021. The Company is still in non-compliance with the public shareholding spread requirement.



As at the date of this announcement, the Company has yet to formulate a rectification plan to address the shortfall in the Public Spread Requirement.



The Company will make the necessary announcements in relation to the status of its effort to comply with the Public Spread Requirement.

Example -
Total shares hold by ES : 1,468,949,712
Assume, on EGM (virtual), total 1,000 ES registered to cast their votes.
Total shares hold by these 1,000 ES is 1,000,000,000 (i.e. 1billion shares)
Balance 468,949,712 shares not registered or holders or proxy did not attend EGM.

In order for SCR to be successful -
1. 501 out of total 1,000 ES voted FOR the SCR - Result : Majority
2. these 501 ES voted FOR SCR hold total 900,000,000 shares - Results : 90%
3. 499 ES casted AGAINST hold 100,000,000 shares : Results : less than 10% (i.e. 6.8% 100,000,000/1,468,949,712)

this is my understanding from reading the proposed SCR letter.

the votes counting shall be based on votes casted on EGM day, if those shareholders or proxy did not attend, their votes shall not be casted.

Malakoff to develop solar energy systems for DRB-Hicom under 25-year deal

Malakoff Radiance Sdn Bhd had completed the signing of six solar power purchase agreements for the systems with companies under the DRB-Hicom group.

KUALA LUMPUR: Malakoff Corporation Bhd’s subsidiary will develop rooftop solar energy systems for the DRB-HicomGroup under a 25-year deal.

Malakoff said on Tuesday its subsidiary Malakoff Radiance Sdn Bhd had completed the signing of six solar power purchase agreements for the systems with companies under the DRB-Hicom group.

The companies -- CTRM Aero Composites Sdn Bhd, Hicom Automotive Manufacturers (Malaysia) Sdn Bhd, Isuzu Hicom (M) Sdn Bhd, Hicom Teck-See Manufacturing Sdn Bhd, Hicom Bhd and Motosikal dan Enjin Nasional Sdn Bhd (Modenas) -- are manufacturing and engineering arms of the group.

“The solar facilities will be installed under a build-own-operate-transfer contract as part of a 25-year agreement.

“Upon completion, these facilities are expected to generate 18, 836 MWh of clean electricity per annum. These will collectively neutralise about 13, 072 tonnes of carbon emissions per year from the manufacturing industry, ” it said.
