So S5 needs to acquire around 450mil unit share or more to ensure minimum 51%... they might want to secure more

From RTO buyer’s perspective, I believe S5 will ask Ace Hondling and CC to continue converting ICPS until the total number of shares for transfer to S5 can be confirmed at 51% or higher (of total ordinary shares + PA + Warrant A + Warrant B).

S5 will require up to certain numbers of share (or total percentage of share) that they want to secure, which they must ensure they can command absolute majority holding, I am guessing maybe 80% or more

In 2019, Ace Holding arranged Nexus’ Wong and Lee became majority share holder of CC and joined BOD. After few months both Wong and Lee resigned from CC board and left. I guess they still maintain their share holding in CC till now... Ace Holding is making all the transfer and cleaning up.

I think S5 is expecting Ace Holding to do some housekeeping works and clean up all the share issues before signing final agreement. It’s normal for corporate takeovers or RTO.

I think probably S5 or CC company will require to convert most, if not all, of their on hand ICPS shares before RTO -- in order to prevent the possibility of future ordinary share % dilution by ICPS conversion... to safeguard the benefits of controlling shareholders

I guess the recent ICPS conversion is meant to increase the number of ordinary share for S5 RTO

@stockjobber... bro it really depends on who is converting the ICPS...the 470mil ICPS on hand as in their company annual report dated 31/12/2019, the total value of ICPS in their company report only RM12mil. (Page# 130 of company annual report)

So their average cost is about RM0.026 per ICPS share, if add in RM0.075 conversion fee, their total cost after conversion only RM0.11 or RM0.12 per share.

Anyone please correct me if my calculation is wrong....

（吉隆坡8日讯）康乐康迪（CONNECT，0102，创业板）建议，私下配售10%新股，预期最高可筹措710万令吉，主要用以扩张业务，预期可在明年首季完成。

该公司今日向交易所报备，截至昨日公司已发行股本达3293万492.50令吉、共3亿2930万4925股。

“另外，还有4亿7013万9800股的不可赎回可转换优先股（ICPS）、2011年至2021年届满的凭单A共4856万7944股，及2016年至2021年届满的凭单B，有2906万2988股。”

康乐康迪指出，私下配售的新股发售价待定，不过不会低于过去5个交易日加权均价（VWAMP）折价10%。

该公司过去5个交易日加权均价为8.89仙，假设配售价为8.1仙，等同折价8.9%或0.79仙，预估最高可筹获710万4000令吉；最低也有266万7000令吉。

康乐康迪此次私配活动主要是筹措区域扩张、多元化产品，及营运资本，在筹获最高资金的情况，扣除私配费用的33万令吉，营运资本可达177万4000令吉；余下500万令吉则将供扩张区域业务及多元化产品。

“董事部认为，私下配售可迅速协助公司筹资，借以推动欧洲的业务扩张计划，同时强化产品研发。”
