All of us must show our appreciation to Ah Thong for keeping Insas market price down so that we all could buy Insas cheaply.

βThere is no point in keeping it (KPS) listed. The companyβs stock has underperformed for the longest time,β he explains.
The other source says he had heard that KPSβ privatisation was in the pipeline but did not know if CIMB had been given the mandate to handle the corporate exercise.
Market observers are not surprised that the exercise was being contemplated as KPSβ stock has long been undervalued.

SELANGOR state-controlled Kumpulan Perangsang Selangor Bhd (KPS) could be privatised in the near term, two separate sources who are familiar with the matter tell The Edge.
One source adds that Darul Ehsan Investment Group Bhd, KPSβ 57.88% shareholder, has appointed CIMB Investment Bank Bhd to handle the corporate exercise.

SCR at low offer price wouldn't be successful. Cheaper for Ah Thong to exercise his warrants at 90 sen to cross 50% shareholding first.

@Johnzhang, if you are in KL, there's no harm to attend to assess the situation.

The Board of Directors of South Malaysia Industries Berhad (βBoardβ) wishes to announce that the Company has, on 20 August 2024, received a notice of unconditional mandatory take-over offer (βNoticeβ) from TA Securities Holdings Berhad, on behalf of the Offeror, to acquire the remaining ordinary shares in SMI (excluding treasury shares) not already held by the Offeror, the Ultimate Offeror and the PACs (as defined in the Notice) (βOffer Sharesβ) for a cash consideration of RM0.45 for each Offer Share.
One gloomy day Ah Thong will be making an Unconditional Mandatory General Offer for Insas at ...... at how much?

As provided for under subparagraph 2(f) of Schedule 3 of the Rules, the Special Resolution:- (i) must be approved by at least a majority in number of the disinterested shareholders of MPHB and 75% in value of the votes attached to the MPHB Shares held by the disinterested shareholders of MPHB that are cast either in person or by proxy at the EGM; and (ii) must not be voted against by more than 10% of the votes attached to the MPHB Shares held by disinterested shareholders of MPHB of the total voting shares of MPHB.
In Insas' case there are almost 22,000 shareholders (compared to only 10,000 in MPHBCap) and a SCR would be extremely difficult to succeed given that it requires 11,000 shareholders to vote YES.

Why are you people interested in a stock that is spiraling down?
2024-08-18 18:13 | Report Abuse
8 years ago when I first bought Insas at around 65 sen I believed I was buying a share of its promising business. After a while I realized it wasn't the case. I accepted that I was merely investing my money in an undervalued asset. I decided there must be an exit price. When the exit price is reached I must discipline myself to sell.

One cannot make money from the stock market by blinding following books or following Warren Buffett. Every stock is unique. If you take Insas' case everyone agrees it's one of the most, if not the most, undervalued stock in Bursa Malaysia. If you can understand (and accept) the reason behind it then you can make most from it.

Are second and third substantial shareholders agreed to such deal?
Usually shareholders who hide behind foreign nominees are parties friendly to the controlling shareholders.

@Johnzhang, Mr Sslee has answered it very well.

@MrSslee, yes it's possible. Happens often. This is because controlling shareholders usually have friendly parties owning substantial amounts.

When you buy shares of a public listed company you are not buying a share of the business. You are merely investing your money.

WTF 2021 YTD and a Buy Call on Insas-WC
leno
Publish date: Sat, 27 Nov 2021, 11:15 AM
WTF 2021 Portfolio
YTD (up to 27 Nov) is a whopping 71.9%
This is based on closing price of Insas RM 1.03 and WC 42 sen
Meaning if my portfolio was
RM 465 K early this year
now it is worth RM 800 K
My Current Call to My-Self
is to BUY BIG on Insas-WC
My Last buy was yesterday 26 nov
Which I collected "a bit" at 41 sen
by swapping-off "a bit" of my Insas at RM 1.03
This is based on my calculation.
What calculation ? Don't ask.
If ask also I won't answer.
Hahahaha ..
As usual, nothing beats learning from a REAL life lesson.
