The PN17 criteria was triggered as the Company’s latest audited financial statements for the financial year ended 30 June 2014 that was announced on 31 October 2014 where, the Company’s External Auditors have expressed a disclaimer opinion in the Company’s latest audited financial statements for the financial year ended 30 June 2014 (“First Announcement”).
The Board wishes to highlight that the External Auditor’s disclaimer is caused by the uncertainties on the various effects on the financial statements in the event of deconsolidation of one of its wholly owned subsidiary that has been wound up. However, AHB‘s solicitor had already commenced the process to urgently settle all outstanding matters to allow for the said subsidiary to apply to the court for a stay of winding up order.

KUALA LUMPUR, Oct 2 (Bernama) -- RHB Investment Bank Berhad today announced that Instacom Group Berhad (“Instacom”), has acquired Neata Aluminium (Malaysia) Sdn Bhd in a strategic development aimed at diversifying its business base and developing new revenue streams for the Group. This strategic development shall also further solidify Instacom’s already strong financial fundamentals.
In a filing to Bursa Malaysia this evening, Instacom has proposed to acquire 1.4 million ordinary shares of RM1.00 each in Neata Aluminium (Malaysia) Sdn Bhd for RM58.8 million which will be fully satisfied by the issuance of 309,473,684 new ordinary shares of RM0.10 each in Instacom.
This means that shareholders would not be burdened with any capital call. Instead shareholders can also look forward to the proposed bonus issue of Warrant C (more later).
Neata, which is principally involved in the design and fabrication of aluminium structures, is today a ‘one-stop’ centre for the supply, design, fabrication and installation of aluminium structures for a wide range of property development projects such as Nadayu28 Bandar Sunway together with U-Thant Residence and Ampersand Condominium in Kuala Lumpur.
Meanwhile, Neata’s subsidiary company, Vivocom Enterprise Sdn Bhd, is principally involved in civil engineering and construction. Vivocom’s range of services comprises, amongst others, reinforced concrete and steel structural works, architectural works, interior decoration, civil and infrastructure works.
As part of the acquisition agreement, the vendors of the Neata-Vivocom group have provided a profit guarantee to Instacom of an aggregate of not less than RM34 million for the two financial years ending 31 December 2015 and 31 December 2016, being RM17 million per year respectively.
Instacom is confident that the acquisition will be beneficial to the Group given the strong track record of Neata-Vivocom with its current order book presently at close to half a billion ringgit and growing, and with another over a billion ringgit in its pipeline. The company targets to secure at least RM500m in the foreseeable future and by the end of 2015.
“Upon completion of this corporate exercise, the Instacom Group will have strategically diversified into new areas and viable businesses. This exercise forms part of a longer term plan to strategically position Instacom on an even more solid and stable footing in terms of having sustainable and recurring revenue growth,” said Instacom CEO Anne Kung.
“With this acquisition, there will be another stream of income, thus diversifying the earnings base, which is expected to enhance shareholders’ value,” she added.
RHB Investment Bank Berhad also announced that Instacom is embarking on a Proposed Bonus Issue of Warrants involves an issuance of up to 210,676,278 Warrants C on the basis of one (1) free Warrant C for every five (5) existing Instacom Shares.
“The bonus issue is intended to reward our existing shareholders in line with the company’s robust growth and our strong balance sheet,” said Kung, adding that the warrants, when listed, also present an opportunity for more investors to gain exposure to Instacom at a lower entry point to the mother share.
“It’s going to be an exciting journey ahead for Instacom and we would like to thank all our valued shareholders for their loyalty and patience as we embark on our long term journey of sustainable growth and maximising shareholders value,” she added.

Instacom buying 35% stake of Neata Aluminium for RM58.8m
KUALA LUMPUR: Instacom Group Bhd has made an offer to buy a 35% stake of Neata Aluminium (Malaysia) Sdn Bhd for RM58mil in an all-share deal as it diversifies into aluminium design and fabrication.
Instacom said on Thursday it had signed a conditional share sale agreement with Ooi Eng Kean, Nor Mohd Amin Shaharudin, Ang Li-Hann and Chia Kok Seng to buy their combined 35% stake comprising of 1.40 million shares.
“The purchase consideration for the proposed acquisition is RM58.80mil which will be fully satisfied by the issuance of 309.47 million new 10 sen shares of Instacom at an issue price of 19 sen per Instacom share,” it said.
It said under the corporate exercise, it would diversify its core business to include aluminium design and fabrication business and civil engineering and construction business.
It also proposed a bonus issue of up to 210.67 million warrants C on the basis of one free warrant for every five existing Instacom shares.
Neata’s core activities are the design and fabrication of aluminium structures while its subsidiary company, Vivocom Enterprise Sdn Bhd is involved in civil engineering and construction.
For the six months ended June 30, 2014, Neata recorded revenue of RM49.18mil, mainly comprising of RM5.81mil and RM43.37mil from its aluminium design and fabrication segment and construction segment respectively.
Neata recorded profit before tax of RM6.79mil in the six-month period mainly due to the increase in billable revenue for on-going projects for both aluminium design and fabrication segment and construction segment.
It said the vendors guaranteed that Neata Group’s profit after tax would be at least RM34mil for the two financial years ending Dec 31, 2015 and Dec 31, 2016. This translates into an average profit after tax of RM17mil per annum.

‘Stay united to keep Kapit’s growth momentum going’

KAPIT: The people here must remain united as the government will continue to pour in money and woo investors to develop Kapit.
Kapit MP Datuk Alexander Nanta Linggi, also Deputy Minister of Rural and Regional Development, also advised his constituents to suggest constructive ideas to complement the government’s development plans.
“Kapit is growing and that is why I want the people, especially those in the business community, to work together to keep the progress momentum going,” he said at Tai San Ten Association’s 32nd installation of office bearers cum presentation of study incentives cum Mid-Autumn Festival celebration here on Saturday.
Nanta said the proposed Kapit/Song/Kanowit road project would benefit the people here “tremendously” as there would be many opportunities to develop lands and tap natural resources.

Nanta told those present that the wealth of many folk here was growing as many locals who worked elsewhere, including abroad, do send money totalling millions of ringgit to their family members regularly.
“Before I came to this function, I met the Maybank Kapit Branch manager and he told me the money coming into Kapit had created a good spin-off effect, especially for the business sector.”
On Tai San Ten Association, Nanta noted that this oldest Chinese non-governmental organisation (NGO) here had been focussing on charity work that benefitted all communities.
“It (Tai San Ten Association) serves all races, including the Bumiputeras. When Prime Minister Datuk Seri Najib Tun Razak gave the association RM1 million to construct a funeral parlour, Tai San Ten made it (parlour) available to all communities.”
Nanta later announced a grant of RM10,000 for the association to carry out its activities.

AHB Holdings hit a high of 27 sen on Tuesday, the best since April 2007, before pausing for a breather. Technically, prices are expected to consolidate due to growing overbought reason but investors can consider accumulating more on weakness, as other indicators remain bullish. Stronger support and heavy resistance are resting at the 20-sen mark and 36.5 sen-40 sen band respectively.

AHB aims to be the biggest in five years
KUALA LUMPUR: AHB Holdings Bhd, which is expected to exit its Practice Note 1 (PN1) status by next month, targets to be the largest premium office furniture player in Malaysia in five years' time.
"The (premium office furniture) market has at least five players, we want a significant part among the five (players)…Malaysia is leading exporter of the office furniture market, (so) we don't look at the local market alone, but it's a nice market to look at," CEO-cum-managing director Yong Yoke Keong told a media briefing here yesterday.
He projects that the size of the premium office furniture industry could be worth RM200 million annually.
AHB, which is looking at growing its presence in India by setting up a representative office, has more than 25 export markets in different regions, making up about 85% of its total revenue.
The group triggered the PN1 criteria in August 2013 when it defaulted on a RM3 million payment.
It is due to settle this amount by the RM21 million it hopes to raise through a rights issue which was approved by shareholders last month.
"We have learnt our lesson and tend to keep our balance sheet very strong," he said, adding that the firm will hold a net cash of RM5 million to RM10 million after cleaning up its debts.
Operation-wise, the office furniture firm has started making profits in the current financial year, posting a net profit of RM605,000 for the nine-month ended March 31, 2014, a 20-fold jump from the RM30,000 it made for the same period the year before.
It made a net loss of RM8.86 million for the financial year ended June 30, 2013.
It is also notable that AHB still had accumulated losses of RM29.94 million as of March 31, 2014, but he said the issue will only be addressed at a later time.
Yong also said that the firm is on the lookout for acquisition opportunities, whereby it is already in talks with its foreign counterparts especially in Southeast Asia, but stressed that any acquisitions must be synergistic and generate high profits.
"The market is fragmented…We're always thinking (about) how to consolidate the market…but it's too early to make any statement on it, it's just a preliminary (talk), this acquisition will not be within this near future," Yong said.
Datuk Tiong Kwing Hee, the largest shareholder of AHB, through Dexx Technologies Sdn Bhd, holds a 19.43% stake, while Yong has 14.47% equity interest.
AHB also expects to build a furniture plant in Port Klang area next year to cater to the growing demand in the office furnish industry, besides having an assembly and quality control plant in Seri Kembangan at the moment.

Instacom chief executive officer Anne Kung said that, although organic growth “is holding steady”, the company is challenging itself to move to the next level in its effort to maximize value for shareholders.
“Due to our strong financial showing last year, we are now looking at potential acquisitions to explore growth opportunities with a view to realizing other streams of income,” she said in an interview with Business Times.
Last year, Instacom posted revenue of RM120.434 million, an increase of RM94.869 million from the previous year, while profit before tax increased to RM25.466 million from RM17.793 million previously.
However, for its first quarter of 2014, Instacom’s profit before tax slipped to RM4.658 million from the RM6.956 million posted in the previous corresponding period. This was due to lower revenue together with higher cost of sales.
Nevertheless, Kung is “cautiously optimistic” that the company would continue to post satisfactory results for the current financial year on the back of promising prospects within Malaysia’s telecommunications industry.
“Truth be told, the current operating environment is challenging. However, with the government planning to build a total of 1,000 telecommunication transmission towers in the next three years with an estimated investment of RM1.5 billion, we believe that our strength in delivering towers on schedule would stand us in good stead to see through another satisfactory year for the company,” she added.

(吉隆坡11日讯)艺丽控股(AHB,7315,主板贸服股)总执行长暨董事经理杨毓强估计,公司可在下个月还清所有银行欠债,且脱离PN1公司行列。
杨毓强今日在艺丽控股未来发展方向的记者会上表示,公司于7月发售附加股筹资2100万令吉的计划即将完成。
“我们会还清约300万令吉的银行和其他欠债,借此脱离PN1行列。之后,会剩下大约500万至1000万令吉的现金,用为营运和业务拓展资金。
在还清债务后,该公司还没有计划再向资本市场筹款。日后的发展资金,包括并购公司和建立新厂房等,都会来自内部资金。
他说,本地高级办公室家具领域价值达2亿令吉,公司希望能够在在未来5年内,争取最大市占率,成为最大业者。
拟并购扩大业务
“我们计划通过并购扩大版图,正与数家区域同行谈合作,大家的方向一致,希望能够合作成功,一同在国际市场争取最大市占率。”
基于商谈仍在初步阶段,他不愿多谈,仅表示不会在短期内仓促地做决定。
此外,杨毓强指出,将在已进军的25国家中,增加产品经销商。同时,也会在巴生港口一带,建立组装和品质管理的新厂房。
艺丽控股现在斯里肯邦安拥有一家相同功能的厂房,而产品生产工作,主要是外包给本地代工业者。
“我们希望能够在明年开始兴建这厂房,虽然面积和规模没有很大,但品质绝对是最高档。”
不过,他并不透露任何详情,仅表示一旦有任何进展,将会征求股东们意见。
目前,公司有约85%产品出口海外,客户大多是企业公司的订单,没有零售业务。
杨毓强满意持股率
询及杨毓强会不会增持或减少公司持股权时,他表示对目前比率感到满意。
“就我所知,短期内不会出现新主要大股东,目前的主要大股东也只有两位。”
在1998年,艺丽控股当时的3大股东,即杨毓强和杨洲杰两兄弟,以及依斯干达控股提出,5年内达约1596万600令吉税前盈利的保证。
惟在2002财年结束后,因97年金融风暴和911恐怖袭击事件冲击业务,未能实现该盈利承诺,差额更是接近100%,达1596万令吉。
持股滑至14.47%
虽然在2003年财年,公司尝试建议发行凭单给小股东作为赔偿方案,但因欠下银行巨款而未能成事。
直至去年10月,白武士益可第一(ECOFIRS,3557,主板贸服股)总执行长拿督张光希(译音),通过私人拥有的Dexx科技购入艺丽控股股票,解决了拖欠17年的盈利保证承诺。
不过,依斯干达控股、杨洲杰和前首相敦马哈迪医生儿子米尔詹马哈迪,因而不再是公司大股东。

藝麗控股董事經理兼首席執行員楊毓強表示,公司在印度已有不少跨國企業客戶,將在印度的主要城市如孟買及班加羅爾建立駐點,以取得更大發展。”
目前,藝麗控股85%產品供出口。
除了把重點放在印度的市場外,藝麗控股也會立志在5年裡成為大馬最大的高級辦公室家具公司。
楊毓強於新聞發佈會上表示,本地的辦公室家具的市場分散,該公司會選擇合併或收購其他同行公司,聯手發展。
他也預計明年在巴生港口附近建設新工廠,目前,藝麗控股於史里肯邦安(Seri Kembangan)擁有一間面積5萬千平方的工廠,主要用作品質控制。

( 吉隆坡11日讯) 过去几个季度转亏为盈的大马高档办公室家私製造商- - AHB控股(AHB,7315,主板贸服股)乘胜追击,不仅计划扩大印度出口市场,及寻找各种併购机会,以期在5年內,成为本地市场份额最大的高档办公室家私製造商。
AHB控股计划將附加股送凭单的发行计划下,所筹集的2100万令吉,用以偿还公司债务和作为营运资本。
AHB控股首席执行员兼董事经理杨毓强指出,公司会运用该笔资金于海外或本地扩充。首先,公司將会在印度设立办公室和陈列室,因为AHB控股在当地已有稳定的业务表现和固定的国际客户群。
杨毓强在Hickham资本经理霍志勇的陪同下,出席今日的「AHB控股新策略」匯报会时,如此指出。
该扩充项目將分成2个阶段进行,分別为建设公司办公室和推出新產品;第2阶段为建设约1000平方尺的陈列室及通过和当地多名经销商合作,进一步增强公司的竞爭力。同时,杨毓强指出,AHB控股也將会在2015年于巴生港口建设一座製造厂房。
此外,杨毓强也计划提升东南亚和中东国家的销售,他指出,海外市场目前仍是公司最大的贡献来源,佔总营业额85%;而其余15%则来自本地市场。
在经歷1998年的金融风暴后,AHB控股在过去15年,大部份时间都处于亏损状態,直到2014財政年首9个月(截至3月31日止)才稍有起色。
该公司2014財政年首9个月净利为61万令吉,相比去年同期的3万令吉,按年暴涨1933%;营业额则为1115万令吉,按年跌2%,去年同期为1136万令吉。
9月料脱离PN1
杨毓强表示,即使公司仍面对少数的累计亏损,但鑑於首9个月表现优越,和强大的合约订单支撑下,他预计,公司下个月(9月)將可以脱离PN1行列,並达到全年转亏为盈的目標。
「AHB控股目前拥有500万至1000万令吉的净现金。」
在这利好因素带动下,他表示,AHB控股未来將著重于建立新的生產线、加强地理位置,以及营销和推广计划。杨毓强相信,这些举措將会为公司未来营业额,带来很大的改善和进步。
另外,杨毓强指出,AHB控股未来將以併购方式来增强公司的市场地位,以及更轻易地进军,或加强海外出口业务。
「我们还在寻找与公司业务相近的企业,至今,管理层已经看到几家有潜力的公司,但一切还在初始阶段。」
资料显示,全球办公家具行业从2009年至2013年的5年复合增长率为3.6%,预计达3470亿美元至3990亿美元、东南亚则每年料取得10亿令吉;而大马办公家具行业预计每年获2亿令吉。

KUALA LUMPUR: Office furniture manufacturer, AHB Holdings Bhd aims to be the largest player in the local market within five years, said chief executive officer and managing director, Yong Yoke Keong.
He said the local office furniture industry was estimated to be about RM200 million per year.
Some of the company's local clients were Public Bank, Petronas, and BASF Malaysia, he added.
Currently, the group exports about 85 per cent of its products to 25 countries, including Germany, Africa and Australia.
"With strong corporate balance sheet with about RM5 million to RM10 million net cash, the management and the board of directors of AHB are very focused on the business going forward," he told a press conference here today.
He said the group was optimistic of strengthening its balance sheet once the company is profitable.
It was reported last month that AHB fell into the PN1 status when it defaulted on the repayments of bank borrowings amounting to RM4.8 million.
Yong said the group expected to exit the PN1 status by next month once the default payment of RM4.2 million is fully paid.
At present, AHB has seen much improvement in market demand for its Artwright branded products, known for their good design and quality.
Commenting on its expansion plan, Yong said AHB intended to build a manufacturing plant near Port Klang and set up new offices in India.
On growth strategy, he said the group was looking out for acquisitions thatwould bring high value for its shareholders.
"We are looking at active companies in the region. We see them in the market and were shorlisted in open tenders many times and are very well established,” said Yong when asked on the number of companies that were identified for acquisition.
However, he said this is still in the preliminary stages as it is too early to make statements at this time.
"These acquisitions must be synergetic and high profit generating.
It should also bring about even higher resilience within the group," said Yong.-- Bernama

(16 March 2014) With the approval of right issue proposal from shareholders to raise capital, the office furniture maker AHB will put priority to settle bank loan, expecting to leave PN17 status as soon as possible.
The company proposed a right issue of up to 106,60,796 new ordinary shares of RM 0.20 in AHB shares on the basis of 2 rights shares for every 1 existing AHB share, expected to raise between RM 1,525 million to RM 2,134 million.
The company also proposed to issue up to 71,127,197 free detachable warrants on the basis of 2 new warrants for every 3 right shares subscribed by the entitled shareholders.
Yong Yoke Keong, who is a CEO and managing director of AHB said to media after EGM, “After settle off the bank loan, our bank debt should be reduced to less than RM 5 million.”
After stabilized the balance sheet, he expects company will have a working capital ranging from RM 3.3 million to RM 9.4 million net cash (depends on the shareholder’s subscription rate).
“By then, we will focus on internal growth and strengthen existing market development.”
By now, the overseas market accounted for 85% of revenue, the remaining 15% comes from the contribution of the local market.
The company plans to foray into foreign’s upstream market by the end of June next year (new fiscal year), with the first target on the world’s second biggest population country – India.
In addition, Yong Yoke Keong responses, the company does not ruled out the possibility of merger and acquisition to accelerate the business development, hoping to enhance shareholders value.
Dividend policy under discussion
Yong Yoke Keong says, the current order books of AHB are enough to support the next quarter’s earnings visibility.
As its third quarter ended March 31, 2014, the company recorded a profit of RM 168,000, an increase of 22.6% q-o-q, revenue fell by 18.6% q-o-q, to RM 3.2 million.
Yong Yoke Keong said, in order to stabilized the balance sheet, the company will not distribute dividends in current fiscal year.
But he has promised that he will discuss and implement dividend policy to reward the support of shareholders.

(蒲种16日讯)随着股东批准发行附加股筹资,办公室家具业者艺丽控股(AHB,7315,主板贸服股)将优先处理银行贷款,期望尽快脱离PN1公司行列。
该公司建议以1配2方式,发行最多1亿669万796股附加股,每股面值20仙,预计可筹集介于1525万至2134万令吉。
该公司还建议发行最多7112万7197张免费凭单,只要股东认购3股附加股,便可获赠2张凭单。
总执行长暨董事经理杨毓强在股东特大后向媒体表示:“偿还银行贷款后,我们的银行负债应该会降低至500万令吉以下。”
稳定资产负债表后,他预计,该公司将拥有介于330万至940万令吉净现金(取决于股东认购率),充当营运资本。
“届时,我们将会专注于内部增长,强化现有市场发展。”
目前,海外市场占总营业额85%,其余15%则来自本地市场的贡献。
该公司规划在截至明年6月杪新财年内,进军外国上游市场,首个目标锁定全球第二多人口的国家———印度。
此外,杨毓强回应,若有机会,公司不排除通过并购活动,加速发展业务,希望可借此加强股东价值。
探讨制定股息政策
杨毓强表示,艺丽控股现有订单足以支撑未来一季的盈利可见度。
截至3月杪第三季,公司净赚16万8000令吉,按年提升22.6%;营业额则按年跌18.6%,至320万1000令吉。
杨毓强表示,为了稳定资产负债表,现财年将不会派发股息。
