DJ Salamander Energy Shares Jump on $516M Consortium Offer

LONDON--Shares in Salamander Energy PLC (SMDR.LN) jumped more than 20% after the Asia-focused oil and gas explorer confirmed it has received a proposed offer from a consortium led by Spanish oil and gas company Compania Espanola de Petroleos that values Salamander's fully-diluted shares at GBP328 million ($516 million).

The consortium, which includes Hong Kong-based private-equity firm Jynwel Capital, offered 121 pence in cash for each of Salamander's fully diluted shares outstanding and up to 24 pence a share extra, or $100 million, if Salamander is successful with its Block G4/50 exploration campaign in the Gulf of Thailand.

Salamander confirmed Oct. 27 that it had received two takeover approaches, one from the consortium and another from Africa-focused Ophir Energy (OPHR.LN). Ophir outlined its rationale for a strategic tie-up the week after but didn't disclose a proposed offer then.

Should the consortium formalize its offer, it would be subject to certain conditions, including the cancellation of an agreement to sell an effective 40% interest in Thailand's B8/38 concession, home to the Bualuang oil field, and the surrounding G4/50 concession to Malaysia-based oil and gas company Sona Petroleum Berhard for $280 million. This agreement was entered into July 21 but is still subject to Thai government approval and then a Salamander shareholder vote.

Salamander said there can be no certainty about the terms of the offer or that an offer will be made. It advised its shareholders to take no action.

Salamander's shares jumped on talk of the proposed offer, which prompted the company to issue a statement without the consortium's consent. As of 1613 GMT, Salamander's shares were up 20.7% at 116.5 pence a share, resulting in a market capitalization of GBP250 million ($393 million).

The oil that ISIL sales on the black market—mostly via trucks through smuggling routes on the Turkish border—is sold at a steep discount at prices ranging from $25-$60 per barrel, with an average of $40 being a reasonable assumption, IHS estimates. This is compared to around $85 per barrel recently for Dated Brent, the international benchmark.

Macam biasa orang tua tak boleh tidur. So i read all your insight information. To those who don't believe pls sell your mother share at 0.475 and WA at 0,.255 i will absorb until 1 mil each tomm. Well if it makes us feel better, it is a waiting game.

Strong belive that target price is RM2.5 to RM3.5
a. More valuable oilfields than SKPETRO & HIBISCUS
b. No of barrels X current market price (vol has gone up , whereas price slight drop)
c. Savings on operations and exploration has dropped tremendously
d. Very high reserves
e. Potential dividends (later)
f. High declared reserves
g. Cheapest WA to mother conversion for SPAC
h. Strong mgmt team (working and progressing well..... sometimes i do hope they come out and make some comments to push the price a bit)
i. Once convert from SPAC, it will be only two of it's kind (and SONA has good yield)
j. Global outlook and enery demands still there.
etc etc etc

Hence investor/fund managers/institutional buyers coming in upon approval definitely see this a value for money counter and YoY they also will make more than what i can speculate above. So once in awhile, we remind each other to be patient.... kalau ada duit lebih sikit, mungkin boleh goreng sikit without losing the bigger picture. Cheers

Waktu acquisition in 2011 - This is the quote from Star Biz "Lime Petroleum does not carry any oil reserves in its books. Hibiscus' Chairman was quoted as saying that he would "prefer not to speculate on the amount of oil reserves" but rather calls them "resources". "

All the more reason SONA's higher pricing .... nevertheless it is the timing that I look forward too.

Yes memang betul. So the point I was going to make b'for my cucu interrupt me was, SONA's price should be above Hibiscus but below SKPetro. Sona has a more productive oil field than Lime (Hibiscus) or Newfield (SKPetro). With the right valuation of revenue, asset and gearing anywhere between 2.5 to 3.5. We wait for the institutional buyers/big fund managers so we can make some.

Only hope this happens before my time runs out ........ the next gen will have it see it through then :)
