This is part of the deal that "force" warrant holders to convert to mother share. Why not just convert since there is nothing loss to you?

Yes, warrant exercise price will not be revised. Why? Simply because warrant's exercise cannot be lower than the PAR Value of underlying company share. You see the PUNCAK-WB exercise price is RM1.00. But PUNCAK PAR Value is also RM1.00.

Conclusion: MUST convert. But no worry, you will always be given sufficient time to do such conversion once the announcement on special dividend ex-date is out. You still have plenty of time.

Again, you may be asking why KULIM case is different, isn't it?
Because KULIM warrant exercise price is much much higher than PAR Value of KULIM during special dividend that time. There is plenty of space for adjustment on exercise price.

So, it is case per case basis. This is one if the reason why many penny stocks will first reduce PAR value before issue rights shares with free warrant, just to fulfill "warrant exercise price cannot be lower than PAR value, and rights issue share price cannot be lower PAR value."

when the market was bad , some stocks fall below par value and the exercise price for warrant was below par value to attract the taking up of the warrants.

I have been selling BJCorp @ 0.395 - 0.40 to buy Puncak @ 2.80 - 2.83 since yesterday. Hope this is not a stupid decision, sigh!

Below are some extract from warrant-B circulars etc :

1) Warrant Holders are entitled, upon and subject to the Conditions, at any time and from time to time commencing from the 23rd day of July,
2013 and expiring on the 20th day of July, 2018 (the “Expiry Date”) to subscribe for new ordinary shares of RM1.00 each (the "New
Ordinary Shares") in the Company at the Exercise Price of RM1.00 only for each New Ordinary Share (or such adjusted Exercise Price as
may for the time being be applicable in accordance with the Conditions)

2.1.3 Ranking of new puncak arise from exercise of warrant
new puncak share alloted, rank pari passu in all respect of existing puncak share , save and except that not entitle to any dividen, rights, allotment and or other distribution, the entitlement date of which is prior to the prior to the date of allotment of this newly puncak arise from warrant exercising.

2.1.4
Form & denomination : The warrant is issued in registered form and will be
constituted by Deed Poll.

Exercise Rights : Each warrants entitles the registered holder to for (1)
new PNHB shares at any time during Exercise Period at
Exercise price subject to adjustments in accordance with
the Deed Poll.


Questions:
for 1. The phrase "(or such adjusted Exercise Price as
may for the time being be applicable in accordance with the Conditions)" may
meant that for special dividen etc, the exercise price may be adjusted accordingly ?

for 2.1.3 Seems saying that have to fully converted and already ALLOTED
with to new PNSB shares b4 the special dividen Ex-date then,
only eligible for the dividen ?

for 2.1.4 Again, mention "exercise price subject to adjustments in accordance with the Deed Poll" , so it meant the exercise may adjusted downward ? any idea what written in puncak-warrant deed poll ?

Towkays are selling. They need lots of cash to exercise his warrants. If warrants not exercised they gonna rugi alot. Sell mother 5lots at 2.80 can redeem 14lots of warrants at 2.80. Slowly push price higher, can redeem more per mother share.wakakaka
You buy you keep sure win. .. :)

ridiculous, last time when the deal was not completed, it went up to 3.6 but now stuck at 2.8 even with good news...speechless...gave up other counters and jumped into this counter...hopefully wont get drowned.....

it is indeed bad news to warrant holder if this special dividend do not have any readjustment to exercise price.
under normal circumstances price will go up once s.devidend is declared, this in turn will benefit warrant as the premium will be marginalized and traded at a discount. but trade off is one need to exercise them in order to benefit the discount before it goes ex but again that will depend on the price at that point of time.
In a nutshell KLSE investment has a lot of uncertainty, very much depend on 'timing'.

the exercise price of the warrant will be adjusted accordingly after the dividend. please look at the circular to shareholders for the formula..sorry i cannot paste the formula cos at this terminal i have problem opening the pdf file. someone please help post the formula. tq
