Are the minority shareholders of Telekom Malaysia Bhd (TM) getting a good deal from the telco’s acquisition of a majority stake in Packet One Networks (Malaysia) Sdn Bhd (P1), involving an investment of RM1.55 bil?

Under the deal, TM, through Mobikom Sdn Bhd, is paying RM350 mil for a 57% stake via the subscription of new shares in P1, and RM210 mil to subscribe to an eight-year redeemable exchangeable secured bond (EB) by Green Packet Bhd.

Mobikom will also take up a 60% stake in an RM1.65 bil eight-year redeemable convertible unsecured bond (CB) programme for future plans of P1. Green Packet and South Korea Telecom Co Ltd’s (SK Telecom) shares in the CB programme will be 15% and 25%, respectively.

In total, TM would be paying RM1.55 bil for a controlling stake in P1, lower than the initial RM2 bil that was being speculated.
Thus, pricing for the controlling stake in P1 is a major factor in determining whether TM has obtained a good deal.

According to a note from AmResearch Sdn Bhd, even the rumoured valuation of the deal totalling RM2 bil would have been “quite excessive”.

The research house estimates the values of the spectrums at RM290 mil for 2.3GHz and 2.6GHz, site acquisition at RM416 mil and subscriber acquisition cost at RM225 mil, which add up to only RM990 mil.

P1 has been lagging in the market of late, recording a net loss of RM124 mil and net liabilities of RM38 mil for the year ended Dec 31, 2013. The management of P1 had valued its total assets at approximately RM895 mil and revenue of RM337 mil. The company’s earnings before interest, taxes, depreciation and amortisation (Ebitda) was RM29 mil.

However, AmResearch says the acquisition of a 26% stake in P1 by SK Telecom for US$100 mil (RM329.4 mil) in 2010 had pushed up the valuation to RM1.3 bil for the entire P1 group then.
- So if it was bad for TM minority shareholders, it must be good for gpacket minority stockholders.

Firstly Gpacket didn't sell P1 but jv with TM.
Secondly, deal was done for longer term benefit.
3rdly, fb just bought Oculus 3d VR tech which means there are 3 main players of technology that sucks up data n bandwidth which shall be good news for LTE suppliers.
The other 2 being Google glass and Sony Entertainment.
So buy or hold for long term not short.
Current price good to buy.
