Announcement by Rex International Holding Ltd ("RIH") in relation to HiRex Petroleum Sdn Bhd ("HiRex")
The Company refers to the announcement dated 9 January 2018 by RIH in relation to an arbitration award to its indirect wholly-owned subsidiary, Rex Technology Management Ltd (“RTM”).



The Company wishes to highlight the following:



(i) The arbitration was between HiRex and RTM (acting as a service provider to HiRex), and relates to a disputed payment between the parties pursuant to an Intellectual Property License Agreement dated 21 March 2013 entered into by the parties (“IPLA”);



(ii) The shareholders of HiRex are Rex South East Asia Ltd (a wholly-owned subsidiary of RIH) (41%), Orient Hibiscus Sdn Bhd (a wholly-owned subsidiary of the Company) (41%), Triax Ventures Corp (15%) and a minority shareholder (3%).



(iii) The Company notes that the IPLA imposes strict confidentiality obligations on the parties in relation to the arbitral proceedings, including with regard to any decision or award.



(iv) The Hibiscus Group (“Group”) has fully impaired its investment in HiRex during the financial year ended 30 June 2016, and the arbitration award against HiRex (an investee company) does not have any financial impact on the Group.
