Kawan Food appoints Adam Pandian, formerly with Kellogg's, as CEO | https://www.klsescreener.com/v2/news/view/1255067
KUALA LUMPUR (Dec 29): Kawan Food Bhd has appointed Adam Pandian as its new chief executive officer, effective from next Monday (Jan 1).
In a bourse filing on Friday, the company said Adam will take on the role, which was left vacant by Ng Hooi Kai, who resigned on Aug 2 this year after serving the role for two years and seven months.
Adam joined Kawan Food in April 2023 as an adviser to the executive chairman and head of transformation.
Adam started his career in Procter & Gamble in brand management, then moved on to several senior positions including the account director for Leo Burnett, regional account director for Saatchi & Saatchi, general manager and commercial director for Keebler, and as managing director for Greater China and Southeast Asia for Kellogg's.
Prior to joining Kawan Food, he held the chief operating officer roles in various divisions within the Hap Seng group, as well as corporate roles within the group managing director office, where he served in change management, business turnarounds and driving group synergy across operating divisions.
He has more than 35 years of management experience in commercial, supply chain and corporate roles, developing and implementing transformation strategies across various industries and organisations with a foundation in fast-moving consumer goods, Kawan Food said.
Kawan Food's earnings has normalised after hitting a new record in the year ended Dec 31, 2022 (FY2022), with a net profit of RM38.5 million and revenue of RM293.2 million.
For the cumulative nine months ended Sept 30, 2023, Kawan Food's net profit fell 28.73% to RM21.27 million or 5.94 sen per share, from RM29.85 million a year earlier, despite revenue rising 2.22% to RM225.77 million, from RM220.88 million previously, as cost of sales inched up slightly, coupled with higher expenses as well as income tax recorded.
Shares in Kawan Food settled at RM1.80 each on Friday, down two sen or 1.1%, bringing the company a market capitalisation of RM653 million.
Year-to-date, the stock has fallen 19%.

KUALA LUMPUR (Jan 25): Consumer electrical and electronics retailer Senheng New Retail Bhd faltered on its maiden trading day on Bursa Malaysia’s Main Market on Tuesday (Jan 25).
It opened at 90 sen and rose to as high as RM1.01 before closing at 85.5 sen, representing a 21.5 sen or 20.09% discount from its initial public offering (IPO) price of RM1.07.
At 85.5 sen, the retail group had a market capitalisation of RM1.28 billion.

KUALA LUMPUR: Malayan Flour Mills Bhd (MFM) and its joint venture company, Dindings Poultry Development Centre Sdn Bhd, are in consultation with their external legal counsel to challenge the Malaysia Competition Commission’s (MyCC) decision to impose a penalty of RM70.02mil for a price-fixing infringement.
In a filing with Bursa Malaysia yesterday, the companies claimed that the commission’s finding of infringement was without merit.
“MFM and Dindings Poultry will take the necessary and appropriate action to appeal the decision and apply for a stay of the decision in the interim,” it said.
Last week, MyCC said it had imposed a penalty of nearly RM415.5mil against five poultry feed manufacturers for infringing Section 4 of the Competition Act 2010 (Act 712) by forming a price-fixing cartel for poultry feed.
“The companies were Leong Hup Feedmill (M) Sdn Bhd, FFM Bhd, Gold Coin Feedmills (M) Sdn Bhd, Dindings Poultry Development Centre Sdn Bhd and PK Agro-Industrial Products (M) Sdn Bhd,” it said.
The commission said its investigation uncovered evidence of identical increments in poultry feed prices among the parties from January 2020 to June 2022, in addition to the conciusion that the five enterprises had employed a calculated strategy to create the illusion of rising poultry feed costs due to hikes in raw material costs. — Bernama

We refer to the announcements dated 10 February 2021, 28 May 2021, 1 June 2021, 26 October 2021 and 16 August 2022, as well as the circular to the shareholders of MFM dated 26 April 2021 (“Circular”) in relation to the Strategic Partnership. Unless otherwise stated, all definitions and abbreviations in this announcement shall have the same meanings as set out in the Circular.
The Board of Directors of MFM wishes to announce that the Company has received a letter dated 13 December 2023 from Tyson together with a First Earnout Account prepared based on the audited financial statements of DTSB Group for FYE 2022. The Company and Tyson have agreed on the following terms and conditions in respect of the First Earnout Consideration:
(1) The estimated First Earnout Consideration was RM140 million;
(2) The EBITDA for FYE 2022 of RM144.453 million was greater than the targeted EBITDA of RM141 million, hence no deduction to the First Earnout Consideration; and
(3) As the net Debt for FYE 2022 amounting to RM84.874 million was higher than the targeted net Debt of RM44 million by RM40.874 million, the variance is multiplied by 49% to arrive at the amount of RM20.028 million which was deducted and arrived at the adjusted First Earnout Consideration of RM119.972 million.
Accordingly, MFM has received RM119.972 million from Tyson for the First Earnout Consideration on 13 December 2023.
The First Earnout Consideration together with the Initial Consideration are RM289.916 million which form part of the aggregate Disposal Consideration.
Accordingly, the revised utilisation of the First Earnout Consideration is as follows:

APPRECIATION

Shukor Bin Abdul Mumin who joined us as Chief Executive
Officer and Independent Non-Executive Director of the
Company on 1 July 2022 and 28 April 2022 respectively.

our shareholders, business associates, financial institutions
and regulatory authorities for their continuous support and
cooperation to the Group amidst the challenges arising from
the COVID-19 pandemic.

Encik Mohd Shukor Bin Abdul Mumin was appointed to the

He graduated with a Bachelor of Laws Degree (LLB)
(Honours) from University of Buckingham, United Kingdom.
He is also a member of the Malaysian Bar and the Sabah Law
Association.
