Since no help you with this question, let Mabel try to explain based on Right Issues and Warrant that was offered by Serbadk Dinamik in 2019. Mabel came into Serbadk when it was a Blue Chip as a replacement to KNM to complete her E2E Battleships collection in the down stream business.

In 2019, the company proposed three corporate exercises to enhance its share capital and reward its shareholders:

A share split involving the subdivision of every two existing ordinary shares into three subdivided shares. This would increase the number of shares from 1.32 billion to 1.98 billion, and reduce the share price proportionately to make it more affordable and attractive to investors since Serba price was expensive at that time

A bonus issue of up to 881.1 million new shares on the basis of two bonus shares for every five subdivided shares held. This would increase the share capital from 1.98 billion to 2.86 billion, and reward the existing shareholders with additional shares without any cash outlay.

An issue of free warrants of up to 881.1 million warrants on the basis of two warrants for every five subdivided shares held. Each warrant would entitle the holder to subscribe for one new share at an exercise price of RM2.62, which is a 10% discount to the theoretical ex-price of RM2.91 after the share split and bonus issue. The warrants would have a tenure of five years from the date of issue.

The share split, bonus issue, and free warrants were completed on Dec 6, 2019, and the new shares and warrants were listed on the Main Market of Bursa Malaysia on Dec 12, 2019.

The free warrants were issued with the stock code SERBADK-WA and the stock name SERBA DINAMIK HOLDINGS BERHAD - WARRANTS A 2019/2024. When it was listed it was traded at 60 sen. Mabel decided to keep this Free Warrant as token after making lots of money in this counter.

Capital A in ‘last stretch’ on finalising PN17 exit plan

KUALA LUMPUR (Nov 30): Capital A Bhd said it is in the “last stretch” of finalising its Practice Note 17 (PN17) regularisation plan and aims to make a full submission to Bursa Malaysia in “the near future”.

“This careful planning ensures that our restructuring reviews and discussions are thorough, and reflect our dedication to long-term stability and strategic adaptability,” it said in a bourse filing on Thursday.

Bursa Malaysia had granted Capital A its third extension of time — until Dec 31, 2023, this round — to submit its regularisation plan to the regulatory authorities.

The group had triggered the criteria for PN17 in July 2020, after its external auditors EY issued an unqualified audit opinion with material uncertainty relating to going concern in respect of its audited financial statements for FY2019, plus its shareholders’ equity on a consolidated basis was 50% or less of its share capital.

Notably, Capital A had announced earlier this month that it plans to float its AirAsia brand royalty business and aircraft leasing unit in the US through a Nasdaq-listed special purpose acquisition company named Aetherium Acquisition Corp (GMFI) as part of its plans to regularise its financials. The group is seeking an indicative valuation of US$1 billion for the listing exercise.

Last Wednesday, its sister company AirAsia X Bhd exited PN17 status after its appeal was allowed by Bursa Malaysia.

The medium-haul low-cost carrier said the regulator would allow the group’s appeal and exempt it from submitting a regularisation plan if it posted a net profit for the third quarter ended Sept 30, 2023; it reported a net profit of RM5.56 million, down 77.83% compared with RM25.09 million posted for the same period last year due to higher aircraft fuel expenses and maintenance and overhaul costs.

While investors on Bursa Malaysia await Capital A’s regularisation plan, the group said it is considering various financing options for its operations in Indonesia and the Philippines, which could include an imminent initial public offering (IPO) for AirAsia Philippines and further equity raising from AirAsia Indonesia.

This comes after the airline business accessed the third instalment of a loan from Bangkok Bank, with the final settlement expected by the end of this quarter.

In addition, a US$200 million revenue bond intended for expansion of the aviation business is in progress, said the group.

“In the meantime, AirAsia MOVE is nearing the end of its due diligence for an investment by a private equity, and Teleport has recently secured their approved loan to enhance its working capital,” the group said.

Capital A chief executive officer Tan Sri Tony Fernandes had previously indicated that the AirAsia Philippines unit is planning an IPO for 2024, revisiting a fundraising strategy that was put on hold multiple times.

Capital A anticipates further revenue upswing after 3Q losses narrow sharply

In 3QFY2023, the group's aviation segment reported revenue of over RM3.9 billion, up 116% compared to last year on surging domestic and international travel. “The strong rebound catapulted revenue to the pre-Covid period with 89% of current capacity and a positive EBITDA margin of 10% against an EBITDA margin of 6% in 3Q2022,” said the group.

The group carried 14.71 million passengers in 3QFY2023, more than double the 7.12 million it served a year ago, while capacity was up 99% to 16.49 million seats from 8.29 million a year ago.

Meanwhile, its logistics and digital segments reported improved revenues of RM188.86 million and RM121.99 million, respectively, for the quarter under review.

For the nine months ended Sept 30, 2023, the group made a net profit of RM996.55 million compared to a net loss of RM2.74 billion a year ago, with revenue more than doubling to RM9.91 billion from RM4.24 billion.

"Year to date, the consolidated airlines have now recovered 76% of passenger volume from 9M2019, surpassing overall capacity recovery of 73% for the same period," said the group.

KUALA LUMPUR: Capital A Bhd anticipates a strong final quarter to conclude 2023 and remains confident that it will deliver its true performance next year.

In a filing with Bursa Malaysia, the airline group said it had undergone a significant transformation from an Asean airline to a low-cost, high value aviation and travel services group, in a strategic response to the challenges of the pandemic.

“We have emerged from this period stronger and more diversified.”

The group said it has strategically revamped its airlines by focusing on cost control and maximising revenue.

“Our goal is to bring 187 aircraft back into service by year-end, around 80% of our pre-pandemic levels, leveraging the high travel season and the newly established visa-free travel between China and Malaysia starting Dec 1, 2023.

For its third quarter ended Sept 30, 2023, Capital A reported a lower net loss of RM178.82mil, compared with a net loss of RM901.31mil in the previous corresponding period, while revenue jumped to RM4.2bil compared with RM1.96bil a year earlier.

The company reported a basic loss per share of 4.30 sen, compared with a loss per share of 22.30 sen previously.

Capital A said the increase in revenue was mainly attributed to the strong recovery in demand from both domestic and international travel.

“In the third quarter, 86% of the group’s revenue was attributed to the aviation segment while the logistics, digital and other businesses contributed the remaining 14% to the group.”

For the nine-months period ended Sept 30, 2023, Capital A reported a net profit of RM996.55mil compared with a net loss of RM2.74bil in the previous corresponding period, while revenue more-than-doubled to RM9.9bil against RM4.24bil previously.

As the group approaches the final quarter, Capital A said it is poised for a revenue upswing, exceeding pre-pandemic levels.

“This optimistic outlook is grounded in robust travel demand during the peak season, allowing us to command peak fares and boost ancillary income, expected to surge by 50% compared to pre-Covid levels.

“This upturn in ancillary income is fueled by dynamic pricing initiatives and the launch of innovative products such as ZoneUp and FastPass.”

Additionally, Capital A said it is in the last stretch of finalising the PN17 regularisation plan, as it aims for a full submission to Bursa Malaysia in the near future.

“This careful planning ensures that our restructuring reviews and discussions are thorough, and reflect our dedication to long-term stability and strategic adaptability.
