Sumatec Resources Berhad (KLSE:SUMATEC) entered into a framework agreement to acquire Buzachi Neft LLP from Abu Talib bin Abdul Rahman and Murat Safin for $250 million on July 11, 2014. Abu Talib bin Abdul Rahman and Murat Safin hold 51% and 49% stake in Buzachi respectively. The consideration will be a combination of cash and issuance of new ordinary shares of Sumatec. The break up will be determined on execution of a formal sale and purchase agreement. The transaction is subject to approval of Bursa Malaysia Securities Berhad, approval of the shareholders of Sumatec; and approval of any other relevant authorities including but not limited to the Kazakhstan Ministry of Oil & Gas, Antimonopoly Commission in Kazakhstan and waiver from the relevant government bodies and National Oil & Gas Company. A formal sale and purchase agreement will be executed within six months from the date of the framework agreement. The transaction is expected to contribute positively to the future earnings of Sumatec. Sumatec Resources Berhad entered into a conditional share purchase agreement to acquire Buzachi Neft LLP from Abu Talib bin Abdul Rahman and Murat Safin for $340 million in cash and stock on August 28, 2014. In respect of the cash portion, Sumatec will pay $30 million on or by the 7th day of the date of the agreement as refundable earnest deposit and $195 million on the 45th day from the day the conditions precedent of the agreement is received, obtained, fulfilled or waived but no later than December 31, 2014. The balance purchase price shall be satisfied by the issuance of 727.27 million new Sumatec shares on the completion date of the agreement. M & A SECURITIES Sdn. Sona Petroleum: Remains committed to Thai deal. Sona Petroleum's nearly MYR1b deal to buy oil and gas assets in Thailand owned by UK-listed Salamander Energy plc appears to be all but over after the latter accepted the takeover offer by Ophir Energy plc. Salamander yesterday announced it had agreed to Ophir's firm offer to buy the entire stake in the company. The offer was on the condition that Salamander cancels its deal with Sona. (The Star)

PETALING JAYA: Lower oil prices are stoking demand for mergers and acquisitions (M&As) in the oil and gas (O&G) industry even as investors shy away from this once high-flying sector.

SINGAPORE: Oil prices were mixed in Asia Monday ahead of a crucial meeting of the OPEC cartel later in the week that will discuss whether to trim output, analysts said.

“I think there are a few misconceptions out there about oil prices. Firstly, people feel that the discovery of shale is a huge reason for oil to come down as supply now increases. Well, the break-even point for both shale and deepwater exploration is at US$75.

“These two make up 5% of world supply. So, if oil prices were to stay below US$75, then it would not be viable to commercially produce shale or explore deepwater. This would take 5% of the world supply away. The real economics will eventually kick in,” he said. .......from Starbiz...

NEW YORK: World stock markets and oil prices rallied on Friday, fueled by hopes for global growth after China rolled out a surprise interest rate cut and the European Central Bank indicated it would step up asset purchases to boost the euro zone economy.



The jump in oil prices took beaten-down Brent back above $80 a barrel. U.S. interest rates eased as the dollar gained, and the euro declined.



Wall Street's Dow Jones industrial average and the S&P 500 ended at new record highs, with each rising more than 1 percent on the week in the fifth straight week of gains for U.S. equities.



"This is a one-two punch for global growth," said Mark Luschini, chief investment strategist at Janney Montgomery Scott in Philadelphia.
