Yes csan, Melewar can single handedly block any SCR, that's why we never hear of minority shareholders proposing SCR in any listed company. Even a hostile takeover attempt is difficult.

It was very foolish to vote against the SCR knowing that there's a 12 months waiting period before the Offerors could make another offer. What should have been done was to request for an adjournment to the EGM for the Offerors to consider improving the offer price.

No, because MAA will be loss making for some time which will depress market price further. Even if there's declaration of dividend, market price will always adjust downwards on ex-dividend date. Look at Dutaland, RM800 million cash but market price so depressed.

RM3 not possible because the share capital has more than doubled after the recent rights issue. It will be a slow climb because market sentiment is presently weak unless they declare a dividend soon. Funds will then start buying. Anyway at below RM1 it is a buying opportunity if you have excess funds.

Now that the SCR is doomed to fail, the Offerors are expected to revise upwards the offer price. The Offerors have so much to gain from the successful implementation of the SCR, so they are expected to work out a compromise.

To revise the offer price, the Offerors have to request for an adjournment to the EGM. The SCR must not be put to vote on 29/5. After the new offer price is made, you need at least 21 days notice for a new date for the EGM. Supplement circulars would be despatched along with Independent Advisor's opinion and advice (which either remains the same i.e "not fair but reasonable" or revised).

Those who are eligible to vote at the EGM are those whose names appear in the Record of Depositors as at 23rd May, the last purchase would have to be made on Friday 17th May. Mr Balvin, you can sell off your shares when market reopens on Tuesday 21st May and yet vote against the SCR since you only deliver your shares to the buyer on Friday (T+2) as Wednesday 22nd May is a market holiday.

Unlike an MGO or VGO, in an SCR the offer price cannot be revised once the EGM is called. And if the SCR is not approved at the EGM, the Offerors cannot make another offer for the next 12 months.
