5G: Malaysia government to decide on 700MHz spectrum allocation soon

Malaysia is expected to make a decision on the allocation of 5G spectrum soon. Deputy Communications and Multimedia Minister Datuk Zahidi Zainul Abidin said the government is still discussing whether to allocate the 700MHz spectrum to a consortium or directly to individual licensees.

He said that the 700MHz frequency band will be prioritised to telcos with existing subscribers. He added that the decision will be announced as soon as possible because the spectrum band is important to maximise usage nationwide. The latest updates were shared by Zahidi during his visit to the 5G Demonstration Projects in Langkawi.

5G Malaysia
As announced earlier this year, Malaysia’s 5G bands, 700MHz and 3.5GHz, were supposed to be allocated to a consortium. At that time, the MCMC explained that the single-entity approach would help lower capital expenditure (CAPEX) by minimising cost and to prevent duplication of infrastructure. This would help to speed up 5G roll out in an effective manner while telcos continue to maintain and expand its 4G network.

After the change of administration, the new Communications and Multimedia Minister Saifuddin Abdullah had allocated the 700MHz spectrum to Altel, Celcom, Digi, Maxis and TM through ministerial orders without a tender. Eventually, the Minister had retracted the order and promised to relook into the allocation process.

The Board of Directors (“Board”) of XOX Bhd (“XOX” or the “Company”) wishes to inform that XOX Media Sdn Bhd (“XOX Media”), a wholly-owned subsidiary of the Company, had on 27 July 2020 entered into a Head of Agreement (“HOA”) with Jiangsu Sulian Asset Management Co., Ltd (“Sulian Capital”) to form a non-circumvention and commercial agreement between XOX Media and Sulian Capital (collectively as “Parties”) concerning the introduction of a Chinese Telco, to partner and collaborate with XOX in the regional deployment of 5G mobile networks.



Sulian Capital was incorporated in China as a private limited company which primarily involved in the business covering equity investment, Mergers and acquisitions (M&A) and reorganisation, Initial Public Offering (IPO) listing, bond underwriting, fund management and venture capital.



The salient terms of the HOA are as follows :



Non-Circumvention



i) The Parties agree that the HOA shall also form a non-circumvention clause to prevent XOX from directly engaging negotiations with the yet to be identified Chinese Telecoms party, that will be introduced by Sulian Capital.

ii) The Non-Circumvention clause shall be enforced for 18 months, before any potential deal or contract can be finalised between XOX and the yet to be identified Chinese Telecoms party.

iii) The Non-Circumvention agreement also stipulates that it will survive the entire length of any collaboration or partnership concerning 5G deployment and mobile networks, between XOX and the yet to be identified Chinese Telecoms party, until termination.



Commercials



i) The Parties agree that on success of any deal, partnership or collaboration agreement between the yet to be identified Chinese Telecoms Party and XOX, that Sulian Capital will be entitled to a quarterly participation fee as the introducing party ("Participation Fee").

ii) This Participation Fee is fixed at 10% of XOX’s net profits arising from any deal, partnership or collaboration between XOX and the yet to be identified Chinese Telecoms Party.

iii) This Participation Fee will be covered under the non-circumvention clauses above.

iv) The Participation Fee of 10% of net profits at XOX’s level, will form a general mandate on any deal, partnership or collaboration arising from Sulian Capital’s introduction, unless a specific project and fee relating to said project is identified, acknowledged by the parties and included as an addendum to this HOA.



The HOA shall be effective from 27 July 2020 upon the execution by the Parties and shall terminate upon the occurrence of any of the following events:



i) 18 months with no finalised commercial agreement between XOX and the yet to be identified Chinese Telecoms operator.

ii) mutual termination by both Parties, in writing.

iii) in the event of insolvency, liquidation or filing of winding up petition of either party.



The HOA will not have any effects on the share capital and shareholding structure of the Company and is not expected to have any material immediate effect on the earnings per share, net assets per share and gearing of XOX for the financial year ending 30 September 2020.



Similar to all business entities, the risk factors affecting the execution of the HOA, including but not limited to business risks such as prudent financial management, changes in political, economic and regulatory conditions. However, the Board will continue to exercise due care in considering the risks associated with the HOA and will take appropriate measures in planning the successful execution of the HOA.



The HOA being incurred in the ordinary course of business, is not subject to the approval of the shareholders.



None of the Directors and/or other major shareholders of the Company and/ or any persons connected to them have any interest, direct or indirect, in relation to the HOA.



The Board, after due consideration, is of the opinion that the HOA is in the best interest of the Group.

Investor interest shifts from rubber gloves to pharmaceuticals

KUALA LUMPUR: The FBM KLCI edged slightly lower on Wednesday as investors continued their profit-taking on glove counters on news of a several vaccines being in their final stage of testing.

At 12.30pm, the key index was down 0.43 points to 1,595.6. Trading volume was 5.4 billion shares valued at RM2.8bil.

The pause in rubber glove stocks have kept the FBM KLCI hovering below the 1,600 line, despite analysts upgrading their target prices on the counters on the expectations of continued upward movement in the average selling prices over the medium term .

"In our view, Top Glove can continue to charge a premium in the next six months given the acute shortage," said Maybank Investment Bank Research, which revised its target price on the counter higher to RM28.60.

Nevertheless, optimism over progress in drug trials sent the counters lower with Hartalega dropping 40 sen to RM17.60 and Top Glove slipping four sen to RM24.90.

Investors however shifted their interest to pharmaceutical stocks as the vaccine hopes served to offer potential upsides.

Pharmaniaga jumped RM1.05 to RM4.55, Duopharma climbed 68 sen to RM2.96, Apex Healthcare gained 90 sen to RM3.96 and Kotra added 81 sen to RM3.56.

Among the most actively traded stocks, Sapura Energy rose 0.5 sen to 10.5 sen, Lambo dropped 0.5 sen to four sen and VS slid one sen to seven sen.

Meanwhile in crude oil markets, prices were dampened by the soaring number of global coronavirus cases. US crude was down 22 cents to US$41.70 a barrel and Brent crude fell 20 cents to US$44.12 a barrel.

On the currency market, the ringgit gained 0.2% against the weaker US dollar to 4.2533. It was flat against the pound sterling at 5.4098 and down 0.2% against the Singapore dollar to 3.0725.
