xdar, actually, if you look the earnings profile for IFCA, their gst contribution is small portion only. So its their normal bread and butter software business and international growth that is impressive. I would know since I also invest in IFCA

Siva is the one laughing all the way to the bank taking the properties at about 1x book value. We don't know who will buy the remainder properties. If it is also sold at 1x book value, it would have already been reflect in the current nta of the company. Unless the properties are sold above book value, then yes, we might see additional value accrue to MEGB and ultimately SMRT

rohank, the balance 10% of Siva's stake should be taken up by Creador as it is part of the Joint Offerors.

Please take note that Siva is not buying ALL of the properties. He is only buying FOUR PROPERTIES, Cheras Campus,Kota Kinabalu Campus, Kuching Campus and and Pasir Gudang Campus. The remainder properties will be put up for sale and i believe no buyers have been mentioned at the moment.

I suspect Siva sold it to Brahmal at a cheap price because he gets the properties at cheap price (i.e. 1x book value) and he gets to lease it back to Masterskill. For all we know, he is probably getting funding from Brahmal or Creador for the purchase of the property!

Hey Alpha Trader, I re-read your analysis. I understand where you are coming from, but the key factor here is the speed of the earnings turnaround. If it does achieve the earnings level which you have stated, and assuming sector multiples remain steady (do note that the earnings multiples for Prestariang has been declining lately) I suppose your TP could be achieved. In long run, this is definitely possible. Perhaps the investors currently have no assigned any value to the future earnings. We shall wait for further clarity/information from the parties acting in concert (SMRT and Creador)

Nevertheless, I still think there is upside to MEGB's current price, premised on the fact SMRT and Creador's entry px into the entity is @ 60 sen. They would probably look to optimize their returns either via earlier distribution of MEGB's dividends to shareholders (including to themselves) or they may finance Siva's acquisition of the properties (which some argue are at a bargain!) as a way to entice Siva to sell his stake @ 60 sen.

Alpha Trader: I think you forgot to account for one thing, the current 60 sen valuation actually is INCLUSIVE of the properties they currently own. When the sell it to Siva @ book value or close to book value...you essentially sell hard asset in exchange for another asset (albeit a liquid one), which doesn't change anything. So it shouldn't actually be 60 sen + 42 sen = RM1.02 valuation. Have to point this out so everyone is not mislead. The only way for the valuation for the company to change via the disposals is IF SIVA PAYS BEYOND BOOK VALUE, which means the gains can be accrued to us, the shareholders.

What can happen though is that the proceeds from the disposal can be used to pair down borrowings, which effectively generates interest payments savings and possibly earlier distribution of cash via special dividends etc.
