Cherry, I think u jalan tut already… LTAT is indeed own the single largest block of bplant shares AFTER bstead PRIVATISATION!
2023-06-20 16:32 | Report Abuse
facts- LTAT now is getting bid for its block. urs? wait for ur turn... lots of corporate finance tactics can happen between these dates... good luck...

no wonder u choose the username CHOSEN, coz u like to cherry pick facts...
2023-06-20 16:01 | Report Abuse
Aduh, u get confused between MANDATORY vs VOLUNTARY…
2023-06-20 16:00 | Report Abuse
Wht u say only applies to VOLUNTARY take over?
2023-06-20 15:59 | Report Abuse
Chosen, u like to cherry pick and CHOOSE what to believe isn’t it? mandatory only happen AFTER the acquirer purchases a block of shares, which triggers take over threshold! So what happen between acquirer co and LTAT is BEFORE, take over only mandatory AFTER LTAT sold its block!

Chosen, May u rest in peace… Amen

Tom dick and Harry can simply just google and Quote Rule 4, if it’s so simple by just refer to the bold word “Part B Take Over”, I won’t be asking John…
2023-06-20 15:07 | Report Abuse
Chosen, since u have CHOSEN to believe acquire co will give u the same offer as to LTAT, then continue to believed in what u have CHOSEN to believe!
2023-06-20 15:05 | Report Abuse
Hahaha, rule 4 got state all offer must of the same value? Got ah?
2023-06-20 14:40 | Report Abuse
At least now bplant shareholders have some clarity on what’s happening in the background… thanks theedge
2023-06-20 14:30 | Report Abuse
If anyone just refer to CMSA, it’s all clearly stated there… u can’t think ur share values the same as LTAT’s
2023-06-20 14:26 | Report Abuse
U said got such rule, the burden to prove it’s u, not me… anyway, u can continue to live in ur bubble if u think there is… if tht makes u happy… wished u best of luck!
2023-06-20 14:22 | Report Abuse
Acquirer co only need to make LTAT happy, thn the deal will jalan
2023-06-20 14:18 | Report Abuse
Pls quote the regulation rules on takeover, that minority shareholders must be offered the same as LTAT.
2023-06-20 14:13 | Report Abuse
This is takeover, not privatisation! Privatisation have reg rules cannot have more than 10% DISSENTING shareholders.
2023-06-20 14:10 | Report Abuse
John, pls quote which SC/CMSA rules state this is a must?
2023-06-20 14:07 | Report Abuse
So it looks like LTAT is selling bplant, not privatising it. If the acquirer co is okay (which looks like the case), LTAT is the one that laugh all the way to Affin Bank.
2023-06-20 14:05 | Report Abuse
The value unlocking will be at LTAT side, they realise the real value of the assets by ensuring their ask price for their 70%+ holdings take into count the real value of the assets. The acquirer co then unlock the 100% value when they conso bplant assets into their books, yes gains will be recognised, but it will be diluted as it’s shared with the shareholders of the acquiring co.
2023-06-20 13:57 | Report Abuse
Key points of theedge article- LTAT is looking for bids to sell off its holdings in bplant (ownership change, if it happens, it’s either bplant still being listed or share exchange with acquirer co), it will be good to see bplant being managed by a better co, perhaps u could study the dividend payout of the interested co).
No matter what happen, the changes are at top level, so long as the acquirer co buy 50%+1 shares, they can conso the assets entirely. Hence no push to buy over the remaining shares.
2023-06-20 12:22 | Report Abuse
Lol, news already out Friday and yday, why still got ppl talk abt privatisation? It’s just ownership change at the top…

The intention of the buy and sell queues are to give wrong signal to street investors, the same number of shares keep recycle, hint, look at the velocity of the transactions, I see at least 3 person interpret it wrongly. Anyhow, offload will complete soon, then reality will come fast and furious…

That is why I don’t understand why there are such talk of corporate actions here whn there aren’t any, does ppl know tht if they get trapped now, it will take some time to recover due to low production and CPO price…however I believed, if it get pushed to RM1, u will see LTAT dumping…
2023-06-16 13:36 | Report Abuse
Small boy, pls read up before u comment, aiyoh… so shallow…
2023-06-16 13:24 | Report Abuse
Miracle, don’t always hoped for miracle, Bursa and CMSA have comes out lots of rules on announcement requirements to avoid insider trading and fairness to all shareholder, especially naïf investors like u, any movements by majority shareholders are monitored and reportable, unless they use proxy, which I don’t think LTAT will do that, hence what happen in the market now is lack substance
2023-06-16 13:17 | Report Abuse
And I asked u, who do u mean “they”, do read ur own reply

In the case BHPetrol, LTAT bought up the other partner (don’t know how much was paid) , then only look to divest it for a huge $2 bil price tag .
For Bplant, I assume that they will also buy up the minorities first , then only divest the valuable assets .
Minorities got to be smarter this round for not giving in easily and cheaply.
Thats wht u wrote

Buy privately also need to disclose, that’s the requirement for majority shareholders, pls read up and think using ur naïf mind before comment

They never bought the shares when it’s 60 sen+, wht makes u think they will buy it at 80-90 sen? Thts y I got so angry whn they sold off at around RM1.20, but didn’t help to support the price when it hit so low
2023-06-16 12:17 | Report Abuse
Hence it’s not “them” who are buying from the market
2023-06-16 12:16 | Report Abuse
Thn do u know any changes in shareholding will have to be reported in bursa? Thts y I said a few days ago, no announcements on LTAT or bstead buying bplant shares in market…

Bplant had become a mare speculation counter now.. so invest with caution..

Hmm.. no announcement on bstead or LTAT acquiring bplant shares… privatisation? Insider?

In the past, what happen was when the sold off the land, they pay good dividend, and most of the time they borrow to buy cheaper land… which the strategy should be the other way round, only use remaining funds after minus off purchase proceeds and planned replanting to pay dividend…

Rohan, I think u still didn’t get the picture, I am talking from acquirer perspective, what is the point the acquirer push up its cost?
2023-06-11 21:44 | Report Abuse
1. Price being slam down since Qtr announcement just to have 1 day UMA.
2. Any logical takeover will normally start off with quiet accumulation, then of sudden comes the announcement.
3. UMA pushes up the share price which will make the offer (if any) unattractive, and cost of LTAT to acquire from market to be higher too.
Perhaps is the way how I view my investments, I look at underlying performance, any positive surprisewill be a bonus.

Have bstead privatization completed? Kindly note the remaining shares in circulation for bplant is worth way more than LTAT’s FCF even at the current price. Meaning LTAT will have to borrow to acquire bplant shares, and to borrow again to pay to dividend, given CPO price no good, LTAT can only depend on Affin dividend… how much cash is left after bstead privatization? Hence what’s the urgency to privatise bplant?
