After due enquiry on the matter with the Directors and major shareholder, the Board of Directors of Eversendai Corporation Berhad (“Board” or “the Company”) would like to confirm that to their best of their knowledge, the Board is not aware of any of the following items as listed

Bursa Malaysia Securities Berhad has on 13 May 2024 issued an UMA query on the sharp rise in the price of the abovementioned security recently.



In this respect, investors are advised to take note of the Company’s reply to the above UMA query which will be posted at Bursa Malaysia’s website under the company announcements,http://www.bursamalaysia.com/market/listed-companies/company-announcements/ when making their investment decision.



The contents of the UMA query is as follows:-



We draw your attention to the sharp rise in the price of your Company’s shares recently (“trading activity”).



In light of the above and in order for investors to be able to make informed investment decisions, you are requested to respond, after making due enquiry with your directors, major shareholders and such other relevant persons, to the following queries immediately for public release in accordance with Paragraph 9.11 of the Main Market Listing Requirements ("LR"):

1. Whether there is any corporate development relating to your Group’s business and affairs that has not been previously announced that may account for the trading activity including those in the stage of negotiation/discussion. If yes, kindly provide the details including status of the corporate development to enable investors to make informed investment decisions;

2. Whether there is any rumour or report concerning the business and affairs of the Group that may account for the trading activity and in this respect, you are required to comply with Paragraphs 9.09 and 9.10 of Bursa Securities LR;

3. Whether you are aware of any other possible explanation to account for the trading activity; and

4. Whether you are in compliance with the Bursa Securities LR, in particular Paragraph 9.03 of the Bursa securities LR on immediate disclosure obligations.

2) In respect to the collaboration by Eversendai Engineering Saudi LLC with Albawani Company Limited in securing contract in NEOM, KSA, to state whether the collaboration is subject to joint control in which the parties bear the costs of the project and receive a share of any resulting output. If yes, please specify the percentage of cost and profit sharing between the parties.

Eversendai Engineering Saudi LLC collaborated with Al Bawani to tender for the said project. Upon securing the project, both parties shall formalise the relationship. Discussions are in progress and once formalised, we will make the announcement.

To also state the equity participation of the parties if a joint venture corporation is/will be formed.

No incorporated joint venture will be formed, this is a project specific collaboration.



3) Reason for not announcing the awards/ contracts immediately upon receipt of the same pursuant to Paragraph 9.03 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.

Due to legal implications from the Non-Disclosure Agreements signed with the clients, we are required to obtain consent/approvals by the end clients before we can make any public announcements. We are also constrained in making any single project announcement which jeopardises our position with our competitors and clients by disclosing the exact contract value for each individual project.
