PETALING JAYA: D’nonce Technology Bhd is exploring the possibility of a packaging supplies venture via a strategic alliance with poultry firm, Lay Hong Bhd.
Citing a StarBiz report yesterday, the packaging materials supplier told the local bourse that it was in preliminary discussions with Lay Hong.
It, however, denied that both parties would be involved in a corporate exercise.
“The major shareholder confirmed that there is a preliminary discussion with Lay Hong on the equity, but nothing has been finalised,” D’nonce told Bursa Malaysia yesterday.
“The company denies that Lay Hong is taking up the private placement with warrants in D’nonce, as we have not finalised any placees at this juncture,” it added.
StarBiz reported yesterday that Lay Hong was looking to take up a controlling stake in D’nonce via a combination of a private placement exercise and the acquisition of an existing block from one of the existing shareholders.
“The company has promptly conducted a due and diligent enquiry with all the directors, major shareholders and all other persons reasonably familiar with the matters about which the disclosure is to be made in this respect,” said D’nonce.
“We wish to inform that D’nonce is exploring with Lay Hong on the possibility of synergistic alliance for packaging supplies.”
The company added that it would make the necessary announcement at the appropriate time when there are “material developments relating to the same”.
D’nonce is also involved in packaging design, packaging converting and corrugated cardboard making.
Its other core businesses include contract manufacturing, supply chain management and polymer engineering products.
The loss-making D’nonce presently has a market capitalization of only RM49.6mil, consisting of 180.4 million shares and a book value of 36 sen per share as of Aug 31, 2016.
Shares of D’nonce are up some 10.5 sen to 29.5 sen on a year-to-date basis.

Indeed a lot of japanese co interested in msia packaging co..as they are consider cheap in valuation sense..some they do takeover, while some collaborate for business..
In this case nh food has many packaging suppliers..there cld be synergies with what dnonce does -which is the food packaging biz..
So can "watch" this for any new developments..
Lay hong is a famous food(chicken) company..recall earlier QL fail in their hostile takeover , subsequently nh food japan buy in to lay hong..will lay hong take a stake in dnonce? Haha its still in negotiation stage..

If the railway cost $55billion..how much do u think will be the cost to take this train? Rm 300 per trip?
And how long does this loan needs to be repaid? 100 years?
Is there any study done?
Why there is no open tender. And the project not given to a local company...
So i think the cabinet minister shld ask this questions..instead of making a dumb face when asked by the reporters..

PETALING JAYA: Integrated eggs and poultry player Lay Hong Bhd is said to be looking to take up a controlling stake in D’nonce Technology Bhd, a supplier of packaging materials that is going into the frozen food segment.
The acquisition is said to involve a significant stake because the eggs and poultry company is seeking to play a meaningful role in expanding its business, said sources.
It is learnt that Lay Hong would build up a stake in D’nonce through a combination of a private placement exercise and the acquisition of an existing block from one of the existing shareholders.
Towards this end, D’nonce has already announced a 20% private placement that Lay Hong is likely to participate in.
The 20% private placement entails the issuance of 36.08 million new shares, together with 18.04 million warrants on the basis of one warrant for every two placement shares.
“It is likely to be a two-step exercise that will pave the way for Lay Hong’s entry into D’nonce,” said a source.
Specifically, Lay Hong is eyeing D’nonce’s packaging business, an area that is of interest to the company after the entry of NH Foods Ltd of Japan as a strategic shareholder last year.
Following the entry of NH Foods, which is Japan’s largest meat packing company, Lay Hong embarked on the frozen food business and is in the midst of launching its first batch of frozen food products with a strategic partner.
Sources said that Lay Hong believes that there is a lot of optimism in the food products business, where the trend is moving towards producing ready-to-eat food.
The quality of food packaging is increasing in importance, especially in Malaysia where polystyrene containers have been banned from state government offices and functions.
NH Foods, which is also the fifth largest in the world by sales, took up a 21.77% stake in Lay Hong last year.
Following that, the two set up a joint-venture (JV) company, NHF Manufacturing (M) Sdn Bhd.
The first batch of their products will entail five types of frozen processed chicken products, to be marketed under the Nippon Premium Nutriplus brand. It should be launched before year-end.
It’s easy to fathom why Lay Hong is buying into D’nonce as the latter does all sorts of packaging, whether for paper or plastic products. It also does packaging design, packaging converting and corrugated cardboard making.
D’nonce’s other core businesses include contract manufacturing, supply chain management and polymer engineering products.
The loss-making D’nonce presently has a market capitalisation of only RM49.6mil, consisting of 180.4 million shares and a book value of 36 sen per share as of Aug 31, 2016.
Shares in D’nonce are up some 10.5 sen to 29.5 sen on a year-to-date basis.
Looking into the company’s annual report, the jewel of D’nonce could lie in its list of properties.
As of August 2015, the company owned property valued at some RM40.97mil.
At present, D’nonce has current net assets of approximately RM66mil. Based on the list of properties, this estimated value will increase by some RM34mil, hence increasing the company’s net assets to approximately RM100mil.
Taking this into account, this would increase the book value of the company from 36 sen to 55 sen per share.
The single largest shareholder in D’nonce is Law Kim Choon, who is also the chief executive officer and group managing director of the company.
This is followed by Sunrise Paper Sdn Bhd with a 4.73% stake and Ho Yu Min with 2.77%.
Meanwhile, NH Foods has huge plans to enhance its business presence in South-East Asia through the JV with Lay Hong. Other than fresh meats and processed foods such as ham and sausages, the company offers marine and dairy products.
To-date, Lay Hong’s stable comprises nine layer farms, 19 broiler farms, three hatcheries, four breeder farms, two feed mills, one egg tray plant, four chicken-processing plants, a liquid egg plant, four organic fertiliser processing plants, 16 supermarket stores and 30 pasar mini (mini markets).

PETALING JAYA: Malaysians entered November having to recalibrate their budgets following the reduction in cooking oil subsidy and the 15 sen increase in fuel prices.
Over in Johor, Singaporeans had to do calculations of their own as the first day of this month marked the start of the RM20 road charge (RC) for foreign-registered vehicles crossing the Causeway into Malaysia.
For cooking oil, the largest 5kg bottle has seen a price increase of up to 60%.
However, the Malaysian Muslim Restaurant Owners Association (Presma) feels there should not be an increase in the price of food at restaurants because subsidised cooking oil was not meant for businesses in the first place.
Its president Noorul Hassan Saul Hameed said only households and ordinary consumers would be affected by the removal of subsidies.
“Most restaurants would not dare raise prices now because it would drive away their customers,” he said yesterday.
But some restaurant operators admitted relying on subsidised cooking oil and said they would now be hit hard.
A restaurant franchise owner in Penang said it was a double whammy for him.
“My chef and I have been wondering how to price our food,” said the owner, who only wanted to be known as Ibrahim, 65.
“If we raise prices, our customers may stop coming. But if we don’t, our profits will drop further,” he said.
He added that the prices at his outlets had remained the same for the last two years despite inflation.
“We want to see what else increases in cost before deciding if we should charge more,” he added.
Deli and Drinks Junction @ 11’s owner Aznita Aidid in Shah Alam described the double increase as “crazy”.
“This is going to be bad for business. I have no choice but to increase prices,” she said.
Aznita, who set up her business early this year, has seen her profits declining over the months as the economy worsened.
“It was good only during the first few months,” she said.
Kayu Restaurant owner and managing director Burhan Mohamed said he would be maintaining his prices.
“The increase for one litre of cooking oil is about 40 sen. It’s not like we use that much of oil to make one roti canai,” he said.
Malaysia-Singapore Coffee Shop Proprietors’ General Association president Ho Su Meng said his members would try to avoid passing down the cost to customers.
Norhermawati Omar, a single mother of five, feared the impact of costlier food.
With no time to cook, the 37-year-old purchasing executive said her family ate out most of the time.
“But now with the increase in cooking oil prices, my expenses are going to rise,” she said.
Her children get a daily allowance of RM3 each, but that may not be enough if their school canteen operators raise their prices.
A Tesco Stores (Malaysia) Sdn Bhd spokesman assured customers that their prices would remain competitive, while Mydin provided a before-and-after price of a brand of cooking oil.

Charles.. the cost of entry for (ppl i know) for ykgi-wb is much lower. They entered about 1 yr ago. I personally dont have this counter & was just watching it for them.At that time nobody was looking at steel stocks or ykgi in particularly its warrants.only one analyst whom i know personally from mercury securities wrote a report about its eventual "turnaround".so if u enter now too bad it is a bit high..dont go and commit harakiri if u loss a bit like optimus.
As for murali..and optimus. I hope they rest in peace & not continue to get involve in stock market debates or forum in heaven/hell dependig on where end up.
Exposing others IC i think is unethical...if what is said is true and cause optimus to hang himself then its very unfortunate.
