KUALA LUMPUR: Symphony House Bhd has announced a reverse takeover of Sumatec Bhd for a shortcut to the bourses after its aborted initial public offering (IPO).

The reverse takeover involves Symphony acquiring the equity interest in Sumatec and all of its subsidiaries after a share consolidation of every 10 shares of 10 sen each in Symphony into one share of RM1 each.

In a filing at the stock exchange yesterday, the company said the purchase value is to be determined and satisfied by the issuance of new Symphony shares, after the share consolidation at an issue price of RM0.50 per Symphony share.

“The acquisition will provide an opportunity for existing shareholders of Symphony to capitalise on Sumatec group’s growth potential in oil and gas industries and to capture opportunities in these sectors.

Shareholders of Symphony are expected to benefit from Sumatec’s experience in the energy sector, and its reliable cashflows from its contracts and concessions,” the company said.

Upon completion of the proposal for acquisition, Symphony will continue to be listed on the Main Market of Bursa Securities, it said.

Symphony also proposed to undertake an IPO of new Symphony shares and a renounceable rights issue on the basis of one new Symphony share for every existing one Symphony share held.

“The proposed offering will be undertaken to raise funds for Symphony to pare down debts, business expansion, working capital and to disburse expenses related to the proposal,” it said.
