For me, private placement is good. Only selected "shareholder" allow to buy with such low price but of cause, I believe they should have some terms and condition such as cannot dispose the share or whatever.. Besides that, I believe those private placement shareholder should have very strong background which the current management believed they would be able to enlarge the business.
