Among these, ACE Market firm Eduspec, which provides systematic IT learning and robotics programs to school children. This firm is currently loss-making.

For its first quarter to Dec 31, 2017, Eduspec made a net loss of RM5mil on a revenue of RM6mil.

But the company is said to be linked to Datuk Yeow Kheng Chew, better known as KC Yeow, who is a close associate of Prime Minister Tun Dr Mahathir Mohamad’s son, Tan Sri Mokhzani Mahathir.

On Eduspec’s latest top 30 shareholder list found in its annual report, a company known to be controlled by Yeow called Autonaire Sdn Bhd is listed as the single largest shareholder in Eduspec with a 9.056% stake.

We refer to the earlier announcements in relation to the Proposals dated 31 May 2019 and 2 July 2019.

On behalf of the Board, Mercury Securities wishes to announce that Bursa Securities has, vide its letter dated 8 July 2019, resolved to approve the following:-

(i) admission to the Official List and the initial listing and quotation of up to 550,906,750 Warrants B to be issued pursuant to the Proposed Bonus Issue of Warrants;

(ii) listing of up to 4,000,000,000 new Eduspec Shares to be issued pursuant to the conversion of the RCPS arising from the Proposed Issuance of RCPS; and

(iii) listing of up to 550,906,750 new Eduspec Shares to be issued pursuant to the exercise of the Warrants B.

The approval granted by Bursa Securities for the Proposed Issuance of RCPS and Proposed Bonus Issue of Warrants is subject to the following conditions:-

(i) Eduspec and Mercury Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;

(ii) Eduspec and Mercury Securities to inform Bursa Securities upon the completion of the Proposals;

(iii) Eduspec to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed; and

(iv) Eduspec to furnish Bursa Securities with a certified true copy of the resolutions passed by the Shareholders in the EGM approving the Proposals; and
