股東紛爭影響股價 富達首場特大延至今午

　（吉隆坡26日訊）3天內2場股東特大，富達（PRTASCO，5070，主要板建築）公司“內亂”白熱化，在當權派反對派互不相讓下，今日特大展延至週四下午3時，分析師相信，就算該公司基本面及前景再亮眼，也難敵紛爭對股價構成的強大陰影。

　該公司今日在董事經理拿督斯里張吉平帶領下，在公司總部召開第1場股東特別大會，尋求罷免董事鄭博毅及獨立董事黃國安，不過一早便傳來后者向高庭申請禁制令消息，力阻特大繼續召開。

3天2場特大

　根據鄭博毅及黃國安的法律顧問，高庭發出禁令事出有因，將阻止股東們就罷免議案投票，不過亦堅決認為張吉平暫停特大2小時屬違法，故兩人未投票即離場。

　特大稍后重新召開，經表決后決定展延至明日下午3時進行；另一場特大將在本週五（28日）由鄭博毅召開，尋求罷免張吉平。

　3天內召開2場特大在馬股是非常罕見，故MIDF證券研究分析師哈菲茲哈山相信，該公司前景及基本面再亮眼，這場股東內亂始終是未來公司發展的關鍵，故還是會對公司前景及股價走勢構成影響。

　“我們相當擔心董事紛爭，由于最終結果有可能改變公司營運方向及業務穩定，一日不解決，難免將壓榨股價走勢。”

　哈菲茲亦指出，在中止總值8460萬令吉的印尼公司PT ASI收購計劃上，富達擁有絕對優勢，加上資產負債表表現良好，對未來獲利潛能亦保持樂觀。

　不過富達股價走勢卻充斥不安，開市即跌9仙至1.60令吉，休市時跌幅收窄至6仙，掛1.63令吉，截至下午4時半，富達跌8仙至1.61令吉，成交量182萬7900股。

We refer to the Announcement dated 22 September 2014 wherein Protasco Berhad ("Protasco" or the "Company") had therein announced that it has commenced legal proceeding under Suit No. 22NCC-362-09/2014 (the “1st Suit”) to (a) firstly, recover monies paid to PT Anglo Slavic Utama (“PT ASU”) pursuant to the Amended and Restated Sale and Purchase Agreement dated 29 January 2014; and (b) against two (2) of its directors, Mr Tey Por Yee (“Tey”) and Mr Ooi Kock Aun (“Ooi”) for damages for breach of their fiduciary and statutory duties as well as for fraud on the Company.
The Company wishes to announce that it has come to the Company’s knowledge that Tey, Ooi and their lawyer, one, Mr Gideon Tan (“Gideon Tan”) of M/s Gideon Tan Razali Zaini, Advocates and Solicitors, who acts for Tey and Ooi in the 1st Suit had attempted to pervert and or obstruct the course of justice by interfering with the evidence of a key witness of the Company in respect of the 1st Suit.
In this respect, the Company obtained the statutory declarations of the key witness and his Indonesian lawyers relating to the interference.
Consequently thereto, the Company has filed committal proceedings against Tey, Ooi and Gideon Tan and the Company has obtained leave of Court on the 18 November 2014 to initiate committal proceedings against Tey, Ooi and Gideon Tan and to Show Cause as to why Tey, Ooi and Gideon Tan should not be fined and or be committed to imprisonment for contempt of Court for attempting to pervert and or obstruct the course of justice by interfering with the evidence of a key witness of the Company in respect of the 1st Suit. The High Court has fixed 8 December 2014 as the date for the High Court to hear the committal proceedings.

PETALING JAYA: Protasco Bhd's board room tussle shows no sign of abating despite both parties having filed lawsuits against each other, with more allegations being brought up in public, in the run-up to two EGMs on Nov 26 and 28.

Accused of making RM10 million in secret profits from the collapsed Indonesia oil and gas venture, Protasco's executive vice-chairman and group managing director Datuk Seri Chong Ket Pen (pix), who called for a press conference yesterday, has now revealed that he and Tey Por Yee were in fact business partners before the fallout between the two.

Chong told reporters yesterday that the RM10 million Tey claims to be financial gains from the aborted PT Anglo Slavic Indonesia (PT ASI) deal is in fact part repayment of a RM20 million loan to Tey by Chong, in a bid to bring the low profile businessman in as a strategic investor in Protasco.

He said the money given to Tey in December 2012, was to help him secure a short term loan to complete his purchase of Protasco's shares.

"At that time, I viewed him (Tey) as a strategic investor that would be beneficial to the group, and (so) I agreed to help him organise the loan for RM20 million," said Chong.

Tey emerged in Protasco in late 2012 and is currently its second largest shareholder with a 17.69% stake.

Chong's press conference comes after Tey took out an advertisement in selected newspapers last Friday, presenting the alleged RM10 million secret profits obtained by Chong in a chart form.

According to Chong, Tey has repaid RM10 million of the loan to RS Mahaniaga Sdn Bhd, with another RM10 million outstanding.

"I lent him the other half via JF Apex Securities Bhd through a margin financing facility in my own name. The loan was secured using my own Protasco shares and my personal guarantee," Chong told pressmen at the meeting he chaired together with his public relations consultant Lionel Lau of Millennium Associates Sdn Bhd.

"The RM10 million under JF Apex is still outstanding," he noted.

Chong has a made a police report against Tey's claim that he made secret profits from the aborted PT ASI deal.

"I will definitely sue Tey but not now," said Chong, adding that the focus now was to recover a RM50 million deposit Protasco paid for the PT ASI takeover deal.

Chong claimed that the suit filed by Tey through his company Kingdom Seeker Ventures Sdn Bhd (KSV) was "manipulative and aimed at confusing and misdirecting people".

Tey in response to Chong yesterday said Chong's claim that he had borrowed RM20 million from him and RS Maha Niaga was "downright untrue and unsubstantiated".

"If it is true, Chong should provide the agreement to back his claims. The only loan that Chong has given is RM10 million and it was to Kingdom Seekers. We have a loan agreement drawn up and I will be happy to make it public to substantiate this," Tey said.

According to Tey, under the terms of the loan agreement between Chong and Kingdom Seekers, the repayment of the loan was subject to the PT Anglo Slavic Utama (PT ASU) deal going through that is, seven working days after completion of the PT ASU deal, Kingdom Seekers will return the RM10 million to Chong.

Tey said in the loan agreement, Chong had agreed that Kingdom Seekers can appoint an executive director onto the Protasco board.

　（吉隆坡31日訊）富達（PRTASCO，5070，主要板建築）非執行董事鄭博毅透過文告指出，該公司董事局並未維護股東權益，不再獨立。

　文告指出，富達董事局拒絕讓董事經理拿督斯里張吉平回應任何有關獲取1000萬令吉私利指控，而有關暫停張吉平職務直到接受紀律處分議程並未獲准提呈。

　該公司董事局連同律師參與董事會議，並在隨后否決有關決議。

　同時，富達董事局將股東特大訂在11月26日，較鄭博毅在11月28日召開特大罷免張吉平議程提早兩天。

　鄭博毅在文告中指出：“富達董事局未維護股東權益。他們動用公司資源和金錢，為張吉平個人議程罷免我的職務。他們召開特大比我們早，而且由富達付款，他們嘗試向股東隱瞞事實。”

　他指責張吉平由律師陪同下進行董事會議，這是向董事局作出解釋的機會，但董事局選擇保持沉默和保護張吉平。

　不過，富達董事局決定調查資金去向。

　富達董事局將于11月26日召開記者會，尋求罷免鄭博毅和黃國安董事職務。

（柯拉那再也28日讯）富达（PRTASCO，5070，主板建筑股）董事纠纷峰回路转，之前被指控诈欺的郑博毅，列出证据反指富达高层在这项交易私下牟利1000万令吉。

郑博毅今日召开记者会表示，通过个人公司Kingdom Seeker Ventures，要求董事经理拿督斯里张吉平与牵涉的高层，归还所牟利的1000万令吉。

同时，他将以持股18%的股东身份，在数日内要求在召开特大，罢黜张吉平的董事之席。

“特大可能会在11月底或是12月初举行，越快越好！”

声称拥证据

这也是自诉讼案爆发的三个星期以来，郑博毅首次就此事对外发声。

陪同他出席记者会的代表律师陈吉典透露，同样遭富达提告的PT Anglo Slavic Utama（ASU），上周向他们提出富达高层私下牟利的证据。

据了解，富达和3家子公司共支付了6600万令吉给ASU和PTGoldchild Integrated Abadi，后两者将部分钱多番转手，最终一家名为RS Maha Niaga的公司获得了1000万令吉。

而Maha Niaga的股东和董事为富达高层，秘书和通讯方式皆与富达一致，令郑博毅方质疑张吉平等人私下牟利。

要求开董事会议不果

富达傍晚时也发出文告，已接到传讯令，并委任律师抗辩。

郑博毅表示，他曾要求在昨日（27日）召开紧急董事会议，出示这些证据和自我辩护，但主席却以时间不足而取消会议，不愿听他们的辩解。

股价下跌

“这代表他们不愿意、不敢面对我们！旁人一直跟我说要忍住脾气，但这太过分了！你们（张吉平）到底在怕什么？”

黄国安昨日也已就富达私下牟利一事报警。

这起董事纠纷也影响市场对富达的投资情绪，今日一度跌5仙或3.05%，跌至1.59令吉；最终收报1.60令吉，跌4仙或2.44%。

大股东身份 疑威胁张吉平

从昨日持有10.51%股权的股东要求召开特大罢黜郑博毅和黄国安的发展来看，郑博毅合理怀疑张吉平对他大股东身份感到威胁，因此借着这理由，将他踢出董事部。

他说，张吉平通过大马大华银行代表公司，以及伙伴非独立非执行董事陈兴奎（译音），提出召开特大罢黜他和黄国安。

“我在富达与ASU的油气交易前，已经投资近1亿令吉，作为投资者，没有必要诈欺。”

他自称自己作风美式，且站在投资者立场，常常会直言提出问题，也许这促成双方关系紧张。

“我的大股东身份，可能对张吉平造成威胁，所以他想要踢我出去。”

张吉平持股21.25%

根据马交所截至4月的文告，张吉平持有21.25%股权。

郑博毅在记者会上颇为激动，更说出“要就像个男人战斗！”、“不喜欢我的话，可以直接来跟我谈收购股份，用正当的途径！”等情绪语句。

富达董事纠纷不断有新进展，郑博毅昨日打破沉默召开记者会，指富达高层在与PT Anglo Slavic Utama（ASU）的油气交易中，实则私下牟利1000万令吉，因此入禀法庭要求归还给富达。

对此，张吉平今天发表文告反驳指控，坚称郑博毅的指控是子虚乌有的恶意中伤。

“这明显是企图抹黑和玷污我的声誉，也为了要转移市场对富达控告郑博毅等人的视线。相信事实站在我这里，我已委任律师，也将报警处理。”

富达董事部另也回应，会针对郑博毅的指控展开调查，但对于后者在被公司起诉后，才提出上述指控而感到遗憾。

针对郑博毅表示欲在周一（27日）召开紧急董事会议，却因张吉平“不敢面对”而遭取消，富达形容这存有误导成分的“含沙射影”，主席是为了确保所有董事皆能出席会议而决定延期会议。

股价一度跌5.6%

张吉平和郑博毅的相互较量越来越剧烈，投资者则雾里看花也失去投资信心，导致富达今日一度挫9仙或5.63%，跌至1.51令吉。

该股最终收报1.53令吉，全日跌7仙或4.38%。

富达董事纠纷不断升温，从一开始富达控告郑博毅和黄国安在ASU交易中诈欺和私下牟利，昨日郑博毅又列出证据，指疑似张吉平相关的公司RS MahaNiaga，几经转手获得从富达支出的1000万令吉。

双方也先后发出文告将召开特大，分别建议要罢黜张吉平、郑博毅和黄国安。

（吉隆坡28日訊）之前被起訴的富達（PRTASCO，5070，主板建築股）獨立兼非執行董事鄭博毅今日作出反擊，除了起訴公司董事經理拿督斯里張吉平之外，追討1000萬令吉款項，更要求召開股東特別大會，罷免張吉平的董事職位。富達的一名股東已在昨日搶先要求召開特大罷免鄭博毅及黃國安的董事職位。


鄭博毅今日召開記者會出示PTAnglo Slavic Utama公司（簡稱ASU）提供的相關文件，指富達管理層試圖通過交易布局，從中獲利。

追討1000万

他指出，ASU通過律師，通知鄭博毅於2013年2月，富達通過子公司支付予PT Goldchild Integritas Abadi公司的1600萬令吉，在印尼進行瀝青和煤炭貿易，這當中的1000萬令吉最終轉至相信是由多名富達管理層持有的RS Maha Niaga私人有限公司的戶口。

鄭博毅出示的資料顯示，RS Maha Niaga主要股東分別有張吉平及其兒子、古蒙威、林耀廷、劉建成、以及許惠鈴（人名皆譯音），而該些董事皆也是富達現有的董事局成員。

富達接傳票

鄭博毅更揚言，將對該些董事採取法律訴訟，以為富達追回失去的1000萬令吉。富達于傍晚向交易所呈報收到傳票，因鄭博毅已入稟法庭對張吉平等提出訴訟。

此外，鄭博毅透露，將聯合Kingdom Seeker Ventures私人有限公司（共持有富達18%股權）儘快召開股東特大，以向股東展現手上的證據，並且要求罷免張吉平的董事職位。

鄭博毅在2012年11月通過Kingdom Seeker購入富達的股權，成為大股東，並在2014年3月起出任公司的非執行董事。

隨著富達收購印尼ASU股份的計劃告吹，該公司採取法律行動針對已中止的油氣交易追討該公司已支付的5000萬令吉訂金。

富達在9月22日文告指出，該公司已入稟吉隆坡高等法院，控告ASU無法在買賣協議期限內履行協議內容，導致簽署的油氣收購交易失效，因此，富達要求ASU回退5000萬令吉的訂金。

另外，起訴富達2名董事，分別是鄭博毅和黃國安，指他們涉嫌在這項交易中違反受託和法定責任，試圖通過交易布局，達到從中獲利的企圖。

隨後在10月27（週一）富達再次向交易所宣布，2名持股10.51%股權的大股東--UOB代理（地方）私人有限公司和陳恆貴（譯音）要求召開股東特大，以罷免鄭博毅及黃國安的董事職位。

Tey calls to convene EGM to remove Protasco MD

KUALA LUMPUR (Oct 30): Protasco Bhd's non-executive director Tey Por Yee has called to convene an extraordinary general meeting (EGM) to remove company's managing director Datuk Seri Chong Ket Pen from the board.

In a statement issued late afternoon, Tey said the EGM will be held on Nov 28. He will be furnished with the facts and evidence of Chong's wrongdoing, in relating to two Protasco's Indonesia investments, directly to the shareholders, according to the statement.

"I am bringing the facts and evidence of Chong's wrongdoing directly to the shareholders ," he said, adding that he will be using his own money to pay for the cost of holding the EGM.

Meanwhile, two Protasco substantial shareholders, want to remove Tey and his counterpart Ooi Kock Aun.

To recap, the shareholder tussle started when Protasco last month filed a suit against Tey, Ooi Kock Aun and PT Anglo Slavia Utama to claim back US$22.2 million (RM71.9 million) it paid in its foiled attempt to buy a 63% stake in oil and gas outfit PT Anglo Slavic Indonesia (PT ASI).

Protasco claimed in a filing with Bursa Malaysia that naming Tey and Ooi as defendants in the suit was premised on the breach of their fiduciary and statutory duties, including the duty to disclose their interests in the transaction, conspiracy to defraud Protasco and the "making of secret profit".

However, Tey denies that he is holding any shares in PT ASU and PT ASI.

Tey, who owns 16.68%, in a press conference on Tuesday, alleged that Protasco through its subsidiaries had paid a total of RM16 million to PT Goldchild Integritas for bitumen and coal trading with Indonesia. Of this RM16 million, RM10 million was channelled back to RS Maha Niaga Sdn Bhd, whose shareholders are senior management executives of Protasco.

Tey claimed that a paper trail of money provided evidence that the amount paid by Protasco was flowed through layers of companies before a RM10 million cheque was drawn and paid for the benefit of Maha Niaga's account with United Overseas Bank (Malaysia) Bhd.

As such, Tey has filed a derivative action against the company and its senior management, via his private vehicle Kingdom Seekers Ventures Sdn Bhd, for the return of RM10 million to Protasco and general damages purportedly suffered by it.

However, Chong denies all the allegations.

“Clearly, this new proceedings amounts to nothing more than an attempt to smear and tarnish my reputation, apart from seeking to divert attention away from the earlier on-ongoing legal proceedings filed by Protasco Bhd against Tey and others,” Chong said in a joint press statement.

Chong added that he has appointed solicitors to “vigorously defend” the suit against the civil suit and will lodge a police report in respect of those allegations.
