Description K-ONE TECHNOLOGY BERHAD ("K-ONE TECH" OR "COMPANY")
(I) ACQUISITION OF 60% EQUITY INTEREST IN G-ASIAPACIFIC SDN BHD;
(II) CALL/PUT OPTIONS; AND
(III) DIVERSIFICATION
(COLLECTIVELY REFERRED TO AS "CORPORATE EXERCISES")
We refer to the Company’s circular dated 12 February 2019 (“Circular”) and the shareholders approval received on 27 February 2019. Unless otherwise defined, the definitions set out in the Circular shall apply herein.



The Board of Directors of K-One Tech wishes to announce that the Company had on today, exercised the Call Option to purchase the Option Shares from the Vendors pursuant to the Call/Put Options Agreements at the Option Price of RM17,259,814.40 to be satisfied via the issuance of 53,936,920 Option Consideration Shares at the Issue Price of RM0.32 per Option Consideration Share, which is rounded down from the 5D-VWAP of K-One Tech Shares immediately preceding the date of the Exercise Notice of RM0.3235.



The Option Price was determined as follows:



Option Price = B x C x D

RM17,259,814.40 = 5,393,692 x 8 x 40%



Where: B = GAP’s PAT for the 12M-FPE 31 December 2019 (excluding extraordinary items and any profits of a capital nature arising from the disposal of fixed assets, investments, plant or any other assets as certified by the auditors of GAP);



C = PER ratio of 8 times; and



D = the percentage of shareholding in GAP which are legally and beneficially held by the Vendors (collectively) as at the date of the Exercise Notice.



The Exercise Notice has been duly served to the Vendors to exercise the Call Option.



The exercise of the Call Option will be completed within one (1) month from the date of the Exercise Notice of 19 May 2020. Upon completion, the Company will own 100% of G-AsiaPacific Sdn. Bhd., instead of the current 60%.



This announcement is dated 19 May 2020.

If we were to convert current price 0.77 to pre-bonus, it would be at 1.155. Hence, it is still okay.

I bought only 30% of what I sold as the price didn't go down to my target. If the price starts to shoot up next week, I may have to pick up more when there is opportunity.

Hence, we expect a good uptrend starting next week.

Your statement of V shape share price touching 0.25 in 1-2 days seems quite difficult from current movements. Nevertheless, I shall wait to re-enter at current lower price.

I do agree that this company has good prospect. How the share price performs would depend on the Fund Mgrs and Operators. Happy trading.

We must understand that the share price has to be reasonably good before EX-date otherwise, it would become a penny stock thereafter. Hence, I suggest that you do some calculations based on the future value of the share. Happy trading.

Could see follow through support from 0.875 and at it's strongest at 0.900. Chart showing ascending triangle. We will see it breaks 0.945 tomorrow if the current trending follows through.

I started picking again at <0.765 and my latest buys were yesterday.

We need to HOLD.
HOLD.
No amount of fund is sufficient to support if everyone starts selling. There no cause to panic as this company well managed amongst the siblings & relatives. Hopefully, we will see the share hit above 1.38 again soon.

My advice to all is, HOLD.
This is temporary, alike what China has experience.
During their bad period, many companies experienced reduction of their share value below 56%.
Recently, President XI released USD20B to buy up all those shares in American & European companies at below 44% from its old price. No further explanation required.

We have many smart alec in this forum, giving low TP as such it creates panic amongst small time investors so, they start selling when they see what your unsubstantiated analysis is coming true. Same goes to when during the bullish period when the TP is inflated beyond that current price, people would start chasing. Therefore, stop your smart TP without any research done to support it.

What we saw just now, was panic selling from 0.850 > 0.750. Those with heart of steel, with holding power, will end up winners. They would take opportunity in such kind of situation.

It was grossly Oversold at RSI below 20% region. The next Resistance is at 1.13 which is quite far away so, it gives good opportunity to accumulate at current price.
