SALIENT TERMS OF THE AGREEMENT
3.1
The Agreement is intended for MMSB and JD to confirm their interest in establishing a Joint Venture Company to acquire a company (“Glove Company”) in the manufacturing and marketing of gloves and possessing an on-going glove making factory, its machineries, intellectual patent rights (if any) and fixed assets of buildings and land at the purchase price to be negotiated and agreed upon by the Parties.
3.2
MQ Tech and JD shall subscribe and participate in the capital of the JV Company at all times in the proportions of 30% and 70%, respectively. All measures and expenses relating to the acquisition of the Glove Company shall be borne and paid for by both parties in the same proportion earlier mentioned.
Both parties mutually agree that MQ Tech shall be entitled to increase its participation in the equity capital of the JV Company by another 30% by acquiring 30% of equity capital held by JD at fair market value in due course.
3.3
In the event of either party committing a breach of any of the provisions of the Agreement, the other party shall, without prejudice to other rights and remedies available, have the right to terminate the Agreement, by giving the defaulting party a 30 days prior notice in writing, specifying inter alia the nature of the claimed default and the intention of termination unless such default is rectified by the

NEW DELHI (July 13): Tata Sons plans to quit its budget airline venture with AirAsia Bhd as the Covid-19 pandemic batters the aviation business, according to an Indian media report on Monday.
Malaysia's AirAsia Bhd owns 49% of AirAsia India, the maximum foreign ownership allowed in an Indian airline, while the remainder is held by Tata Sons.
"Tata is not very keen on staying invested in AirAsia India. AirAsia's Malaysian partner has approached Tata Sons to sell its 49% but Tata has not accepted the offer.
“In fact, the plan — which is at a preliminary stage — is to exit its holding in AirAsia India and focus more on Vistara," Livemint.com reported, citing sources.
Vistara is another one of Tata Group’s airline venture, launched in partnership with Singapore Airlines.
An AirAsia India spokesperson declined to comment when contacted by Bernama.
The airline, which began operating in June 2014, had talked about its plans to launch international services as well as a stock market listing before the pandemic sent the global airline industry into a tailspin.
It has more than two dozen aircraft and a network of 21 destinations in India.

PUTRAJAYA (July 7): The Court of Appeal is set to hear the merits of MyEG Services Bhd’s (MyEG) appeal against a High Court decision upholding the Malaysia Competition Commission’s (MyCC) action of imposing a RM9.34 million penalty on the e-government services provider for abusing its dominant position.
This follows the decision today by a three-member bench of the Court of Appeal not to grant leave to MyEG to introduce purported fresh evidence that was not adduced in the High Court.
The panel was led by Datuk Rohana Yusuf, and included Datuk Seri Azahar Mohamed and Datuk Zabariah Mohd Yusof.
In dismissing MyEG’s leave application, the judges ordered the company to pay RM20,000 in costs to MyCC.
MyEG’s substantive appeal against the RM9.34 million penalty is set for a hearing on Aug 13 where both MyEG and MyCC will submit their arguments to the judges.
Last year, the High Court upheld the penalty imposed by MyCC, ruling that MyEG was a monopoly and action should be taken against the company.
The RM9.34 million penalty comprises a financial penalty of RM307,200 and daily penalties from Oct 7, 2015 to Jan 22, 2019 amounting to RM9.34 million.
It was reported that MyEG had paid RM6.4 million of the total amount owed to MyCC.
MyEG said with the acceptance by MyCC, it had fully complied with the decisions made earlier by the commission and the Competition Appeal Tribunal.
Lawyer Datuk Lim Chee Wee acted for MyCC today, while Jack Yow appeared for MyEG.

KUALA LUMPUR (July 1): Vsolar Group Bhd’s share price soared to a new high today, fuelled by the counter’s robust trading volume of 1.015 billion shares, which far exceeded its 200-day average volume of 17.11 million.
The stock — which was the most actively traded across the bourse today — settled 30.77% or two sen higher at 8.5 sen on market close after the solar energy firm yesterday reported a narrower net loss of RM366,000 for the third quarter ended March 31, 2020 (3QFY20) versus RM648,000 in the corresponding quarter a year ago.
The group’s market capitalisation stood at RM34.9 million. The stock has reversed its losses since March 16, when the stock was trading at two sen, its lowest this year. Year to date, the stock's value has increased by 40%.
Vsolar’s narrowed net loss for 3QFY20 was achieved on the back of higher revenue of RM880,000, over six times the RM142,000 it achieved a year earlier, boosted by higher demand from information technology product sales during the quarter.
The group, however, saw its net loss widen to RM2.28 million for the nine-month period ended March 31, 2020 (9MFY20) compared with a net loss of RM1.22 million a year earlier, though revenue grew 50% to RM1.92 million from RM1.28 million.
The group said it is reviewing several renewable energy projects including examining opportunities to participate in the Government’s drive to increase investments in the revised Net Energy Metering (NEM) Scheme.
On June 16, the loss-making firm announced that it was looking into developing a large-scale solar facility under the Energy Commission’s LSS@MenTARI programme.
The ACE Market-listed group plans to bid for a quota under the programme, with the support of Mattan Engineering Sdn Bhd as the engineering, procurement, construction and commissioning partner to develop the project.
Maybank Investment Bank Bhd remisier Jeffry Azizi Jaafar said interest in the counter was driven by a few factors, including Vsolar’s collaboration with Mattan.
“Lately the [solar power] sector seems to have garnered positive sentiments especially from the Government. Last week TNB (Tenaga Nasional Bhd) awarded contracts to two companies for solar-related projects. This bodes well for the sector,” he told theedgemarkets.com when contacted.
“On the technical front, Vsolar has made a breakout from the resistance level of six sen on June 29. This led to the change in the share price trend from sideways to uptrend,” he added.

KUALA LUMPUR: A senior management staff from e-service provider MyEG Services Bhd told the High Court in Ahmad Zahid Hamidi’s corruption trial that his boss instructed the company to pay RM9.6 million to a law firm linked to the former deputy prime minister’s case over a two-year period.
Chief financial officer Chong Chien Meng said the RM9.6 million, made through 16 cheques, was a “director’s loan” to Mohd Jimmy Wong Abdullah, a member of MyEG’s board of directors.
The payments were made from May 13, 2016 to March 26, 2018.
“He told me to issue the banker’s cheques under the name of law firm Lewis & Co.
“I assumed it was payment for a legal case, so I put it down on the bank draft document,” Chong told deputy public prosecutor Harris Ong.
Harris asked Chong why he did not put Wong’s name in the banking documents since the witness had said the RM9.6 million was a loan.
“If we put it as a loan for Datuk Jimmy, then it would not tally with the recipient’s name (Lewis & Co),” the witness replied, adding that he recorded the RM9.6 million as a “director’s loan”.
Chong also told the court he did not question Wong on why he needed that sum of money from MyEG.
“This was something personal. He later paid back the loan to the company,” he said.
To a question from Zahid’s lawyer, Hamidi Mohd Noh, on whether the company’s auditors raised any issues on the “director’s loan”, Chong said they did not.
Co-counsel Ahmad Zaidi Zainal then asked Chong about MyEG’s announcement on Oct 19, 2018 that its directors had never made any payments to third parties to secure government contracts.
“MyEG came out and said they were not involved in giving kickbacks on whatever projects you obtain?”
“Yes,” Chong said, explaining that the Bursa announcement was meant to clarify media reports that linked MyEG to Zahid’s corruption charges.
He also said the company launched a domestic inquiry to confirm the authenticity of the media reports.
The prosecution had contended that Zahid received RM13.3 million from a company, Mastoro Kenny IT Consultant and Services, to help MyEG secure its projects
MyEG provides a wide range of government services including those related to the traffic police, the National Registration Department and the Immigration Department.
Zahid is facing 47 charges of criminal breach of trust involving family-run Yayasan Akalbudi’s funds. He is also accused of money laundering as well as accepting bribes for various projects during his tenure as home minister.
The hearing before High Court judge Collin Lawrence Sequerah continues on July 14.
