OVERVIEW OF BUSINESS AND OPERATION
Core Businesses
Oil Palm Plantation and Mill Operation
Sarawak Plantation Group’s principal businesses are
cultivation of oil palm and processing of fresh fruit bunches
(FFB) into crude palm oil (CPO) and palm kernel (PK). The
oil palm business has two core operations, namely estate
operation and mill operation. This contributes over 99% of
the Group’s revenue and earnings. The Group owns 13 oil
palm estates with total land bank of 42,185 hectares (ha).

In the year under review, the total plantable hectarage
was 35,656 ha. In addition, the Group also has another
estate with the size of 412 ha (planted 405 ha) under a
joint venture with one of the Sarawak State Agencies.
The Group owns and operates 2 palm oil mills located
at Niah and Mukah, respectively. During the current
financial year, Niah Palm Oil Mill’s capacity was
expanded from 60 metric tonne per hour (mt/hr) to
80 mt/hr, leading to the Group’s total milling capacity
of 140 mt/hr.

FGV Holdings Berhad (“FGV”) wishes to announce that its subsidiaries, Sri Kehuma Sdn. Bhd. and Yapidmas Plantation Sdn. Bhd. (“the Defendants”) had on 10 April 2023 been served with a sealed Writ of Summons dated 13 March 2023 (“the Writ”) by Euggne Kousai (“the Plaintiff”).


The Plaintiff among others claiming for damages amounting to RM24,924,000.00 due to the Defendants alleged fraudulent transaction and continuing trespass in relation to the lease agreements of forty-one (41) parcels of lands held under Native Tittle where the Plaintiff claims to be the registered owner.

The Court has fixed for the first Case Management on 13 April 2023 at Kota Kinabalu High Court.

FGV and the Defendants are seeking legal advice to act against the Writ.

Further announcement on the development of the above matter will be made in due course.

FGV gets fourth extension to comply with public shareholding spread as it mulls preference shares issuance

KUALA LUMPUR (April 4): FGV Holdings Bhd said it has received a fourth extension from Bursa Securities to comply with the minimum public shareholding spread by September 2023.

The plantation group’s public shareholding spread stood at 13.09%, compared with the minimum requirement of 25%.

The extension was provided soon after FGV said that its board of directors is exploring the issuance of new Islamic preference shares, as part of a rectification plan for the company to comply with the public spread requirement.

“If feasible, the corporate proposal is expected to take up to eight months to complete, barring unforeseen circumstances,” FGV said when revealing the plan on Feb 27.

FGV is 86.91%-owned by the Federal Land Development Authority (Felda), which raised its stake from 36.61% amid a failed privatisation exercise in 2021 at RM1.30 per share in December 2021. The takeover exercise’s deadline was extended three times.

Extension to the deadline for FGV to comply with public shareholding spread was provided in March 2021 to August 2021.

It was postponed further to February 2022, and later to August 2022 before an initial rejection by Bursa Securities for another extension — until the preference shares proposal was mooted.

Shares of FGV settled down one sen or 0.68% at RM1.45, giving it a market capitalisation of RM5.29 billion. Year to date, the counter has risen by 9.85%.

Revenue Group Bhd’s former executive director and co-founder Dino Ng Shih Fang has ceased to be a substantial shareholder of the group, after offloading 53.95 million shares or a 11.19% stake. Following the disposal, Dino is left with 15.3 million shares or a 3.17% stake in the e-payment solutions provider. Dino co-founded Revenue with Datuk Eddie Ng Chee Siong, as well as his brother Brian Ng Shih Chiow in 2003. With this, all three co-founders of Revenue have ceased to be substantial shareholders in the group. All three had also left the board in the past two weeks.
