siewann19, to answer your question, you must study the entire JV project between Digistar, Kumpulan Melaka Berhad and Pembinaan Sujaman.
Last time I spend many months to understand the cost structure between 3 of them, so it is very difficult for me to explain here.
Let make a deal, once Digistar hit RM0.30 sen, then I will spend 1 whole day to explain the cost structure here.

Under Financial Reporting Standard, normally a company can only consolidate its subsidiary account if it hold more than 50% of the share of the subsidiary. Consolidate mean all the revenue and expenses will be group under its holding company account for reporting purpose.

If less than 50%, then only can classified as Associate. For Associates, you are not allow to consolidate its revenue, you can only reflect your sharing of its net profit / net losses in your account.

For example:-

Scenario 1:-
Company A hold 60% of company B.
Let say company A revenue is RM100mil, and company B revenue is RM50mil.
When company present its financial report, company A will report total RM150mil as its revenue, because company B is its subsidiary, so company A will consolidate its revenue.

Scenario 2:
Company A hold 40% of company C.
Let say company A revenue is RM100mil,net profit is RM10mil, while company C revenue is RM50mil, and its net profit is RM5mil.
When company present its financial report, company A will report total revenue of RM100mil, and net profit of RM12mil (RM10mil + 40% of RM5mil).


For Digistar, although Digistar only hold 40% of Indera Persada, but Digistar has the main control power in the Board of Director of Indera Persada, that why Digistar are allowed to consolidated Indera Persada revenue into its financial account.

If you need more information why Digistar can consolidate Indera Persada account, you might need to read the quarter report or annual report, I remember I have read it before, but I forgot where I save it in my computer.

1) Digistar have stable recurring income of RM3mil per month. This income will continue for 15 years, where total amount will be RM504mil.
2) Digistar have stable hotel business income, their hotel is located beside Dataran Pahlawan, and Melaka Tourism business is booming, it hotel weekend occuppied rate is 90%, while weekday is around 50-60%. Digistar plan to restructure it swimming pool area, make it become a big ballroom, so can cater for weekday corporate function or weekend wedding dinner.
3) Current it has RM60mil on hand, and it will received another RM66mil lump sum payment from government before July.
4) Digistar is currently tendering two big project.
5) Digistar has bought a piece of land in Melaka Cheng, and Digistar plan to proposed to Government to build another building for government under concession concept (similar to the existing JKR project).
6) Digistar Central Monitoring System are working closely with TMNET, CELCOM, and PDRM. They always join PDRM to have roadshow at many taman-taman.
7) The have recently appoint a new chairman, this new chairman is very powerful person, he is the director for Prolintas. Prolintas is the holding company for few highway, such as LKSA, SUKE, DASH, AKLEK highway...etc.

For me, Digistar is similar to the above counter, but Digistar is even better, Digistar have total RM540million in next 15 years, while the above only have RM500mil in next 21 years.

Why so optimistic on DNEX, maybe Government will give everything to MyEG?

Digistar left one very important elements to become a good counter, that is Dividend.
Once company start to declare dividend (i.e. 1 sen), then it can attract many people to invest in this counter d.
Digistar have approximately 600mil share, if declare 1 sen, then it only need RM6 million, it is very comfortable level as company received Rm3mil steady income per month.

If declare 2 sen, then Digistar pasti tuju langit!!!!

Uncle told me, the best stock to invest is those stock that making loss for few year, and will turn profit in coming years.

The reason of making loss in past few years must be due to company is making something to generate income for future. For example, company replanting palm oil, company construct new factory / new warehouse / new production line / power plant, and once all these project is done, you will see that expenses drop substantially and revenue start to flow in, and it is the time company start to enjoy profit.

He said many investor don't like company that having loss, especially company have having loss for few years, they don't even bother look at its account, they don't even bother to study the company to understand why it make loss. So this type of company share price is normally at the bottom line, once it start make profit for consecutive quarter, investor will come back, and they will study the company, and they will see the company potential.

So, as long as we have holding power, we understand the company business, we believe the company can turnaround, then we should patiently collect the share and wait for it to perform.

For me, Digistar fullfill this criteria, many ppl look at its losses, look at its huge debts, then they give up this counter.

They don't understand why it make losses, they don't understand the huge debts is use for what purpose.

Last time I knew one uncle hold 10,000,000 unit of a penny stock.. (around 22 sen)
Then the stock everyday climb up, the Uncle too excited until sleepless.
The share price finally go up to above 60 sen.. and uncle made few million from it.
For every 1 sen jump in price, his net worth is increased by RM100,000.
He told me he never made so much money in his life, his career or his business.
