KUALA LUMPUR: Messrs KPMG PLT has resigned as external auditors for Serba Dinamik Bhd with immediate effect on Thursday.

Serba Dinamik said in a filing to Bursa Malaysia it had received a notice in writing from KPMG on its resignation as auditors with immediate effect.

KPMG entered into the 1MDB picture when the investment fund's auditor — Ernst & Young (EY) — was terminated before it completed the audit of 1MDB's accounts for the financial year ended March 2010 (FY10).

According to the Auditor-General's Report declassified in 2018, EY was sacked on Sept 15, 2010 as it declined to sign off on the FY10 accounts of 1MDB, unless it was provided with certain documents on the US$1 billion joint venture with PetroSaudi International.

KPMG, which took over in September 2010, signed off the FY10 accounts one month after it was appointed as well as those for FY11 and FY12. However, the audit firm refused to sign off the accounts for FY13 because it was unable to verify the authenticity of 1MDB's US$2.318 billion investment in a Cayman Islands' investment fund.

KPMG had concluded that several individuals who had signed audit
confirmation requests on behalf of their companies (who are SDHB’s customers
and suppliers) did not exist merely based on calling the front desk receptionist
of these companies to verify identity (some of which employ thousands of staffs.
This was despite the fact that senior members of the said companies had
subsequently confirmed the existence of these individuals and no further action
was taken by KPMG

She also noted that KPMG had been auditing Serba Dinamik’s financial statements since FY13, and this implies that KPMG may have likely performed due diligence on Serba Dinamik’s major customers and vendors in the past.

“We understand from management that the latter remains largely the same, particularly in recent years. This includes the Bahrain customer highlighted by KPMG in its audit matters. Therefore, we are baffled by the magnitude of KPMG’s unusual actions. We believe this will leave investors puzzled and weigh on sentiment as it implies potential red flags,” she said.

While Serba Dinamik responded in a timely manner to justify the matters raised by the auditor, she said, in an unusual twist of events, there was no response by KPMG.

“Instead of verifying management’s explanations, the auditor approached the board of directors. This was to request for the appointment of an independent party to conduct a special review. Under normal circumstances, this practice is a deviation from the normal audit process,” she said.
