Some worry whether the share price will slide down if the Melewar's exercise fail.
Some worry whether minority has the power to deny Major shareholder.

Besides Insurance in Philippines, MAA invested in Altech Chemicals for few years of R&D, pilot plant, planning, financing, getting authority approval and so on which does not bring revenue. Now the construction of the HPA plant commence Aug 2018 and expecting start bring in revenue next year or so. Means we can't enjoy the fruit after planting the tree for the last 3 years and so..
Below are the info from Altech Chemicals:
Project Economics
Cash flow modelling of the Project (price of $40/kg) shows a pretax
net present value of USD 1.1 billion applying a discount rate
of 7.5%. The payback period is 2.2 years at full rate and the pretax
internal rate of return is 33%. The Project generates annual
average net free cash of ~USD133 million at full production
(allowing for sustaining capital and before debt servicing and tax),
with an attractive margin on HPA sales of ~74%. Annual sales
revenue is USD180 million applying a conservative FOB sales
price of USD40,000 per tonne of finished product HPA. Total
operating costs, including mining, shipping and chemical
processing are average USD47.3 million per annum or
USD10,500 per tonne of finished product HPA.
Off Take Secured
Altech has executed a 10-year off take sales arrangement with Mitsubishi Corporation’s Australian subsidiary, Mitsubishi
Australia Ltd (Mitsubishi) for production from the Company’s Malaysian HPA plant. The Agreement appoints Mitsubishi as
the exclusive buyer of the HPA from the plant and will commence on the date of first shipment of final HPA product. The
contracted sale quantities will mirror Altech’s proposed HPA plant’s production ramp up.
High Demand Market
HPA is a high-value (USD28,000 – USD40,000 per tonne) high
margin and highly demanded product, as it is the critical ingredient
required for the production of synthetic sapphire and is
increasingly consumed in the manufacture of large format lithiumion
batteries. Synthetic sapphire is used in the manufacture of
substrates for LED lights, semiconductor wafers for the electronics
industry, and scratch-resistant sapphire glass used for wristwatch
faces, optical windows and smartphone components. There is no
substitute for HPA in the manufacture of synthetic sapphire.
Lithium-ion battery manufactures require HPA as a coating for the
plastic anode/cathode separator to reduce separator shrinkage
and combustibility. Global HPA demand is approximately
25,315tpa (2016) and demand is growing at an annual rate of
16.7%.

Another possibility is buy at 60cebts, n sell at rm1 after news announced. If someone is borrowing to speculate, he can make 50% return in 2-3 days.
The same tactics can apply when SCR increase. So double earnings in a privatization case.
So someone is selling not a strange thing.

Since minority is the majority, Why not we form a minority group to counter offer RM1. 15 to buy off Mekewar 36%. I guarantee no a single cent we need to splash out to take over Melewar share.

I feel you, Markus. The points you stress to MSWG is the pain of most minority.
But the biggest bulliest is PNB, the gov own investment body. See recently how they squeeze share price in RI in MNRB and SAPNRG.

Since the board of directors not yet decide on the proposal and have appointed Affin Hwang as advisor, means the BOD not yet accept the offer. What we can do is voice out our discontent as loud as possible to make the whole world know. Then the investment bank will not simply put a low figure. If the figure submit to BOD is higher than RM1. 10, BOD cant play to say accept the offer price.

MNRB is just a rm800 market cap co. It is very small compare to Malaysia financial sector. Unless it take out loan from other bank, can you tell us how it affect other bank if it go burst?

Insurance co can reinsure to oversea reinsurer. With the size of MNRB, it can only take very small portion in Malaysia market, saying its financial stress will harm the whole country financial system is overstatement. Unless it has hidden debt which is very huge.

Agreed. Better wait two Q results. No point to take the risk since now market has so many bargain. Only this week we know that TH 2017 audited financial report merely a creative accounting turning loss to profit. And we saw Najib charged with edition on 1MDB report. Now we saw MNRB need money so urgently.. Hopefully i m too worrying..

I hope SC will allow the extension. Even though MAA is in PN17 since 2011, throughout the years the management is truly working on restructure of the co biz like selling takaful biz, increase share in Philipine insurance, buy and sell Columbus, collect bad debt and settle dispute on bond etc. Now they are in mineral biz and management has said openly they are looking for manufacturing sector, give some times for them to get out of finance sector and perhaps relisted as Industrial sector, may be.

If major shareholders want to privatise it, use co money for share buy back and cancel it will be faster n zero cost to increase his %.
But i believe Tunku is not that kind of ppl. He is looking for new venture of business like aluminum raw material manufacturing which is related to his Melewar. Cash has been reserved because some new biz is in discussion, i guess.

i think it is good to sell Columbus Capital with reasons:
1) Australia property market was overheated and now expecting to down turn. This may trigger more default on loan.
2) Hard to get Australia authority's approval to acquire controlling stake in the group.

According to EMH, liquidity will increase the market efficiency. As we can see recently delisted few companies which has low P/E and share price below NAV.
Increase of EPS by cancelling treasury share may not transform to share price close to its actual value. However, distribute it as dividen (if 1 to 10 ratio) will increase its DIY and liquidity. It will create cash flow to shareholders as well.

distribution of treasury share is not bonus issue. The total of share issued is not increase nor diluted EPS.

canceling treasury share may not push up the share price since liquidity becomes lower.
Cancelling treasury share won't create cash to co and shareholders. But distribute it to shareholders will create cash flow to small holders like me. If BKawan distribute 1 treasure for 10 shares, it will be a fat dividends to me. :)
