Insas cash pile has gotten huge and will only get bigger by selling more Inari shares over time. For Thong to get hold of ALL the cash he needs to first cross over the 50% shareholding and later privatize Insas. Thong at this moment also can't formally touch the cash hoard.

Previous Insas warrant issue size was smaller, 265 million and Thong needed 230 million warrants to cross over the 50% line. Current Insas-WC issue size is 331 million and Thong and PAC already owns at least 115 million warrants.

Below 90 sen cannot cross 50% lah, where can sapu over 230 million shares below 90 sen? But can exercise 230 million warrants at 90 sen, warrant price fixed, cannot change one.

Most important we must keep in mind is that only "buying" boost stock price and nothing else, a stock can sell at way below its cash backing and if there's no "buying" of the stock, the price of the stock stays down.

It's very rare here in our local stock market for a stock to be able to keep going up indefinitely. The US stock market is different. There's endless money chasing stocks there.

As stated in the Circular, the completion of the Proposed Rights Issue will not give rise to any consequences of MGO. However, should the major shareholders or persons acting in concert (“PAC”) exercise their Warrants such that their shareholdings in Insas increase to more than 33%, they are obliged to undertake a MGO for all the remaining Insas shares not already held by them.
Under the Companies Act 2016, RPS can be redeemed out of 3 scenarios:- 1) Retained profit; 2) New issuance of shares; or 3) Capital of the company. It is likely that the Company will redeem this new RPS out of retained earnings. Presently the Group has retained earnings for more than RM750 million, the Board is comfortable that this will not affect the available retained earnings for distribution as dividends to shareholders.

Despite the KLSE CI closing in the red, Insas has shown great resilience to close 1 sen up. If Insas closes 1 sen up everyday Insas will reach RM1.80 in 73 trading days.

@MrSslee, can't compare PPHB with Insas. PPHB smaller capital base, less free float, controlling shareholders own more than 33%, Company can do SBB. Insas share price been suppressed. Although Insas' is much superior, PPHB share price can overtake Insas because Insas just isn't performing.

Insas RPS size is only RM132 million but the warrants issue size is 331 million. Why does Insas need to issue such huge warrant size when it only needs 150 million warrants to be exercised at 90 sen to fully settle the RPS.
