*Recent Corporate Exercises*:
1. New ESOS: 5% of total no.of issued shares (5 years) Objective is for retention of talents.

2. On-going PP: 20% of total issued shares (raised RM118.7m from the placement of 431.5m shares)

3. Conversion of warrants- raised RM47.2m from conversion of 94.3m warrants

4. New PP: 30% of total no. of issued shares (if required) subject to the approval of shareholders at EGM to be convened in 2Q2021.

5. Been talking to some banks to raise debt as well beside the placement.

*Silterra*
1. DNeX 60% Stake, CGP 40% stake, price to book for acquisition at 1.89x.

2. 120m to be injected within 180 days of completion of acquisition

3. FY2019 revenue: RM396.5m (Asia: 49.6%, USA: 3.5%, others: 30.1%, Europe: 16.8%)

4. Optimistic about the outlook on the demand for semiconductors. More than RM520m (c.+31% YoY) of revenue for 2020 alone (information from Khazanah).

5. Outlook: Global semiconductor sales to grow by 8.4% in 2021 to USD469.5bn

6. Demand for semiconductor growth would be driven mainly by EVs.

8. Have budgeted RM200m of capex to be spent over the next 2 years

9. Recorded a slight net loss for FY20 but is slated to be profitable in FY21 based on current ASP trend.

*CGP*
1. AUM: RMB 18.1bn (USD2.77bn), silterra would have access to CGP Fund’s network of semiconductor companies.

2. Rationale behind acquisition is so that China can have secured supply on semiconductors and tap into the capabilities of Malaysia. Could use it as an avenue to come up with new products.

3. CGP has turnaround experience. CGP has transformed Silex into the most advanced pure-play foundry by revenue for MEMS devices. Silterra would not need to spend excessive amounts on R&D for Micro Electronic Mechanical Systems (MEMS).

4. Plan to improve capacity from 480k p.a to 500k p.a, utilisting CGP’s expertise with regards to transfer of technology, further optimize cost and tap into CGP’s network of clients.

5. 2018 Wafer production: 241k; sales: 223k; ASP: RM2082, 2019 wafer production: 217k, sales: 231k, ASP: RM1636

6. Silterra will produce new products for MEMS by working with SILEX, no.1 MEMS foundry in 2020

7. Improving utilization of CMOS core with process upgrade and remove bottlenecks.

8. Will improve ASP margin, Silterra is running at full capacity of 30k wafers per month, Average ASP margin to increase by 30% from mid last year

9. Will optimize the usage of MIMOS, can outsource some of the R&D to MIMOS, at USD3m per annum

DNeX is pushing hard to complete its internal transformation in June to prepare for impending acquisitions

1. Hope to finalise acquisition of Ping by June, most regulatory framework has been done.

2. Able to optimize ASP from Crude from ownership of FPSO

3. OGPC - bagged a contract renewal from PetDag worth RM7.4m for 18 months from 19 February 2020

4. New principal in Donaldson Filter from USA has resulted in a supplied product contract to Petronas MLNG for RM1m.

5. Able to position OGPC to supply more services to Petronas from better oil prices, to negotiate more long-term supply and maintenance contracts with Petronas.

*Telco Developments ( CS DNeX Pacific Link)*
1. Bagged a contract worth RM12.18m for the main lay work of submarine cables in indonesia via consortium with PT SMS and TelkomInfra for 63 days. (Google and Facebook investment in Indonesia to create big market for submarine cable business.

2. Close to finalizing long-term contract with target date next week, 3+3 year contract with MS SKLL contract with TelkoImfra (Partner), to lay cables in Indonesian waters. Many interest of potential clients from Japan and Korea to do cable laying jobs for them.

3. No lack of jobs and opportunities out there for this vessel. A typical contract involves a standing charge (fixed charge), USD5m a year daily rates based on repair/laying USD48k/day.

4. Will look at the performance for this vessel first before expanding the business.

1. Finalising implementation of iGFMAS, existing contract until Aug 2021; pursuing maintenance for iGFMAS application project. Vying for an extension of the project.

2. iGFMAS contract size is estimated to be around RM30-40m.

3. Smart City Solutions, expecting to sign an MoU with Iskandar for Smart city this month. Good feedback from DBKL currently

4. Total remaining contract value from AI solutions: RM79.4m (Kementerian Air Tanah dan Sumber Manusia, LHDN, Public Sector Data centre)
