1. Bio Osmo wishes to announce that the Company had on 19 February 2014 acquired
the entire issued and paid-up share capital comprising of 2 ordinary shares of RM1.00
each in Sinaran Strategik Sdn Bhd (Company No. 1043077-V) (“Sinaran”) for cash
consideration of RM2.00 (“the Acquisition”).

2. Sinaran is a private limited company incorporated in Malaysia under the Companies
Act, 1965 on 18 April 2013 with an authorized share capital of RM400,000.00
comprising of 400,000 ordinary shares of RM1.00 each of which 2 ordinary shares are
issued and fully paid-up. Sinaran’s principal activity is general trading and is currently
dormant. The name of the Company, Sinaran Strategik Sdn Bhd will subsequently be
changed to Al Maurid Oil & Gas Sdn Bhd.

3. Bio Osmo acquired 1 share each from the following Related Parties:
(i) En Harzani bin Azmi, a Substantial Shareholder of Bio Osmo; and
(ii) En Auzir bin Mohd Yaacob, a Director and Shareholder of Bio Osmo.

4. The Related Parties are deemed interested in the Acquisition and have abstained
themselves from Board deliberation and voting on the resolution approving the
Acquisition. Save as disclosed, none of the other Directors, Major Shareholders and/or
persons connected to them have any interest, direct or indirect, in the Acquisition.

The TH Heavy Group is expected to realise an immediate gain of approximately USD4.398 million from the Sale Shares disposal to Globalmariner Offshore Services.
