in order to revive, SD is in need of the funding as working capital and long term capital. Who would provide the funds to SD and or the bunch of clowns and jokers after they have screwed up their reputations? No external funding and Public funding are forthcoming , SD is sure to be bleeding to death.
On this basis, the financial institutions/secured creditors would rather recover their debts by liquidating the company fast and furious . The longer the creditors wait, the higher the risk of bad debts............

The creditors are pissed off with the arrogant and uncooperative attitudes towards external auditors and market regulators etc to create such a mess as at to date. SD 's reputation has been severely tarnished to the maximum in the eyes of investors local and abroad . The Creditors are of the view that it is going to be very difficult for SD to revive in a million years
Given that scenario, the Creditors are unlikely to accept the scheme , which is reflected in the market now

Casual creditors meetings are ongoing till now 25th before the Court will be informed of the outcome next week.
SD has been trying hard to convince all the creditors to accept the scheme now in do or die situation. It is purportedly learnt that creditors are dubious about the whole schemes and sceptical about the integrity of the current BOD to deliver given their past nasty experience and uncooperative attitudes towards the external auditors and market regulators etc ..

No sign and sight of funds support but retailers.
Promotors sideline awaiting for outcome on the creditors casual meetings. Until then, it is expected to be down in anticipation of the rejection of scheme plan,which is purportedly believed to be the likely outcome.

It is purportedly believed that the creditors are not expected to accept the scheme of repayment as SD has not been sincere and cooperative enough to respond to the queries made from the auditors but making it difficult for the external auditors to carry out their audit efficiently and effectively from day 1
The creditors are casting doubts on how and what the SD would be able to revive without constructive plans. All the projects mentioned by SD require substantial funds/working capital etc . How these funds can be obtained is questionable, hence SD is destined to be doomed....

Like MAS,Sapura must be salvaged by the Government due to national pride and heritage. It could be revived if the BOD is efficient.

Secured creditors would like to see if the proceeds from the sale of "identifiable Assets" can satisfy their minimum repayment threshold and how the remaining balance is to be satisfied. You never know , the secured creditors might give SD a final chance to revive.......it wont be surprising that the secured creditors would put their representatives in the composition of the Board to supervise them.

Bros,what makes you think that the secured debts must be secured on fixed,floating ,blanket charge.etc?
SD is a berhad and its debts can be secured on" corporate guarantee " and or " directors' guarantee " which are far more valuable.
It is common to borrow money with corporate guarantee alone without other forms of charges.

The proposed sale of identifiable assets can barely meet all the SD's hefty secured debts.
The said proposal is merely to calm the creditors so that they could accept the scheme with some repayment through sale of assets while the majority of balance would be repaid over a longer period through revival plans...

Secured creditors can recover their money faster through liquidation than the scheme of 100% repayment which will take donkey years.....
On the above basis ,it is unlikely that the secured creditors would accept the scheme..Hence,appointment of liquidator by court is unavoidable...

The lending was done in good faith through willing parties.
The lenders did not compel you to borrow from them. The lenders like other business are trying to recover their money owed to them in default through no fault of the lenders but the borrower ie Dr k in bad management of the company

Well, SD doesnt have to resort to external borrowing for the working capital . SD could make use of their internal fund collected from the receivables ( tons of money awaiting to be collected as claimed ) and/ or could issue right issues assuming all the existing shareholders would support to subscribe otherwise SD will plead the Government to subscribe through GLC or Government Investment arms by hook or by crook ( you know what i mean ). The circus of show will continue...

Judging from the reaction of the market , it is unlikely that the Financial institutions would be prepared to accept the scheme of arrangement by 25th May. The scheme of arrangement is believed to be prejudiced to the position of secured creditors. Conversion of substantial debts into equity shares valued at far fetching price , deferral of repayment to longer terms, impairment of certain portion of debts etc etc are all unacceptable to the secured creditors.

winding up petition is in progress by the Court. The Court is expected to consider the " economic consequences" , the right of the secured creditors and the plights of helpless investors , mostly equity shareholders on fair and square basis unlike the AGC who would only consider the " economic consequences" which is prejudice.

If SD was genuinely making losses without falsification of Accounts , the financial institutions( FI ) may give them a second chance to revive the Company at their mercy .
The FI can not tolerate companies resorting to false accounting with hidden agenda. No way the FI / creditors would agree to SD's repayment scheme. All the signs surrounding SD are harbingers of heavy depression of share price to take place.....
