I think operator has scooped up many cheap tickets from weak holders & stale bulls already..hopefully will turnaround sooner or later as operator is also keep BjCorp well supported in case you haven't noticed? The road to privatization is coming to an end..while the road to Wembley just started for BJCorp?
2021-04-13 11:27 | Report Abuse
I think operator will support at current levels as the fundamental base needs to be preserved otherwise investors confidence will be eroded unravelling Tsvt plans?

Operator is supporting BJCorp but pressing down BJLand for what purpose?
2021-04-13 10:37 | Report Abuse
Crypto has no base but BJLand has land & assets if Tesla set up a Gigafactory in Malaysia is true? BJLand has 871 acres of industrial land in Ulu Selangor with access to NKVE suitable for factory?

This totally agrees with you...with 87% control the bird is already in hand with all the low hanging fruits? Even somebody said BJCorp & BJLand is a pair of pants? Cut one out & the pants falls apart..
miniminer What has been obvious, VT had Publicly said his intention to privatized BJland cause it value has not been realized, then he increase his holding up to 87%, employed professional Jalil like to improve Berjaya Corp investor relationship and "Corp exercises" and someone said give Jalil 3 months to do review while VT said he want to give half of his wealth as Charity......40 cents entry can be still cheap but operators want you to believe BJland market value is around 18cents. Since you already made the decision to go in, why not just trust your decision and wait for ROI or until the share price shoots up again?
Anyway, BJland current NTA is above 80cents while a lot of assets have not been revalued for a long-long time, cash rich and it is the heart of BJCorp. So, be confident make up your mind and trade at your own risk ler, I could be wrong ya......hehehe.............

There's currently a 6 sens price difference between BJLand & BJCorp. If using Penta's 38/30 formula for share swap & cash dividend should be within VT's ability for privatization?

BJCorp is busy having direct transaction sales of BJCorp shares with bankers to raise cash for what purpose??
miniminer Last time before it shoot up, many had asked not to buy/sell or trade this counter, hold tight your tickets until offer announcement, not too sure this still stand......hehehe.................

Looks like the operator's tactics worked. Maybe collected a substantial amount of cheap tickets today?

correction it is Berjaya Sompo a 70% subsidiary of Sompo Japan that sold 500k shares not VT as Berjaya is minority shareholder with only 30%.
earlyretirement i got the date wrong - VT disposed 500k shares on 7/4 when the price already falling, not 9/4 but still he disposed. Of course all the sifu hereknows better of the plan.

I think it's Berjaya Sompo a 70% owned subsidiary of Sompo Japan that sold the 500k BJLand shares in open market on 8/4 not VT or BJ controlled company. Similarly Berjaya Sompo also sold 1M BJCorp shares on the 9/4?

It is Hotel Resorts Enterprise a subsidiary of BJCorp that sold the shares through direct transaction at 0.4525 each on 8 & 9/4 not in open market to bankers? VT & Robin is named as deemed interest due to having shares in Hotel Resorts & BJCorp so BJCorp is direct beneficiary not VT & Robin personally? Just wondering why BJCorp is raising cash for what purpose? corporate restructuring to be announced soon?

There is a difference one is 500k open market sale of BJLand shares by registered owner Berjaya Sompo a 70% subsidiary of Sompo Japan on 7/4 while the BJCorp shares are direct transactions by Hotel Resorts Enterprise as registered owner, a subsidiary of Berjaya Capital under BJCorp but named VT & Robin as deemed interest due to the crossholding nature of
Berjaya Companies?

Looking at the latest report only 1M BJCorp shares registered in the name of Berjaya Sompo Insurance (70% subsidiary of Sompo Japan & only 30% associate company owned by Berjaya Capital) was direct sale on 9 April. The rest of the list are only repetitions of the same sale as deemed interest due to the crossholding nature of Berjaya Companies.
I noticed the same style of reporting on direct sale of 45M BJCorp shares on 9/4 which was registered under Hotel Resorts Enterprise (direct interest) as a subsidiary of BJCorp but also named VT, Robin as deemed interest due to crossholding nature of Berjaya companies.
The same style of reporting on direct sale of 55M BJCorp shares on 8/4 which was registered under Hotel Resorts Enterprise (direct interest) as a subsidiary of BJCorp but also named VT, Robin as deemed interest due to crossholding nature of Berjaya companies. Correct me if I am wrong?

More buyers compared to sellers, buy on weakness now.
I think BJCorp is supported at current levels since VT has spent lots of money pushing up the price. Don't think they will let it go to waste just because of short sellers who want it down? Let's wait for Jalil's Strategic Plan & see how he will monetize BJLand's land & assets?

Actually buying the balance of 0.8% direct from Sompo is still insufficient for VT to privatize as only 87 + 0.8 = 87.8%? as VT needs 99% to privatize/delist. Since the other associate Penta has sold all their shares including the 3% held in proxy under PCM Industrial LP so no more unlimited seller?
2021-04-12 09:43 | Report Abuse
Remember the loss leader concept? Get your associates like Sompo to sell some so can buy more from open market. VT can't buy openly least he will worsen the 13% freefloat some more like last time?

How to sell 5 billion tickets if BJCorp already holds 87% or 4.35 billion? Don't let your ticket go cheap as many are waiting to buy from you including VT associates before any announcement?
Actually, out of the remaining 13% freefloating shares in the market, Sompo still holds 0.8%. If they sell again grab as many as you can before VT related parties/associates gets hold of them.

Actually the idea for a Batik dress code for BJGroup is free publicity for Berjaya since they are gradually replacing the old uniforms which is subject to wear & year and not in one go so the financial impact not significant.
"Jalil said all of Berjaya's hospitality and front-facing staff will change their official uniforms to batik gradually while for other staff wearing batik to work is highly encouraged much like those practised earlier in govt departments where you wear your own batik on Thursday at no extra cost to the govt.?"

Don't think so
1. The GMOC RM650 million arbitration award including interest accrued against Beijing SkyOcean by HKIAC was in May 2020.
2. Beijing SkyOcean's 70% shares in Tuopai Sheds was frozen by Beijing People Court in August 2020 to facilitate recovery of RM650 million owing to BJLand
3. The 70% shares owned by Beijing SkyOcean was successful auctioned to Fosun for RMB4.53B cash has been paid to China's court in Jan 2021 to pay Beijing SkyOcean's creditors.
4. BJLand as one of the creditors secured by the HKIAC award should received the RM 650 million anytime now?

If you ask me by international market definition BJCorp with present market capitalization of only RM2.36B is only a small cap with less excess to capital & as many financial resources. By having a merger with BJLand may double the Group's market capitalization due to synergy of resources & assets promoting it to Mid-cap company which naturally will open the doors to raise funds in international money markets & also access to cheaper capital on favourable terms? This will solve the current issue of funding for BJGroup projects & also free it from the whims & fancies of raising funds from local investment banks like RHB, Maybank etc?
As for future value of BJCorp, once a benchmark of at least 60 sens has been set with the offer of at 60sens to remaining shareholders of BJLand for the merger.
"Small cap stocks tend to be more volatile and riskier investments. Small-cap firms generally have less access to capital and, overall, not as many financial resources. This makes it difficult for smaller companies to obtain the necessary financing to bridge gaps in cash flow, fund new market growth pursuits, or undertake large capital expenditures. This problem can become more severe for small-cap companies during lows in the economic cycle."

No need for share consolidation, should be more of a share swap on a 38:30 ratio used for Penta offer as a basis? To sweeten the deal, the 13% remaining BJLand shareholders can be offered a cash dividend before a share swap. This will also prevent dilution of BJCorp shares sInce already controls 87%. BJCorp shareholders has enjoyed a shares dividend earlier.

The RM650 cash coming back from sale of GMOC and all foreign assets such as HR Owens, Icelandair Hotels etc. will be handy for BJ Group. A merger of both companies will streamline & rationalize operations and put it in the 4 to 5 RM Billion category to be in foreign investors' radar. This is where the NWCA JV can help to bring in foreign investors to unlock shareholder's value. After all it's better to be a World Champion rather than a Jagoh Kampung?

For BJLand privatization needs to collect 99% since BJCorp & Co. already starts with a higher 87% base compared to TAG?

According to Bursa rules, once the majority shareholder already acquires 87% officially, he must acquire at least 90% of 13% floating shares before can privatize/delist. That means must collect 87% + (90% x 13%=12%)= 99%!
