Credit (Cr) Issued & Fully Paid-up Share Capital Account 14.0 sen
Cr Share Premium Account 10.4 sen

2. Upon Suscription of PP at 38.0 sen per share
Dr Bank Account 38.0 sen
Cr Issued & Fully Paid-up Share Capital 14.0 sen
Cr Share Premium Account 24.0 sen

See, there is no way for the company to cheat you by utilising the proceeds as Revenue and thus to show it as the Profit for the company. Please study the purpose of Income Statement (Profit & Loss Statement), Cashflow Statement and Balance Sheet. They serve different purposes for the users to disseminate better understanding of the financial positions of the said company.
