The Board of Directors of Kanger ("Board") wishes to announce that its wholly-owned indirect subsidiary, namely Ganzhou Kanger Industrial Co. Ltd. ("Ganzhou Kanger" or the "Vendor"), had on 16 December 2021 entered into a share sale agreement ("SSA") with Xue YongXing ("Purchaser") for the proposed disposal of 35,900,000 ordinary shares in Shenzhen Kanger Holding Co. Ltd. ("Shenzhen Kanger") ("Sale Share(s)"), representing 100% equity interest in Shenzhen Kanger for a disposal consideration of RMB3,000,000 (equivalent to RM1,993,500) to be wholly satisfied in cash, on the terms and conditions contained in the SSA ("Proposed Disposal").
Total pro forma gain 3,439 A-B
The Board is of the view that the Disposal Consideration is justifiable after taking into consideration the following factors:-
i. The Disposal Consideration would result in a pro forma gain of RM3.44 million to Kanger, based on the computation as set out above; and
ii. The Proposed Disposal is in line with Kanger Group's objective of streamlining its businesses to focus on construction segment as its growth prospect moving forward, as well as to unlock the value and monetise Kanger's investment in Shenzhen Kanger group of companies, with the proceeds earmarked for the purposes of utilisation as set out in Section 3 of this announcement.
RATIONALE AND JUSTIFICATIONS FOR THE PROPOSED DISPOSAL
The Proposed Disposal is in line with Kanger Group's objective of streamlining its businesses to focus on construction segment, as well as to unlock the value and monetise Kanger's investment in Shenzhen Kanger group of companies, which is principally involved in trading of bamboo flooring, bamboo furniture and related products, that has been loss-making since FYE 31 March 2021.]
Earlier in June 2021, Kanger Group had diversified its principal activities to include construction and related activities. Since the diversification, the construction business has overtaken the bamboo manufacturing and trading segment as the main revenue contributor to the Group, as exhibited in its latest unaudited consolidated financial statements for the 6-month FPE 30 September 2021:-
As part of its strategy to expand its construction segment, the Group had lined up several growth initiatives through organic and inorganic means with the long term objective of increasing its revenue contribution of its construction business going forward. In addition to its involvement in the project management of several construction projects (such as Antara @ Genting Highlands, Axon Bukit Bintang and The Hipster @ Taman Desa), the Group had also recently expanded its service offering within the construction segment through the acquisition of a 51% equity interest in Sung Master Holdings Sdn Bhd, which is principally involved in sales and trading of building materials.
The Board is of the view that the Proposed Disposal as timely as it presents the Group an opportunity to unlock the value of its investment in its loss-making subsidiaries, namely Shenzhen Kanger group of companies, and at the same time provide the Group a cash surplus to be utilised for the purposes as set out in Section 3 of this announcement. The main proceeds are mainly earmarked for the Group's working capital requirements, which would allow the Group flexibility in respect of financial allocations for the operational requirements of its construction segment, which in turn may allow the Group to carry out operations in a more efficient manner
BUT, WHAT IS THE EFFECT TO KANGER' PLAN TO DISPOSE its properties which include two commercial buildings and land located in Ganzhou City, China for approximately China Renminbi RMB400.0 million (equivalent to RM258.9 million) ?????
After all these, what assets does Kanger really have left? Or is it going through asset stripping exercise? Or it is finding it difficult to get loans to finance its Sung Master and construction projects? Surely if it is as profitable as it is, banks are willing to lend. Why sell assets to finance these projects?
Ganzhou Kanger Industrial Co. Ltd.owned 100% in Shenzhen Kanger Holding Co. Ltd. (the indirect subsidiary under disposal proposal).

Beside construction and real estate, Kanger subsidiary Kanger Medical International Sdn Bhd (KMI ) need to work a bit more aggressive during this endemic . Just producing mask is no enough. Must update on the vaccine and rapid testing kit progress. HoA but no update.

Kanger directors a little bit smart to do rights issue with free warrant then followed by shares consolidation.
Need to see for few months after completion of shares consolidation, whether the consolidated price will rise or fall.
