Dome is managed by Melium Group. Insas actually welcome any SDN BHD with a viable business to approach them for seed money and financial support to expand them (to a certain size) with the aim of listing them once they are able to qualify for listing. After listing then the listed entity will tap into capital market for further expansion independent on Insas.

Insas is a public listed company as you can buy and sell Insas shares in open market. This is fact and Dato' Sri Thong and PAC officially only owned 32.96% is also a fact and Insas cannot do further SBB as this will trigger 33% MGO threshold is also a fact.

Insas Net Financial assets:RM 1,418,421,000 is also fact as it is subject to yearly audit.

Insas still hold 537,008,575 inari share (one of Insas associate company) and 1,215,718,665 M&A an effective holding of 60.83% subsidiary company of Insas.

What I trying to say is Market can never be efficient, that is why we are here to take advantage of market inefficient. But remember market can be irrational longer than you can remain solvent.

So invest only with your spare cash.

Dividend Policy
Referring:
https://www.nst.com.my/business/corporate/2023/10/962455/icapitalbiz-p...
KUALA LUMPUR: icapital.biz Bhd (ICAP) is introducing a dividend policy to proactively narrow the gap between share price and net asset value (NAV) and possibly bring its share price back to trade at a premium, just as it did during the first three years as a listed company
The dividend policy, subject to market and economic conditions and ICAP's value, will be on a base rate of one percent of the NAV per share plus eight per cent of the difference between ICAP's share price and the NAV.

Question 12: ICAP is introducing a dividend policy to proactively narrow the gap between share price and net asset value (NAV). May I know the reasons why Insas BOD had yet to implement a dividend policy to proactively narrow the gap between Insas share price and Insas Net Assets Per-Share of RM 3.53 as at 30/6/2023?

Dividend:
In many of previous AGM BOD reason to keep the earning in financial assets is to support M&A Securities financial need of stock broking, share margin financing, collaterised trading, corporate finance advisory, underwriting and placement of securities (IPO, PP and M&A activities)

Referring to Insas EGM key matters discussed: The rationale for the RTO exercise is to unlock the value of Insas’ investment in M&A Securities by monetizing and securitizing the shares in M&A Securities via SYF. This will enable M&A Securities as a separate listed entity under SYF:
(a) to raise its future funding requirement through the capital market independently from Insas.
Question 10: My congratulations to BOD for successful listing of M&A Securities thro’ RTO and M&A Securities is now a separate listed entity that can raise its future funding requirement through the capital market independently from Insas.
Will BOD kindly reward Insas shareholders with a fairer, equitable and better yearly dividend since the reason to provide financial support to M&A securities is now solved?

(i) the shareholdings of Dato’ Sri Thong and PAC reduce to a level which allows such Share Buy-Back scheme to be undertaken; or
(ii) Dato’ Sri Thong and PAC seek and obtain waiver of MGO from the shareholders and relevant regulatory authorities.

Aetherium Acquisition Corp (“Company”) (Nasdaq: “GMFI”) was granted the extension until November 20, 2023 to regain compliance with Nasdaq’s continued listing rule as it relates to the failure to timely file its Quarterly Report on Form 10-Q for the Quarter-Ended March 31, 2023, and June 30, 2023.

CapA was granted the extension until 31 Dec 2023 to submit PN17 regularisation plan, failure to do so will subject capA to suspension and delisting.

So GMFI and capA must be a perfect match make in heaven as both are in danger of delisting.

Stony: 20%
Jonathan Chan: 10%

Alec Lee: 10%
CFO and Managing Director at Vigilant Assets
CapA: 60%

After the deal is done then dispose capA's aviation to AAX and force AAX to do another round of debt restructure (0.5 cents for every dollar owed), capital reduction and 10 to 1 share consolidation.

There after Stony, Jonathan Chan, Alec Lee and CapA can live happilly knowing they have CAPI with NPV USD1 Billion forever.

Stony will come out with new slogan instead of AA's "now everyone can fly" it is capA's "now everyone can live happilly"

Capital A International shall be made up of Brand AA Sdn Bhd and Fleet Consolidated Pte Ltd
Both Brand AA and Fleet Consolidated are newly formed subsidiaries and do not have any revenue.

Brand AA is a brand management company. It is the registered proprietor for all the rights under the AirAsia brand.
Under a master brand licensing agreement dated May 31 this year, Brand AA has the right to collect royalty fees from AirAsia Aviation Group Ltd, Capital A’s aviation division.

Fleet Consolidated, meanwhile, will primarily be responsible for the procurement and delivery of the requisite aircraft for the aviation group based on the agreed allocation plan.

The proposed deal is to merge CAPI with Aetherium Acquisition Corp (NASDAQ: GMFI), a Special Purpose Acquisition Company (“SPAC”) listed on the Nasdaq stock exchange for an indicative equity value of United States Dollars (“USD”) 1 billion based on an independent valuation of the AirAsia Brand.

Capital A International intends to generate revenue from brand royalty and the leasing of aircraft. Additionally, it will be involved in tactical acquisition, incubation and partnerships to provide platforms for entrepreneurs.

If the deal is all share deal then capA will be paid in GMFI share of about 1,000,000,000/10.88 unit.
If this is the case GMFI will be a subsidairy company of capA

The question without cash injection how to solve capA PN17 status?
As at 30/6/23:
CapA
Net current liabilities of RM (11,938,731,000)
Shareholders' equity RM (8,390,820,000)
Total equity RM (10,304,487,000)

Can CapA do a debt restructure by paying creditors with GMFI share?
Or if capA sold the huge block of GMFI share for cash then GMFI most likely will drop into penny stock and capA will lose the royalty fees income to GMFI

Anyway capA by that time most likely already dispose capA aviation to AAX.

God created the dog and said: 'Sit all day by the door of your house and bark at anyone who comes in or walks past. For this, I will give you a life span of twenty years.'

The dog said: 'That's a long time to be barking. How about only ten years and I'll give you back the other ten?'

So God agreed.

God created the monkey and said: 'Entertain people, do tricks, and make them laugh. For this, I'll give you a twenty-year life span.'

The monkey said: 'Monkey tricks for twenty years? That's a pretty long time to perform. How about I give you back ten like the Dog did?'

And God agreed.

God created the cow and said: 'You must go into the field with the farmer all day long and suffer under the sun, have calves and give milk to support the farmer's family. For this, I will give you a life span of sixty years.'

The cow said: 'That's kind of a tough life you want me to live for sixty years. How about twenty and I'll give back the other forty?'

And God agreed again.

God created man and said: 'Eat, sleep, play, marry and enjoy your life. For this, I'll give you twenty years.'

But man said: 'Only twenty years? Could you possibly give me my twenty, the forty the cow gave back, the ten the monkey gave back, and the ten the dog gave back; that makes eighty, okay?'

'Okay,' said God, 'You asked for it.'

So that is why for our first twenty years we eat, sleep, play and enjoy ourselves. For the next forty years we slave in the sun to support our family. For the next ten years we do monkey tricks to entertain the grandchildren. And for the last ten years we sit on the front porch and bark at everyone.

Life has now been explained to you.

So are we now actually barking at everyone at i3forum?

However, Brand AA is a RM2 paid-up capital with zero revenue and Fleet Consolidated Pte Ltd is a newly incorporated company that has yet to file annual returns or financial statements (read also as no revenue).

So 2 shell companies with zero value shall have a 'indicative valuation' of US1 Billion when listed in Nasdaq?!!!

BTW Aetherium Acquisition is also a 2 man show company with non-clickable filings

For almost the whole of human history, from at least 2 million years ago, mankind has lived by doing what comes naturally, a nomadic life of hunter-gatherer where mankind move around from place to place over the seasons and year following the food trail. Men were hunter (Hunting animal and fish) in a small group and women were gatherer and caretaker of child (Gathering edible items of any kind from fruits/nuts/seeds to insects). Life in a nomadic society wasn’t bad as they were in many ways much healthier, stronger and happier as they hunt-gathered just enough of their foods and share all their food together since food cannot be stored. They enjoy hunting, feasting, spending their leisure time with family, caring for each other, tools making, cave paintings etc and live a life of peace, tranquility and social equality as everyone were hunter-gatherer (Equality in work and society).(Garden of Eden)

Things only come to a change a mere 10,000 year ago where women (Eve) after many years of gathering edible of any kind from fruits/nuts/seeds and insects and for her desire/want to settle down in more stable and secure life (Serpent) experimented and discovered that edible fruits/nuts/seeds can be cultivated and animals can be domesticated (tree of the knowledge of good and evil) persuaded Men (Adam) to become farmer.(The forbidden fruit)

From land cultivation and livestock farming, food can now be stored and thus allowed accumulation of wealth (original sin) a new sinful/evil and an inequality world was opened up to mankind in growing of wealth and safeguarding of wealth. (Greed/craving, cling/attachment, fear/insecurity, envy/resentment, distrust/anger, hate/prejudice, worship/sacrifice, divine/god, landlord/capitalist, slave/labor, trader/marketer, craftsman/artisan, thief/robber, we/us, they/them, tribes/nations, kingdoms/empires, leaders/tyrants, murderers/conquerors and etc) https://www.youtube.com/watch?v=TFIa3FNnFZM

The Garden of Eden (hunter-gatherer) is now gone and lost forever. What we inherited is the current world with many social ills cause by human own doing of wealth creation and accumulation.

The Yemeni civil war
The civil war began in September 2014 when Houthi forces took over the capital city Sanaa, which was followed by a rapid Houthi takeover of the government. On 21 March 2015, the Houthi-led Supreme Revolutionary Committee declared a general mobilization to overthrow then-president Abdrabbuh Mansur Hadi and expand their control by driving into southern provinces.[120] The Houthi offensive, allied with military forces loyal to former Yemeni President Ali Abdullah Saleh, began fighting the next day in Lahij Governorate. By 25 March, Lahij fell to the Houthis and they reached the outskirts of Aden, the seat of power for Hadi's government.[121] Hadi fled the country the same day.[122][123]

Concurrently, a coalition led by Saudi Arabia launched military operations by using air strikes and restored the former Yemeni government.[27] Although there has been no direct intervention by Iranian government, the conflict is part of the Iran-Saudi proxy conflict; with IRGC networks assisting Houthis through arms supplies, military training, logistics, strategic co-ordination and media support.[b] Saudi Arabia views activities by the Quds Forces and Hezbollah in neighboring Yemen as part of Iranian attempts to establish a satellite state in the country and trap them into a stale-mate.[124][125

Capital A’s aviation is lose making
Revenue/ASK: Q2 USD 4.22 cents cumulative 6 months USD 4.28 cents
Cost/ASK: Q2 USD 5.01 cents cumulative 6 months USD 4.72 cents
So how much loyalty fees per ASK or per passangers need to pay to Brand AA under a master brand licensing agreement dated May 31 this year.

i3lurker,
Who in capA have the authority to signed a master brand licensing agreement dated May 31 this year, Brand AA has the right to collect royalty fees from AirAsia Aviation Group Ltd, Capital A’s aviation division.

Is he/she who signed a master brand licensing agreement dated May 31 this year act in good faith and for the best interest of capA's aviation?

After incorporating CAPI, this special purpose unit will acquire Brand AA Sdn Bhd and Fleet Consolidated Pte Ltd from Capital A. Brand AA, formerly known as AAD Data SdnBhd, is wholly
owned by Capital A, while Fleet Consolidated is a Singapore incorporated private company.

My concerns:
Capital A’s aviation is lose making
Revenue/ASK: Q2 USD 4.22 cents cumulative 6 months USD 4.28 cents
Cost/ASK: Q2 USD 5.01 cents cumulative 6 months USD 4.72 cents
So how much loyalty fees per ASK or per passangers need to pay to Brand AA under a master brand licensing agreement dated May 31 this year.

Fleet Consolidated: What assetsp do Fleet Consolidated have:
Orderbook of 362 aircraft to be delivered over the next 12 years, beginning 2024. Of the 362, financing is secured for 73 aircraft through Sales and Leaseback (SLB) arrangement with several lessors.

Will be very interest to read what Stony projection for CAPI revenue and earnning are for an indicative equity value of US$1bil based on an independent valuation of the AirAsia Brand.

All this while I thought Stony will be kind enough to list MOVE/Superapp to raise money to help capA aviation. But it turn out Stony intent to milk capA' aviation to the bone and then dispose the skeleton to AAX.

What a brilliant move. CapA already run out of Suiyee Sucker Bilis and now venture into deep sea for bigger Suiyee.

All the best to AAX, CapA and Aetherium Acquisition Corp (GMFI)
