As stated in the Circular, the completion of the Proposed Rights Issue will not give rise to any consequences of MGO. However, should the major shareholders or persons acting in concert (“PAC”) exercise their Warrants such that their shareholdings in Insas increase to more than 33%, they are obliged to undertake a MGO for all the remaining Insas shares not already held by them.
Under the Companies Act 2016, RPS can be redeemed out of 3 scenarios:- 1) Retained profit; 2) New issuance of shares; or 3) Capital of the company. It is likely that the Company will redeem this new RPS out of retained earnings. Presently the Group has retained earnings for more than RM750 million, the Board is comfortable that this will not affect the available retained earnings for distribution as dividends to shareholders.

Despite the KLSE CI closing in the red, Insas has shown great resilience to close 1 sen up. If Insas closes 1 sen up everyday Insas will reach RM1.80 in 73 trading days.

At RM3.25 with NTA in excess of RM10 I was paying 30 sen per ringgit when I bought SBagan in December 2023.

In 4.5 months my SBagan went up from 3.25 to 6.47, that's 99% gain.

If retailers flock to Inari to chase, Insas taukeh will sell down Inari.

@MrSslee, can't compare PPHB with Insas. PPHB smaller capital base, less free float, controlling shareholders own more than 33%, Company can do SBB. Insas share price been suppressed. Although Insas' is much superior, PPHB share price can overtake Insas because Insas just isn't performing.

Ninja still recording operating loss, that's why listing deferred until such time there's profit. Just checked Ninja Van is regional operating in Singapore, Malaysia, Indonesia, Thailand, Philippines, Burma. Might enter China?

MMC was taken private when the stock market was in bear phase I think.

Ninja Van is Singapore company, have gone regional I think with operations even in Indonesia and Philippines, need to check. With Ali Baba entering as shareholder definitely going into China.

I have been in and out of Insas since 2016, that's 8 years.

Thong has a wonderful chance to trigger MGO at 90 sen.

For those who don't know I want to reveal here that Insas has a minority stake in Ninja Van. Lately Ali Baba has emerged as a shareholder in Ninja Van. Ninja Van is scheduled to be listed in Singapore stock exchange.

Insas tried that on glove manufacturing I think, during Covid.

@UncleFollower, back in January Insas was such an exciting stock.

Currently for a stock to really fly, it needs to have some connection with data centre. If Insas were to announce something on data centre, sure fly.

I think MrSslee is fed up with Insas BOD.

Insas going to report good quarterly results this month but definitely no surprise dividend. Insas NTA will go further up. Buy before the results?

@MrSslee, you did manage to sell some Jayatiasa at RM1.50 level recently. Insas, as we know, RM1.50 susah.

After OCBC Bank takes 100% control of Great Eastern they might decide to list Great Eastern Malaysia in Bursa, hahaha.

Relative to most other stocks Insas isn't performing.

I can sell off my 3,000 Insas shares which i bought at 1.03 at the same time as you did.

Insas will be receiving dividend of S$0.42 (RM1.47) per share from OCBC Bank on 21 May.

Stock market everywhere is higher in March 2024 compared to December 2023, there will surely be gains. Unfortunately minority shareholders don't gain this through Insas share price.

How much of the investment in listed equities Singapore equivalent RM102,361,000 is in OCBC Bank?

Back in 2018 I was hoping Insas will be good to me again and of course Insas was good to me again not only a second time but a third time, ended up making a four fold gain.

@speakup, go dig up the old Annual Reports of Insas and read through every page. If you are sharp, you will see OCBC Bank mentioned.

I bought Insas at 65-66 sen in 4 tranches from June to Nov 2016 and sold off all at 1.06 and 1.10 in 2 tranches in June/July 2017, that's a gain 66%. Even received a 1 sen dividend. Sometime this year I started buying back at 80 sen down to 77 sen. Sometimes timing is important to maximize gain rather than buy and hold for forever. Insas has been good to me and will be good to me again.

I found an old posting of mine way, way back in 2018.

Insas owns OCBC Bank shares which owns Great Eastern shares, so Insas owns Great Eastern shares, hahaha.

Great Eastern shares will bring in RM426 million. SBagan enlarged share capital will have 93.5 million shares, that's RM4.55 per share.

On 3rd May managed to grab some Eksons at 0.485.

And I hereby declare that I intend to buy more SBagan shares at the right price at the right time.

And I want to disclose currently I own some shares in SBagan but none in Kuchai.

For those who don't know, Insas owns some shares in OCBC Bank which owns Great Eastern.
