1. INTRODUCTION
The Board of Directors of CGB (“Board”) wishes to announce that the Company had on 28
September 2018 proposed to acquire 500,000 ordinary shares, representing 100% equity interest
in Pacewell Asia Sdn. Bhd. (“Pacewell”) (“Sale Shares”) from the “Related Parties” stated in
Item 2 below for a total cash consideration of Ringgit Malaysia One Hundred Fifty Thousand
(RM150,000) (“Purchase Price”), resulting in Pacewell becoming a wholly owned subsidiary of
CGB.

RATIONALE OF THE PROPOSED ACQUISITION

Currently, Pacewell owned a 510(k) licence under Food and Drug Administration (FDA), United
States which enable the Company to immediately export a medium-risk medical device in United
States without having the hassle to apply for a new license which could take a few months to a
year’s time and also the application cost involved. In addition, the Proposed Acquisition will help
to mitigate the business risk by possessing additional FDA licence
