Moreover , MK Land has to retain the balance $ as operational expenses.

1 floor = 10,206 sqf
which equally to 6.5 shop lot x (20f x 80f)= 10,400 sqf / floor.
Putra Jaya rental rate .
Eg. RM4.5 sqf x 10,206 = RM 45,927 x 10 floors ( only 76.92% r rented n occupied )
= RM 459,270 rental per month x 12 mths
= RM 5,511,240 per year

作为基本面股票投资者,我们必须贴身跟踪公司的变化。
当公司有新的动作时,必须立刻加以分析,以了解有关动作,对公司的影响,从而作出买进、卖出或继续持有股票的决定。
这就是投资管理,是任何严肃投资必须做的事。
买进前不做研究工作,买进后又置之不理,这种投资态度已落后,在资讯传递迅速远比的当代,持有这种态度的投资者,很难在股市生存,更不要说成功了。
但是,许多投资者,对研究工作,都有不知从何着手的感觉。
现在让我举一个实例,作为示范,希望对大家有帮助。
置地通用(L&G,3174,主板产业股)昨天闭市后宣布,将发债券,现在让我们来看看,此举对置地通用的股东有何影响,小股东又该采取什么行动。
第一步:资讯来源
上市公司有颇为重大的变动,都必须通知股票交易所,股票交易所将有关文告,放在BURSAMALAYSIA.COM网站上,任何人都可以进入上述网站,阅读有关宣布的详情,这项服务,是免费的。
就以置地通用以发债券的事来说,该公司昨天傍晚将此事通知交易所,交易所立刻将文告全文,放进网站中,自从股票交易所由2002年设立BURSAMALAYSIA.COM网站以来,我就养成了每天晚上读完当天所有上市公司文告的习惯。
昨晚,当我发现置地通用有一项叫MULTIPLE PROPOSALS的宣布时,我立刻点击,发现该公司发表了一份长达44页文告,宣布发债券及收购一宗产业,我认真读完全文后,所得到的结论是短期对公司及股票的价值没影响,长期来说或冲淡每股赚率。
第二步:了解企业动作详情
1.该公司1股普通股配售1股债券,债券售价为13仙,可享有1%利息。
2.此债券叫ICULS,就是IRREDEEMABLE CONVERTIBLE UNSECURED LOAN STOCKS,即不可赎回可转换无担保债券。
“不可赎回”是指公司不可以买回这些债券来加以注销。
“可转换”是指可以将债券转换为普通股。“无担保”是指公司如果破产(不大可能发生),公司不保证债券持有人可以分得资产。
“债券”是指公司向股东借钱发给股东的证书。
3.债券持有人可以在五年内的任何时间,将债券转为普通股,转换方式有二:
a:每股债券可以换取一股普通股,既然债券的发售价为13仙,则两股价值为26仙,公司等于以每股26仙的价格发售附加股,发股比例为2配1。
b:债券持有人也可以1股债券加13仙现金认购一股普通股。
4.债券将在股票交易所挂牌报价。
5.发债券所筹得的7777万9589令吉,其中7248万5000令吉用来购买一座位于布城的十三层办公楼。此宗产业属于置地通用的母公司大马置地(MAYLAND)。
第三步:此项企业动作对谁较有利?
首先我们知道置地通用手持现金1亿6000万令吉,负债仅7600万令吉,对销后,手头握有8400万令吉净现金(NET CASH),该公司的产业相当畅销,现金流量充沛,财务根本没问题,没有筹资必要。
其他是所筹获的7000多万令吉是用来购买一宗产业,此宗产业的回酬率只有5%(大马置地保证两年有此收入),如果将此笔资金用在产业发展业务上,回酬肯定更高。
(通常产业发展净回酬率在15至20%之间),因此从资金的应用的角度看,购买既成产业并不合算。
既然如此,为什么该公司要以发债券?
1.大股东将尚未完成的产业,卖给自己控制的公司(置地通用),是以市价脱售产业,大股东已套取作为发展商,应得的利润,且将产业转为现金。而将产业卖给自己控制的公司,则是肥水不流别人田,产业仍留在同一集团内,属一举两得。
2.此举实际上是以2配1发附加股,每股售价26仙,附加股售价低于市价,有增值潜能,对股东有利。
3.大股东只持有置地通用17.29%股权,尚不足以牢牢控制该公司,当公司业绩持续改善,而股价长期不振,可能会被虎视耽耽的股市秃鹰突击而失去控制权。所以该公司大股东“包销”所有债券,如果小股东不认购,大股东有机会承购更多债券,通过将债券转为普通股而提高股权。根据文告,如果大股东承购所有债券,又以一半债券一半现金转换为普通股的话,大股东有机会将股权由17.29%提高至58.64%。
4.债券上市,使大股东有机会从股市廉价收购更多债券,而增持其普通股股权。
5.扩大公司资本,可减低股市秃鹰突击该公司的可能性。
第四步:评估
1.此项企业动作对置地通用现有业务,完全没影响;
2.债券转为普通股后可能冲淡每股赚率;3.债券属附加股,所有股东都有权认购,公平合理;4.债券转普通股价格低廉,是廉价入股良机。
结论
1.大股东包销债券,反映他们对公司前途有信心。
2.此项发债券计划要到2014年第2季才能完成,一年内对公司没有影响,股东也不必出次资认购。
建议:保持不变。

(吉隆坡9日訊)置地通用(L&G,3174,主板產業組)宣佈以1配1單位比例,發行總面值7千777萬9千589令吉的債券,以及以7千248萬5千令吉代價,收購布城一座13層樓的分層地契辦公室大樓。
該公司文告指出,該公司將以1股配售1單位的比例,發售總面值7千777萬9千589令吉,為期5年及1%的不可贖回可轉換無擔保債券,每單位債券面值為13仙。
上述債券每單位售價為13仙,轉換價則是26仙。
上述債券發售料可為公司籌得7千777萬9千589令吉資金,而其中的6千704萬8千625令吉充當收購布城產業資產用途,973萬零964令吉則充當公司的營運資金。
文告指出,該公司通過獨資子公司-Maple Domain有限公司,以7千248萬5千令吉代價,向大馬置地產業旗下獨資子公司-Mayland Avenue有限公司,收購上述布城一座13層高的辦公室大樓。
上述大樓的淨可出租面積為13萬2千687平方尺。(星洲日報/財經)

(吉隆坡9日訊)產業類股近來成為投資者心頭好,週二眾多產業股成功打進熱門股榜內,但最炙手可熱的莫過於全場第二熱門股的置地通用(L&G,3174,主板產業組)。
該股開盤起1.5仙至46.5仙,隨後在買盤簇擁下,股價一度走高至47仙的全日高位,起2仙或4.44%,但無奈高處不勝寒,套利活動蠢蠢欲動,令漲勢受到抑制,終場僅起0.5仙至45.5仙。
置地通用表現向來平平,但週二交投卻異常活躍,全日成交量達2千316萬1千300股,遠較週一的983萬6千800股成交量為多,更高出1年平均成交量2千零72萬2千400股不少。(星洲日報/財經

(吉隆坡9日訊)WCT工程(WCT,9679,主要板建築)總值約10億令吉阿曼高速公路合約遭取消,券商預計2013財年及2014財年營業額料減少11%至18%,下調目標價,今日股價亦受挫,一度下滑12仙至2.33令吉。
該股股價受挫,開市先跌5仙至2.40令吉,隨后逐漸走低,一度跌至2.33令吉,下滑12仙。休市時,該股暫收在2.36令吉,跌9仙,半日易手373萬5100股。
閉市時,該股收在2.37令吉,跌8仙,成交量報793萬4400股。
根據聯昌證券研究報告指出,WCT工程在去年8月份所獲得的阿曼高速公路合約遭到取消,該合約總值10億令吉,該公司指出,其主要原因是因為該國已決定不再進行此計劃。
聯昌證券研究說,該項壞消息確實令人感到驚訝,一般而言,在西亞由當地政府作為后盾的道路基建計劃,都比較安全。
該公司管理層指出,雖然該工程已頒發8個月,但主要工程因未獲得用地而還未開始施工。
這表示該公司可能會獲得百萬令吉賠償,作為在準備招標工作時所花費賠償。
這項變化將使公司訂單減少22%至29億令吉,該行將WCT工程本財年至2015財年每股盈利(EPS)削減2%。
儘管該股受壞消息影響,但聯昌證券研究仍給于“買入”評級,相信該公司在今年將可承包國內工程,以彌補海外業務的縫缺。

開年至今獲9合約 環海資源訂單值逾10億

(吉隆坡9日訊)環海資源(ALAM,5115,主要板貿易)開年至今已獲9項合約,逾10億令吉訂單總額大幅超越上財年,獲券商一致唱好,帶動股項今日交投熾熱,為今日十大熱門股之一。
今早開市時,環海資源股項即因一連獲3項合約利好推動交,不過僅微揚1仙迎市,掛97仙,早盤一度突破1令吉達到1.01令吉水平,但休市時收窄至99仙,起3仙,為早盤交投最熱烈股之一;閉市時,環海資源起2仙,掛98仙,成交量大熱達1848萬3000股。
肯納格證券研究分析師在報告中指出,加上日前宣佈的3項合約,環海資源今年已獲9項合約,訂單總額高達10億2000萬令吉,比去年總訂單額5億2870萬令吉高出近半。
分析師指出,新的租借合約平均每日價格稍高于之前,不過卻不影響該公司獲合約數量,顯見漲價行情無損環海資源未來前景,且有助將船隻使用率從80%提高至更高。
“若以該公司內部目標25億令吉合約計算,接下來至少仍會有3項總值15億令吉的合約進賬力相信該本月底或下月初,將獲馬石油探勘頒發另一項類似合約。”
綜上所述,肯納格證券研究給于環海資源“跑贏大市”評級,目標價1.15令吉。

阿曼大道聯營觸礁‧WCT財測下調

(吉隆坡9日訊)WCT公司(WCT,9679,主板建筑組)再次在中東觸礁,分析員大感意外,紛紛調低盈利預測與目標價。
受壞消息影響,WCT公司今日重挫,截至下午3時掛2令吉36仙,共跌3.67%或9仙。
昨日WCT公司宣佈,失去聯營的逾10億令吉阿曼Batinah高速大道合約,因當局決定終止該發展計劃。該公司持有這項計劃的80%權益。
該公司發文告說,原已允許競標第二配套建築工程,惟阿曼交通與通訊部已決定不再繼續有關計劃,該公司尊重當局決定。
不過,阿曼政府沒有透露這項去年8月獲頒的計劃不進行的原因。
大馬研究指出,這並非該公司首次在中東觸礁,在2009年1月該公司的迪拜Nad Al Sheba跑馬場計劃喊停,而當時這項總值46億令吉的聯營計劃已經完成了55%。
在扣除阿曼計劃的約7億3千萬令吉建築訂單後,大馬研究將該公司2013至2015財政年盈利預測調低6至17%,並指出股票目標價也可能降低10%,惟在獲得更多資訊前,他們傾向於維持原有預測。
有實力競標更多國內工程
大馬研究強調,WCT公司上月獲得布城3億1千500萬令吉的工程,失去阿曼合約後,也有餘力競標更多國內工程,加上購物商場和產業發展業務成長穩定,相信有助於減輕阿曼合約喊停的影響。
安聯研究雖因調低訂單23%至26億令吉,2013至2014財政年也分別下修12.1%和15.9%,但認為目前情況不會比迪拜賽馬場計劃糟糕,畢竟上述合約尚未展開建築工作,而且該公司也並非被取消資格,而是阿曼政府決定擱置有關工程。
MIDF研究表示,相信阿曼政府將賠償WCT公司財團為上述合約展開的初步規劃開銷,在調低訂單總額後,決定將2013至2014財政年盈利預測下修11至18%。
黃氏唯高達調高目標價
相對於其他證券行的看淡意見,黃氏唯高達排眾而出,認為其他機構低估了該公司柔佛依斯干達、吉隆坡華聯花園和雪蘭莪萬撓的產業發展業務,而逆向調高目標價至3令吉35仙。

該公司今日向馬證交所報備,子公司Neraca Prisma及Benua Kurnia私人有限公司,出價6億465萬令吉將柔佛地不佬數塊土地,售予Promosi Etika私人有限公司。
同時,USF-HICOM私人有限公司則以6992萬令吉,將2塊位于吉隆坡土地,以6992萬令吉售予Summer Nights私人有限公司。

高峰獲國家基建12.9億合約

(吉隆坡5日訊)高峰控股(BPURI,5932,主板建筑組)獲國家基建公司(Prasarana)頒發合約,在吉隆坡十五碑進行發展總值料達12億8千867萬令吉的綜合性計劃。
該公司發表文告指出,發展期限長達67個月,包含小型多功能辦公室(SOVO)、服務型公寓、商業單位及餐廳等。加上此合約,該公司預期總發展值為24億8千萬令吉。(星洲網)

多元資源6億售地

(吉隆坡8日訊)多元資源工業(DRBHCOM,1619,主板工業產品組)以共6億零465萬令吉,脫售位於柔佛州和吉隆坡的多塊佔地623.39英畝地庫。
該公司是以5億3千473萬令吉脫售在地不佬的土地,同時以6千992萬令吉脫售在吉隆坡的土地,吉隆坡的土地脫售已經在3月18日完成。
該公司發表文告指出,脫售地不佬的土地計劃,可釋放地段投資價值,並享有誘人價格,而所取得的現金則可融資其他在地不佬的901.81英畝的土地發展計劃,及作為營運資本。
至於脫售USF重工業的吉隆坡土地所得,則用來作為USF重工和集團的未來營運資本。
該公司表示,柔佛和吉隆坡的土地脫售,將在2014年3月31日止財年分別帶來8千912萬令吉和5千460萬令吉的淨賺益。(星洲日報/財經)

MMC機構在沙地計劃遭終止

(吉隆坡8日訊)MMC機構(MMCCORP,2194,主板貿服組)和合作夥伴,在沙地阿拉伯發展總值達300億美元的吉贊經濟城計劃的發展商地位,因工程進展面對多重困難遭到當地投資機構終止。
該公司發文告表示,基於吉贊經濟城工程面對多重困難阻擾,因此沙地阿拉伯投資局在誌期3月25日的信函中宣佈終止其和賓拉丁集團(Bin Ladin Group)的發展商和管理權。
直到釐清終止協議相關情況,否則MMC機構董事部現難以評估對未來集團盈利的影響,將與顧問就合約終止和賠償問題進行諮詢,並在取得任何新進展時作出進一步公佈。
MMC機構和賓拉丁集團是在2006年聯手獲得總值300億美元的吉贊經濟城計劃,以將之打造成集工業、商業和住宅投資的經濟特區,而雙方分別持有該計劃的50%股權。(星洲日報/財經)
