Need help : can somebody enlighten me what does the term " reserves" mean in the annual report?

I just analysed : as at July 2017, KESM Has retained profits of RM 285mil + share capital RM 44mil + cash RM 127mil = total RM 456mil.........current number of shares 44mil. KESM can afford to give bonus 10 for 1

The company directors must have great confidence on Serba's potential to grow and expand. Therefore willing to issue share placement to funds. This is a smart way to avoid taking unnecessary loans which will generate higher interests.

RATIONALE FOR THE PROPOSED PRIVATE PLACEMENT
The Proposed Private Placement will enable the Company to raise the requisite funds primarily
to finance the Group’s capital expenditure for PeIP as well as to partly finance the development
of PICC and to meet its future obligations for the EPCC contract under the Tanzania Project.
After due consideration of the various funding options available, the Board is of the view that
the Proposed Private Placement is currently the most appropriate avenue to raise funds for the
Group due to the following reasons:
(i) the Proposed Private Placement will enable the Group to raise funds expeditiously as
it can be implemented immediately pursuant to the General Mandate;
(ii) the Proposed Private Placement will serve as additional source of funding for the Group
without incurring additional interest expenses as compared to other means of financing
such as bank borrowings or issuance of debt instruments, thereby minimising any
potential cash outflow in respect of interest servicing costs;
(iii) the Proposed Private Placement will improve the liquidity and financial flexibility of the
Group by strengthening its financial position; and
(iv) the Proposed Private Placement will enable the Group to raise added funds for its
working capital purposes, which is expected to contribute positively to its earnings
potential in the future

Earnings and EPS
The Proposed Private Placement is expected to be completed in the first (1st) quarter of 2018.
There will be an immediate dilution in EPS of SDHB as a result of the increase in the number
of SDHB Shares to be issued pursuant to the Proposed Private Placement. Nevertheless,
barring any unforeseen circumstances, the Proposed Private Placement is expected to
contribute positively to the future earnings of the Group as the proceeds from the Proposed
Private Placement are primarily intended to be utilised to finance the Group’s capital

Should be ok. Private placement is a clever method to raise funds to support growth of company. Serba is a growing company and it is showing improving and exponential growth. So it is able to support the increased number of shares of just 10%.

Agreed, goldenluck ...i had been holding Kerjaya for 2.5- 3 years and now benefited alot from Datuk Tee's wisdom. I will continue to buy and support Kerjaya shares.

Today seems that there is a lot of buying interest and volume. Hope can sustain until Jan 10th warrants listing

Luxchem and VIS are lousy companies without fundamentals, which is not comparable to Kerjaya Prospek which has a good track record and reputable company, supported by outstanding order book of RM 3.2bil with gross profit margin of 12 - 15%, increasing revenue and net profit. Datuk Tee must be very confident to retain Kerjaya Prospek's growth and EPS, that is why is proposing such a lucrative bonus and warrants issue.
