observatory, hahaha. you seem like you can analyse but i wonder how you can miss out pg 18 when you seem to have seen pg 16 and pg 19.
it wouldn't take a genius to point out that you omitted the non-disposal cash in hand that litrak has. this is mostly from esos conversion over the years until now. this is RM39 million as pointed out in pg 18. all esos with exercise price of RM5.02 were not exercised so scenario 1(a) in pg 18 is not relevant. scenario 1(b) is the relevant one.
and btw, its not 539 million shares. its 541.46 million shares now.
go on and recalculate. the amount i get is RM0.543 and that does not include any future interest income. lets see if you can pull out something "different" now.

observatory, it shows that you did not read the circular. all those expenses have been taken into account and deducted when they estimated the RM5.09 total. they even estimated RM4.7 million for all remuneration, not RM1 million like you think.

the circular also says any future interest income has not been calculated in yet. litrak has around RM200 million cash now after paying the special dividends. at an interest rate of around 3%, that would add another 1sen in 11 months time. that's why i say minimum RM0.535 but investors can expect RM0.545 in 11 months time. this is why there was a big wave of buying below 50sen yesterday.

everyone is wrong here. the capital repayment will be a minimum of RM0.535 within 11 months. read the completion announcement where it says the actual amount received is RM2739 million, which is RM8 million higher than the amount stated in the circular previously of RM2731 million.

this guy already warned last Friday morning to take profit because "we could see a market meltdown this week because Evergrande would be missing their second bond coupon payment and US Treasury yields have been rising a lot and this would affect the high-multiple tech sector in particular."

there is talk that a takeover offer of RM0.60 per share will be launched. whoever does this will be able to make at least RM0.37 per share in profit by liquidating the company since the NTA of the company is RM0.97 per share.

I cannot argue with you when you say scgm worth RM1.40+ and price that time increase so high. Only time will tell if I am correct when results are reported.
I suppose you also cannot see that every quarter they got come out with "special news" so that your eye turn away from the poor results?

Hopetobecorrect, singh1, my humble advice is to accumulate tagb at 25sen and then sell it to tiah for 28sen for a nice 12% gain. It is better than realising a full loss from your current holdings. After that, it is up to u if u want to re-enter TA but my suggestion is no unless TA MGO is unconditional.

Some people try to be clever and say rights issue should be done so that no dilution. But they never think that in this kind of market conditions, the rights issue will be undersubscribed and tiah will subscribe them all. Better don't need to waste shareholder money on the rights issue and tiah just pump in money from the start.

TAGB was spun off from TAE in 2009 with the hope that the value of TAGB's properties would be appreciated better and valued more properly by the market. But since this didn't happen, it's time to merge back since it cost a lot of money to maintain listing status of TAGB.

Vote for resolution means share price will go to 0.665 and u can dispose at 0.665. tae will not be privatised because firstly 0.665 is not fair and tiah also wants it to remain listed. After offer period close, tae share price will go back towards 0.55 and if u believe in tae, can accumulate back at lower price.

U keep pushing dilution, tiah no good....correct, tiah can do much more but I also know he gives me 4sen dividend a year and with tagb consolidated, I can get 5-6sen per year which is almost 10% dividend yield for me.

here is the maths, simple and easy to understand:
Total number of TAE shares outstanding now = 1,711,894,993
TAE holdings in TAGB now = 60.17%
TAGB RNAV after revaluing top 7 properties = RM5.858 billion
Current RNAV of TAGB owned by TAE shareholders now (per share)
=(60.17% X RM5.858 billion) / 1,711,894,993
= RM2.06 per share
TAE shares issued to swap Tony Tiah's personal TAGB holdings
= 343,730,421
If:
(a) All remaining offer shares choose cash option,
Total number of additional shares issued to Tony Tiah = 548,744,439
Enlarged TAE shares
= 1,711,894,993 + 343,730,421 + 548,744,439
= 2,604,369,853
RNAV of TAGB owned by TAE shareholders after takeover (per share)
= RM5.858 billion / 2,604,369,853
= RM2.25 per share
If:
(b) All remaining offer shares choose share swap option,
Total number of additional shares issued = 548,744,439
Enlarged TAE shares
= 1,711,894,993 + 343,730,421 + 548,744,439
= 2,604,369,853
RNAV of TAGB owned by TAE shareholders after takeover (per share)
= RM5.858 billion / 2,604,369,853
= RM2.25 per share
Conclusion:
1) As a TAE shareholder now, the value of TAGB RNAV that I own now is RM2.06 per share.
2) The value of TAGB RNAV that I own after the takeover is RM2.25 per share.
3) TAGB RNAV of RM5.858 billion is obtained only after revaluing top 7 properties. TAGB has more than 20 properties in its portfolio and we will find out the actual value of all their properties when BDO comes up with independent advice.
As TAE shareholder, you can be sure I'll be voting for the takeover.

I read that but I can't understand. Offer for tagb is extremely undervalued....why would tae shareholders reject? Also if the MGO for tae comes through, he won't be able to mop up more because no one will sell to him. You can refer to previous offer he made. Besides, tiah has no intention to delist tae. He wants it listed.

What u mean dilution? U need to take into account the value of TAG which is at least RM2billion more than what u see in the NTA now. Look at the independent valuations of some of the TAG properties in the takeover document.
Basically Tony Tiah is pumping in his own money and yes, he benefits big time but the other shareholders also benefit a lot. So in the end our % stake in TAE become smaller but the value of that stake actually becomes higher than before.
If need TAG shareholders vote, then sure fail because 28sen is cheating so bad. But all TAE shareholders will benefit big time by taking TAG private at such ridiculously low price.

You're taking a risk by buying TA now because MGO for TA may turn out to be conditional. Will only be less risky if offer is unconditional. If everyone takes share swap option, Tony tiah will hold less than 50% and no one will sell TA to him at 66.5sen because it's too cheap.
