The Board of Directors of AT Systematization Berhad (“the Company” or “ATS”) is pleased to announce that it has on July 17, 2012 entered into a Collaboration Agreement with Maoming Jiacheng Industrial Co., Ltd. (“JCheng”) to explore the formation of a Joint Venture Company (“JVCo”) to expand renewable energy production capacity which where possible, the expansion would take place in Malaysia due to availability of raw materials and feed and JVCo shall be the vehicle to own the new production facility proposed to be built in Malaysia (“Collaboration).

JCheng was founded in 2001 and formally in production operations in 2003. It is involved in new energy resources with an annual production of 600,000 tonnes. JCheng is in the midst of preparing for a public listing exercise in order to raise funds for its proposed expansion especially for its renewable energy production capacity.

The Collaboration is part of ATS’ plan to leverage on each other’s experience, expertise and technical knowledge as well as to explore ways to maximize protential. Both ATS and JCheng acknowledge and agree that for the Collaboration to be successfully implemented, the parties must collaborate for their mutual benefit.

In order to fund the construction of the proposed new production facility and the initial working capital to commence operations at the said facility, both ATS & JCheng shall work together to immediately list JVCo in a recognized stock exchange and it is aimed that a submission to the relevant authorities for the listing exercise will be done by the first half of 2013.

None of the Directors and/ or Major Shareholders of ATS and/ or persons connected with such Directors or Major Shareholders have any interest, direct or indirect with the above Collaboration.

The Board of Directors is of the opinion that the Collaboration is in the best interest of ATS.
