hi , i post this at Green Packet forum, maybe i post it here to get more perspective.

what is TM advantage competing in wireless segment? TM biz is on landed line, will having P1 benefit to their biz?

at first P1 try to offer subscription to those who need high speed internet with mobility. but need to carry an extra modem along, which can be bulky. facing competition with telco's player now ( Digi, Maxis, and Celcom) who offer improved network coverage at high speed now. consumer rather not pay for extra subscription to P1 for having mobility online. they got it bundled with telcos bill in their smartphone, no need carry extra gadget. i think thats how P1 lose its edge to these Telcos

Maybe having P1 can compliment TM in a way where existing Unifi / streamyx subscriber can access mobile internet via hotspot. but that would only mean another 'value added service to existing TM customer'. those who can afford Unifi likely already have data plan which will find this feature a redundant.(good to have but still ok if without)

my point is, will it benefit TM business to have P1 now that TM is not having a mobile network? can it translate to more subscribers revenue?

Most of the guys in GP forum math very bad, or they do not know how to read announcement properly, or they do not understand the clause at all.
- This partnership is only good to TM as they pay very little $$$ to eat P1.
- P1 is not GP core business anymore, it becomes TM subsidiary with GP as one of the minor shareholder, around 30% for few months, and then reduce to 25% then maybe 12.5% if TM injects more money into P1 later on and eventually may become 0 after X years. Read the announcement properly, 210m loan from TM to GP can be exchanged with GP's stake in P1 !!
- around 50% of 210m loan will be used to acquire minor shareholder of P1, so left only 100m for GP to pay the loanshark. Bear in mind GP need to "create" new core business else they will go into PN17. P1 is owned by TM now.
- Compare the EB and CB, GP pays 8% interest while P1 that newly owned by TM only need to pay 1% , this is VERY VERY GOOD NEWS ....to p1/tm
- Look at long term, GP must find new core business or get a new investor, or wait to close shop. there is no real "partnership" between TM & GP; it;s just a "term" only

GP only worth at most 35-40 cents or maybe less after this. Calculation done by those guys were completely wrong. Pay some money to goldman sachs to learn the formula.

There are syndicates that may fire GP up to 70 cents however it will not last long. Hopefully those small fish manage to exit at good price.

I really wish i am wrong or there is a last min change of plan again. There is something else that they will know next week.......good luck to GP shareholder

UALA LUMPUR: Telekom Malaysia Bhd (TM) membeli 57 peratus pegangan dalam Packet One Networks (M) Sdn Bhd (P1) dengan harga RM350 juta bagi membolehkan syarikat itu menyediakan perkhidmatan komunikasi berpusat.

Ketua Pegawai Eksekutifnya, Tan Sri Zamzamzairani Mohd Isa berkata, menerusi pembelian itu, TM boleh memanfaatkan teknologi LTE P1 bagi menyediakan perkhidmatan data berkualiti tinggi dan diyakini dalam semua segmen komuniti.

"P1 akan memanfaatkan aset spektrumnya, platform wayarles sedia ada dan jejak rangkaian hampir 2,000 tapak, pengurusan yang berpengalaman serta organisasi untuk mempercepatkan kemasukannya ke ruang LTE," katanya pada sidang akhbar di sini, Khamis.

Terdahulu, TM memeterai perjanjian pelaburan dengan Green Packet Bhd dan syarikat telekomunikasi terbesar Korea, SK Telecom Co Ltd, yang disaksikan oleh Menteri Komunikasi dan Multimedia Datuk Seri Ahmad Shabery Cheek, untuk membangunkan prasarana LTE generasi seterusnya.

Perjanjian itu yang akan membuka laluan untuk pembentukan rangka kerja perkongsian bagi tiga pihak tersebut, juga bertujuan untuk berkongsi pemilikan dan bekerjasama dalam pertumbuhan masa depan P1.

TM akan menerajui pertumbuhan dan pembangunan perniagaan P1, SK Telecom akan menyumbang pengetahuan strategik dan teknikal yang berharga manakala Green Packet akan memastikan kesinambungan perniagaan P1.

"Perkongsian ini menyediakan platform telah sedia LTE bagi kami untuk melancarkan dengan lebih cekap produk jalur lebar wayarles kepada pelanggan," kata Zamzamzairani.

Beliau berkata TM akan melabur sehingga RM210 juta ke dalam Green Packet menerusi bon boleh tukar boleh tebus yang baru diterbitkan yang boleh ditukarkan kepada pegangan Green Packet dalam P1 di masa depan.

I'm pretty sure you're not doing your homework well.
We analyze on the business prospect and even future cashflow.
look short term, you will be the loser.

so what i wrote from yesterday was true. in the short term, the buying company's share will fall down due to money out and business inefficiency.but not sure how by how much it'll drop...

Aiyaaa kawan, tarak mau panik maaa... Sure2 will increase back to 6.5 - 6.6 just before DRS X date. Support will surely come. TM is GLC lor... MOST will consider DRS, SOME will take CASH.
Panic selling ONLY because to much 'rumors' on GP debts &so on. Are they so sure mehhh?

Why acquire when you can work collaboration like all the other companies?? Something don't smell right. It will still go down. Already down 30 sen today. Banks that hold them will tell you to hold otherwise they are also affected due to for e selling for those who play magin.
So easy to find out if GP make money or not .. Not a rumor yatyeesam.
On top of this, fed tapering and stopping by spring next year makes blue chips held by foreign fund managers sell periodically to wind down their holdings in the Asian equity market.
Anyway, everyone makes decision on their own.

However, 'So easy to find out if GP make money or not..'. To me that's why 'take over' maaa.
In layman, same like us (investor nor traders) buy when 'down', hold & sell off at a margin. Same model for blue chips company. 'Why collaborate if can acquire' also does make sense right?
Taking over GP, 'introduce' new business plan, make money instead of somewhat current GP is doing... Turn weakness to opportunity or even strength to some extreme... Agree bro??

Maybe to other blue chips co. not here. My 1cents... 干杯!

It will drop further.. Mark my word. The last low was a out rm5.40. If there is do much capex last year and this year .. What are you talking about profits? TM as I remembered use to be rm8 many3,years ago. "Too big to fail"?

No way a layman is able to work out how much TM will benefit or lose from its partial acquisition of P1. I do not believe that TM did not do its homework, and I assume it is not stupid as well. As such, I shall give it the benefit of doubt and hold on to my shares.

Subscription of M to an EB RM210mil- TM will receive 8% p.a coupon, with 8 years maturity, and secured by Green Packet. Generally, this RM 210mil investment shall be able generate almost 100% after 9 years (rule 72 apply) to cover their initial investment amounting of RM 350mil. Smart strategy for TM. Any other comments?

TM is set pay rm350 million cash for a 57% stake in P1. On top of that, TM will invest an additional rm210 million in newly issued exchangeable bonds that can be exchanged for P1 shares held by GPAcket

Gpacket, Telekom and SK Telecom will also raise rm1.68 billion via an eight year RCU bond programme, which will start in 2015. The entitlement ratio will be 60% for Telekom and 15% for SK Telecom. Based on the 25% entitlement ratio allocated for GPacket, the company could subscribe for up to rm412 million of the RCU programme.

To be noted is that TM has explained that the current (March 2014) deal will not impact its dividend policy of paying out a minimum of 90% of normalised earnings or a minimum of RM700mil

Would anticipate TM reaching RM6.60 by end May when DRS materialised... The one whom will be 'wondering' or 'still deciding' in their shares due to current deal are those with GP shares, NOT TM. For TM (as an investor point of view) BUY calls below RM6.00; HOLD with ideal TP of RM6.36 - RM6.39 just before X date.

Still dropping. Deal is not seen as a "good" one. Too much capex for 2013. Maybe by year end will see some kind of progress. Hopefully, QE tapering doesn't cause market to go down further!
May is start of summer where managers go away on holidays .. May see more downside

TM affected by dividend matter due to the GPacket deal, however, now GPacket showed strong and stable between 0.45 - 0.46 at least for today. TP 0.6 - 0.65 in next three to four weeks. Personally advice to collect some. Thanks.

Nevertheless, 'more than often' what most 'local' finance research house suggest will be in different moves in the chart towards the end. If most says Sell, of course there will be the ones who buy? 78%-93% at the so called suggestions at a particular time; always the different side will benefit/gain.......
Still HOLDing; & even cross-leveling BUY for TM.

jayhao2000... Your personal advice 'to collect some' is so true & valid for TM; however if U r referring to collect GP though, than 'Good Luck' to you mate!

YatYeeSam, time will prove =) TM will shoot up but not as high as 6.2 in the months later.
Back to the deal is actually the mutual benefit for 3 of the party involved in the deal, as the final deal ratio is 60:25:15 for TM:GP:SK respectively. Currently, TM is absorbing the losses of GP and pump in the money for working capital, thats why you don't see much changes on GP share price, only contra players get affected.
In future, once the business grow, the actual benefit is go to 3 of these party. I forseen them to be the leading wireless broadband in the industry. Cheers, in fact I'm holding both TM & GP.
