The Board of Directors of FITTERS wishes to announce that the Company has on 21 May 2013 disposed of the entire 10,500,000 ordinary shares of RM1.00 each (“Sale Shares”) representing 100% equity interest in Solid Orient Holdings Sdn. Bhd. (“Solid Orient”) to Future NRG Sdn. Bhd. (“Future NRG”) for a total cash consideration of RM10,500,000 (“Disposal of Solid Orient”). Following the disposal, Solid Orient will become a wholly-owned subsidiary of Future FNRG, which in turn is a wholly-owned subsidiary of FITTERS. Future NRG is principally involved in renewable energy development. The business activity of Solid Orient is oil palm processing.
The Disposal of Solid Orient will not have any significant effect on the earnings per share or net assets per share of the FITTERS Group for the financial year ending 31 December 2013.
The Disposal of Solid Orient is not subject to the approval of the shareholders of FITTERS.
Save for Dato’ Wong Swee Yee, who is a Director and major shareholder of the Company and also a Director of Solid Orient and Future NRG, none of the Directors or persons connected to the Directors and/or major shareholders of FITTERS has any interest, direct or indirect, in the Disposal of Solid Orient.
The highest percentage ratio applicable to the Disposal of Solid Orient pursuant to Paragraph 10.02(g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad is 6.6%.
The letter from Inland Revenue Board for stamp duty exemption was received on 29 May 2013.

from my observation ..few days purposely press down below 0.80 n touches 0.78-079..as if one or two parties doing the job to control the price n accumulate stocks at this price with low n moderate volume..so next week i agree wit u ..fitters rises....gud luck
That doesn't sound good! So the price of fitters will go down when treasury shares are given! Eg if bought 10 shares at 81 sen, the giving of 1 treasury pice is a out 0.003% and then price of fitters will. Also drop! Am I right to think this way? Anyone can help advice me? Thankd
1 lot treasury shares distribution has no impact at all on the share price. Open market buying by the company shareholders is an ongoing process which will benefit investors in the long run for this company specifically compared to other listed companies. The company is getting more diversified now venturing into big property projects in Rawang. Assume current price 0.790 bought,ex dividend will be about 0.76 which is around the NTA.This is the reason why it is not breaking the 0.85 and onward to 0.95 as yet. The final support price will be 0.72 but hard to come by. After dividend payout,investors can expect more positive announcement which will enhance the share value. Current pullback is an opportunity buy call for those who missed the first spike up. This is a typical good investment in value stock with many scheduled activities on the card.
Ben, what activities fitters for lined up? They haven't been giving good dividends and it had been rm1 below share all this while. Can elaborate their activities, please? Also if they pay right pocket to left pocket .... Shareholders get nothing!
KUALA LUMPUR: Shares of Fitters Diversified rose to a high of 81 sen in early Tuesday following its venture into the renewable energy sector.
At 9.52am, Fitters rose 1.5 sen to 81 sen. There were 5.42 million shares traded at prices at prices ranging from 78.5 sen to 81 sen.
The FBM KLCI fell 5.37 points to 1,766.80. Turnover was 370.07 million shares valued at RM252.91mil. There were 195 gainers, 199 losers and 213 counters unchanged.
On Monday, Fitters announced it was venturing into the renewable energy sector by acquiring plantation land and assets for a total consideration of RM52mil.
dividend in the form of bonus issues are brilliant..one of the reason i like this stock is the superb management of its cash flow and its bright future outlook on renewable energy:) good on long term holding
Hopefully the company will reward shareholders with bonus when they merge their fire fighting entity and list under a New Company.
Meanwhile it's still pending valuation of the businesses of both side and expect more excitement towards the next financial year. Property and biomass are two areas of aggressive diversification which will boost the bottom line of the company.
