根据文告,成功置地子公司成功休闲(开曼群岛)(BLCL)与成功济州度假村(BJR)及投资者天鹅街伙伴(SSP)今日和济州自由国际城市发展中心(JDC)就2015年开始的诉讼签和解协议。

成功置地通过持有72.6%股权的BJR与JDC展开诉讼。JDC协议赔偿1250亿韩元(约4亿4388万令吉)予BLCL和SSP公司,作为BJR偿债土地用途,与拖欠主要承包商韩国浦项钢铁公司(POSCO)账款等。。

(Kuala Lumpur, 30th) Tan Sri Chen Zhiyuan controlled the Berjaya Land (BJLAND, 4219, Main Board Consumer Products and Services Group) of the Jeju Island Resort litigation and reached a settlement and received net compensation of 102 billion won.
According to the statement, the Berjaya Land Subsidiary Berjaya Leisure (Cayman Islands) (BLCL), Berjaya Jeju Resort (BJR) and Investor Swan Street Partners (SSP) today and the Jeju Free International City Development Center (JDC) litigation started in 2015 Sign a settlement agreement.
Successfully launched a lawsuit with JDC through BJR, which holds a 72.6% stake. The JDC agreement compensated 125 billion won (approximately 444.88 million ringgits) to BLCL and SSP companies for the use of BJR's debt-paying land and arrears of accounts with major contractor Korea Posco Steel Corporation (POSCO). .

Q1. Refer circular the building consumption tax of JPY1.79 billion and page (6) the estimated tax and expenses relating to the transaction: JPY 1.45992 billion. So the sale consideration being JPY (50.79-1.79) = 49 billion or JPY (50.79 – 1.46) = 49.33 billion?

Q2. What will be the actual gain on disposal versus estimated gain on disposal of JPY16.03 billion (equivalent to approximately RM649.41 million?
Refer Bjland quarterly report end 31th March 2020:The Group reported a pre-tax profit of RM232.68 million in the current quarter under review, mainly contributed by the higher share of profit from its associated company, namely Berjaya Kyoto Development (S) Pte Ltd group, ("BKyoto") amounting to approximately RM224 million. BKyoto reported a substantial gain arising from the disposal of the trust beneficial interest on the hotel component of the Four Seasons Hotel & Hotel Residences Kyoto, Japan.

Q3. With share of profit RM 224 million (for 50% equity) that work out gain on disposal of RM 448 million. Why so much different with estimate gain on disposal of RM 649.41 million in this circular?

Q4. To repay bank borrowing BCorporation Group* (excluding BLand and its subsidiaries (“BLand Group”)): JPY 30,068 million equivalents to RM 1,218 million: Of this amount how much were loans taken by KHHA and BCorp?

Q5. Is the sale consideration of JPY50.79 billion will be first use to repay loans taken by KHHA and the gain of disposal after payment of withholding tax for the dividends to be declared by KHHA to BCorporation and BLand at 50% equity interest each?

Q6. Will BOD of BCorp and BLand after receiving the gain of disposal in the form of dividend to be declared by KHHA, pay out some of this dividend received as dividend to BCorp and BLand shareholders?

Further to our announcement dated 24 March 2020, the Board of Directors of Berjaya Land Berhad (“BLand” or “Company”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has, vide its letter dated 22 June 2020, resolved to accept the minimum public shareholding spread of BLand of 20% (“20% PSS”) as in compliance with Paragraph 8.02(1) of the Main Market Listing Requirements of Bursa Securities. In this regard, BLand is required to comply with the 20% PSS by 23 September 2020.
Currently, the public shareholding spread of BLand stood at 13.295%, a shortfall of about 6.705%. The Company has yet to formulate any rectification plan to address the shortfall in the 20% PSS but will explore all possible options to meet the 20% PSS by 23 September 2020.

Q7: Bcorp hold 73.367% BLand and with TSVT direct/indirect interest holding of another 10+%. Will Bjcorp offer a VGO to make BLand a 100% wholly owned company of BCorp?

Don't have to repeat the obvious like an old record, all talk but no action. Anyway since Penta no longer has much shares left that's why no more unlimited selling. According to the rule of economics, when demand exceeds supply price will go up. That's why VT macais has been trying to divert people's attention to other shares or at least seen to be discouraging people to buy in order to lessen the demand, as it's expensive to sell at a discount to own people when there are leakages to others who are also interested.

* The are 15% free floating shares, out of which 8.7% are held by large funds like Macquarie Bank & Penta with balance of 6.3% held by retail?

* VT can delist/privatise by increasing his current 85% to 90% to activate delisting process with Bursa, but he can't forced acquisition of remaining shares from minority unless he can get 90% of remaining shares (90% X 15% = 13.5%).
* In other words VT needs 85% + 13.5% =98.5% before he can forcefully acquire the remaining shares (1.5%) to delist with 100% control.
* It's unlikely Penta & Macquarie Bank (with 8.7%) will accept anything less than 38 sens to sell, given the earlier Penta/BJCorp deal.
