3.The auditors have expressed adverse or disclaimer opinion on the listed company’s latest audited accounts; or
4. For any default in payment, the listed company must announce its inability to provide a solvency declaration through Practice Note 1/2001 or PN1; or
5. The listed company has suspended or ceased all or a major part of its operations.

If you ask for my opinion, I would think cancellation of main board transfer application is a right move, but this move would create a -ve impact. It will depend on how smrt mitigate the situation in next Monday conference, as for me , I think this -ve impact creates a chances for to collect cheap for long term investor who has faith in the company....

In a nutshell , nanyang is saying that:-

Both SMRT & MEGB will go on suspension mode next Monday and SMRT will hold a news conference for a crucial business activity's declaration.

Creador's Raphia proposed to bid for 32.9% of MEGB's stocks held by Siva Kumar last November. The existing 19.2% of MEGB stocks held by Creador's Raphia was transferred to Creador II 's Arenga Pinnata. If an additional 32.9% MEGB stocks were to be bought over by both Creador & SMRT , the total MEGB shares held by SMRT/Creador would sum up to 52.16%, which would exceed the 33% threshold for enforcement of 100% take over and resulted in delisting of MEGB.
With regards to this, SMRT/Creador had earlier agreed upon for SMRT to hold not more that 23% of MEGB's shares for MEGB to be remained listed.

I hope above translation is as close as possible....

Further drops of stock price will be a great chances for collection but I will seek more clarity from the news conference to decide on next course of actions....

Acquisition deal is on and main board transfer is deferred so that the management could concentrate on integration of both company.. hence I believe it is a good move to the company in the long run.... however, I do hope there is some good surprises in the news conference.

@30, the market is bleeding , nobody know when is it going to bottom out.
If you'd like to buy some cheap stock, buy stock that has a good track record in paying out good dividend. In case market bleeds further and you are trapped, you will still enjoy the dividend while waiting for the market to recover......

The record of the company is not impressive at all if you minus the last couple of years performance when the chuach family was in charge.. now he is out ( I was not very sure how much stock he has dump during the last up trend ) .... The Fang family who took over are the original owner who operated the company until it almost at the verge of bankruptcy ........

A lot of property counters is cheap now, why would you want to put more money into the very same company to expose yourself to a higher risk ? Well, unless you have a specific compelling reason to do so, if so, would you mind sharing then ?
If none, then there are a lot better counter out there that are cheap as well.

For this case if ppl sell on news , I will buy on news instead.....

If you plan to invest in this counter , do not expect it to leap and bound. SMRT will need time to grow the revenues....

I hope the deal is on...

smrt has just successfully getting the main board transfer approval so he has to be prepared to grown up as a big boys... so the acquisition of megb will strengthen his presence in the edu space . Big fund managers will only be interested in SMRT if he show fund managers a lot of beef in the revenues and earnings.....

I think the deal is on, the latest new of acquisition of two wholly-owned new set up subsidiaries could be the investment arm for acquisition of stake in megb.....

This is purely speculation.... to be confirmed
