MSPORTS - SUSPENSION OF TRADING
We refer to MSPORTS' announcement dated 22 October 2019 where the Company announced that it is unable to submit its Anual Report including its Annual Audited Accont for financial year ended 30 June 2019 (“AR 2019") to Bursa Malaysia Securities Berhad ("Bursa Securities") for public release within the stipulated time frame i.e. 31 October 2019 pursuant to Paragraph 9.23(1) of Bursa Securities' Main Market Listing Requirements ("LR").
Pursuant to Paragraph 9.28(5) of the LR, if a listed issuer fails to issue the outstanding financial statements within 5 market days after the expiry of the relevant timeframes stated in Paragraph 9.22 and 9.23 of the LR ("Relevant Timeframes") (the last day of the 5 market days is referred to as "Suspension Deadline"), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend the trading in the securities of such listed issuer. The suspension shall be effected on the next market day after the Suspension Deadline.
In view of the above, the trading in the above Company's share will be suspended with effect from 9.00 am, Friday, 8 November 2019 until further notice.
Pursuant to Paragraph 9.28(6) of the LR, if a listed issuer fails to issue the outstanding financial statements within 6 months from the expiry of the relevant time frames, in addition to any enforcement action that Bursa Securities may take; de-listing procedures shall be commenced against such listed issuer.

We refer to Bursa Securities letter dated 31 October 2019, below is our reply to the questions raised;
Q1: The date on which the Official Receiver was appointed
Answer – The Official Receiver / Interim Liquidator was appointed on 15.10.2019.
Q2: The Status of the Board of Directors of Sumatec after the Winding-Up Order and the appointment of the Official Receiver
Answer – The Board of Directors have lost control of the Company and the Official Receiver has been appointed. However, as far as we have been informed the Official Receiver has not yet received the Winding-Up Order.
Q3: Status of the application to proceed with the hearing of the Notice of Motion of Stay of the winding-up order.
Answer – The Notice of Motion of Stay has been fixed for case management on 22.11.2019. The Company’s solicitors will make the necessary application for the sanction to the Official Receiver in order to proceed with the hearing of the Notice of Motion.

Pursuant to the hearing fixed on 15 October 2019 before Yang Arif Dato’ Abu Bakar bin Jais, the Company wishes to announce as follows:-
(a) Sumatec has filed a fresh application for a stay of proceedings pending disposal of Notice of Motion for Stay at the Court of Appeal (Enclosure 114). However the said application is dismissed with no order as to costs;
(b) The Court has granted a Winding Up Order against Sumatec in respect to Winding Up Petition (Enclosure 1) with costs of RM5,000.00 to be paid to the Petitioners and costs of RM2,500.00 to be paid to Continental Industrial Supplies and Services Ltd LLP (CISS) as a supporting creditor.
(c) Prior (b) of the Winding Up Petition which deals with the appointment of a private liquidator is fixed for case management together with Reach mont Logistic Sdn Bhd’s application to appoint their choice of liquidator on 6.11.2019.
(d) Sumatec’s application to discharge the Provisional Liquidator (Enclosure 55) is struck out with no order as to costs.
As such, the Company has instructed its solicitors to appeal against the decision of the High Court in respect of the Winding Up Order to the Court of Appeal.
In regard to the Notice of Motion of Stay filed at the Court of Appeal in respect of the Judgment of the Court of Appeal dated 16.4.2018, the Company’s solicitors will make the necessary application for the sanction to the Official Receiver in order to proceed with the hearing of the Notice of Motion.

We refer to your queries dated 10 October 2019 concerning the above matter.
1.The financial and operational impact of the Suspension and Termination on Sumatec group.
Financial Impact are estimated to be as follows:-
a) Termination of JIA will directly cause the expiration of substantial investment and forfeiture of deposit of Sumatec on the Rakushechnoye oil and gas field as follows:
The value of working interest at RM272.326 million,
Exploration and Development cost at RM201.263 million and
Performance Deposit at RM127.1 million
Total : RM600.69 million
b) The total loss which includes remedied estimates arising from COG’s complaints are estimated to be RM161million.
Operational Impact:
i) Forfeiture of the development and extraction right of hydrocarbons in the Rakushechnoye oil and gas field.
ii) It can lead to termination of the services and consultancy activities on gas development and production planning and implementation.
2. The expected losses arising from the Suspension and Termination.
Reply: A conservative estimate of RM761.69 million losses
We remain in contact with COG and MELL to seek their indulgence to give us more time and we believe our appeal to lift the suspension and termination notices can be given a positive results if we manage to resolve our current issues mainly caused by the legacy shipping debts, which should not have existed anymore since the last regularisation exercise of May 2013.
3. The steps taken or proposed to be taken by Sumatec in respect of the Suspension.
While seeking the indulgence of MELL/COG we also discussed various ways to carry on to work together. MELL/COG has been understanding and we have resolved to come out with the following plan:-
a) A fund raising exercise involving a rights issue to raise up to RM100 million; (Announced on 7 Oct 2019)
b) A settlement arrangement with the creditors of Sumatec group involving a settlement amount of RM0.15 in respect of every RM1.00 owed to the creditors. (Announced on 7 Oct 2019)
c) Proposal by the Company to participate in the Condensate Extraction Plant belonging to MELL. This is the positive part of the relationship and we are striving hard to remove the legal problem. (Announced on 30 Mar 2018)

The Court fixed the Encl. 55 and Encl. 1 for decision and Encl. 42 for case managment on 15.10.2019 at 3 p.m.
The Court dismissed the application for a stay of proceedings (Encl. 76) with costs of RM3,000 to be paid to MTB and RM2,500 to be paid to CISS. However, the Company may consider to file a fresh application for a stay if the ground to dismiss Encl. 76 is because no affidavit of service was filed.

Sumatec董事会(以下简称“董事会”)谨宣布,Sumatec的全资子公司Sumatec Oil and Gas LLP(以下简称“ SOG”)已于2019年10月7日收到CaspiOilGas LLP(“ COG”)的通知。终止于2019年10月17日生效的JIA和新合同(定义见下文)(“终止通知”)。

Description SUMATEC RESOURCES BERHAD (SUMATEC OR COMPANY) - NOTICE OF TERMINATION OF THE JOINT INVESTMENT AGREEMENT DATED 8 MARCH 2012 FOR THE DEVELOPMENT OF RAKUSHECHNOYE OIL AND GAS FIELD (JIA)
The Board of Directors of Sumatec (“Board”) wishes to announce that Sumatec Oil And Gas LLP (“SOG”), a wholly-owned subsidiary of Sumatec, had on 7 October 2019 received a notice from CaspiOilGas LLP (“COG”) terminating the JIA and Novation Agreement (as defined hereunder) effective 17 October 2019 (“Termination Notice”).
In the Termination Notice, COG has highlighted the constraints faced under the current financial and legal predicaments of Sumatec which impacted SOG’s ability to comply with its obligations to carry out appropriate investment/work programs and provide necessary funding for the Petroleum Operation under the JIA. COG has also requested SOG to revert on the following:
i) to confirm whether SOG would still be able to continue operating under the JIA;
ii) to provide assurance whether Sumatec would be able to regularize its financial position and set aside the winding up petition by its legacy shipping debts creditors (“Winding-Up Petitions”); and
iii) to provide appropriate remedy to resolve SOG’s deficiency under the JIA and offer credible plan on how to ensure the financing of Petroleum Operation at Rakushechnoye Field can continue smoothly in light of Sumatec’s existing PN17 status.
Notes:
1. On 8 March 2012, the Company entered into the joint investment agreement (“JIA”) with Markmore Energy (Labuan) Limited (“MELL”) and COG for the development and extraction of hydrocarbon in the Rakushechnoye Oil and Gas Field (“Oil Field”). The salient terms of the JIA include the following:
(i) Scope of works of the Company is to:
(a) carry out all operations related to the production of hydrocarbon (including liquid and gaseous hydrocarbons) (“Petroleum”) from the Oil Field (“Petroleum Operations”), for and on behalf of COG, to study, appraise, develop, and produce the relevant Petroleum reservoirs of the Oil Field.
(b) complete all operations to develop the Oil Field within the period from the date of the JIA up to 25 August 2025,
(c) provide all capital, machinery, equipment, technology, personnel and services necessary for carrying out Petroleum Operations;
(ii) The JIA shall come into force on the date of the JIA and shall expire on 25 August 2025 (subject to extension).
On 26 September 2017, the Company entered into a Novation Agreement with SOG, MELL and COG whereby the Company will transfers to SOG and SOG accepts and assumes all the rights, title, benefits, interest, obligations and liabilities of the Company under the JIA (“Novation Agreement”). The Company shall cease to be, and shall be substituted by SOG as, a party to the JIA. The transfer related to JIA include right and concessions, exploration and evaluation cost and non-current other receivables.
The Board after deliberation on the Termination Notice has resolved to seek the indulgence of COG from terminating the JIA and Novation Agreement as the Board is in the midst of finalising a plan to regularise the PN17 status and remedy the Winding-Up Petitions. The plan is expected to involve the following components:
(a) A fund raising exercise involving a rights issue to raise up to RM100 million;
(b) Proposed participation by the Company to build a gas processing facility for the processing of gas from the Oil Field; and
(c) A settlement arrangement with the creditors of Sumatec group involving a settlement amount of RM0.15 in respect of every RM1.00 owed to the creditors (“Settlement Amount”). In this respect, the Company will write to the plaintiffs for the Winding-Up Petitions to seek their agreement-in-principle for the Settlement Amount and for a stay in the legal proceedings.
The Company will make the necessary announcement on the details and further development of the above matters in accordance with the requirements under the Main Market Listing Requirements of Bursa Malaysia Securities Berhad in due course.

1.The financial and operational impact of the Suspension and Termination on Sumatec group.
Financial Impact are estimated to be as follows:-
a) Termination of JIA will directly cause the expiration of substantial investment and forfeiture of deposit of Sumatec on the Rakushechnoye oil and gas field as follows:
The value of working interest at RM272.326 million,
Exploration and Development cost at RM201.263 million and
Performance Deposit at RM127.1 million
Total : RM600.69 million
b) The total loss which includes remedied estimates arising from COG’s complaints are estimated to be RM161million.
Operational Impact:
i) Forfeiture of the development and extraction right of hydrocarbons in the Rakushechnoye oil and gas field.
ii) It can lead to termination of the services and consultancy activities on gas development and production planning and implementation.
2. The expected losses arising from the Suspension and Termination.
Reply: A conservative estimate of RM761.69 million losses
We remain in contact with COG and MELL to seek their indulgence to give us more time and we believe our appeal to lift the suspension and termination notices can be given a positive results if we manage to resolve our current issues mainly caused by the legacy shipping debts, which should not have existed anymore since the last regularisation exercise of May 2013.

(吉隆坡7日讯)PN17公司APFT(APFT,5194,主板消费股)去年2月1日至今年4月30日的财报,遭外部审计师Messrs PKF发出“无法表示意见”(disclaimer opinion)声明,质疑持续经营的能力。
这家飞行驾驶学院昨日向交易所报备,PKF指截至今年4月底,集团及公司现有负债已超出现有资产,各达1015万9991令吉及813万5499令吉;集团与公司的股东基金赤字分别为372万3146令吉,及282万3191令吉。

“这些情况表示存有重大的不确定因素,也不知道能否持续经营。”
外部审计师补充,APFT能否持续经营,将取决于重组计划的时机及可否顺利执行。
“在未能获取足够的审计说明,我们也无法厘清去年2月1日的账目起始余额(opening balance)的情况,包括当中一笔总值593万1308令吉的性质及类别。”
此外,APFT在2016年8月1日至去年1月31日,分别脱售数个子公司,不过PKF认为,这些子公司总计达2311万1427令吉的净负债,并未在有关财年内确认注销。
“有关净负债只在现财年才获得注销确认,并归类在脱售子公司所得及其他收入。因此,我们无法确认起始余额是否有错误陈述,而这将对财报、现金流及财务状况带来重大影响。”
外部审计师指补充:“基于以上种种,未能确认APFT有关财年的财报表现、现金流及财务状况是否需要作出调整。”
周五闭市时,APFT以1仙挂收,平盘,成交量206万5000股。

(吉隆坡7日讯)东南集团(SEACERA,7073,主板工业产品服务组)接获Soung私人有限公司律师发来的清盘申请,指控该公司积欠Soung公司1553万1106令吉。
该公司发文告指出,东南集团于6日接收Soung私人有限公司律师在2日发出的清盘呈请和5日的誓章核实请愿书。
该公司将委任律师咨询,并为清盘申请辩护。
文告指出,Soung将向东南集团追讨拖欠的1553万1106令吉租金、税务和损害赔偿金,要求公司基于1965年公司法结束营业,以及委托再也帕拉星甘为临时清盘人,还有费用等。
该公司指出,清盘呈请将对公司财务与营运没有影响,除非高庭发出清盘令。
文告显示,若清盘呈请里的诉求金额被允许,公司将在财报中进一步认列大约600万令吉的额外损失。

Malaysia warns new EU rules could hurt palm oil used in food
KUALA LUMPUR (Oct 22): Malaysia, the world's second largest producer and exporter of palm oil, warned on Tuesday against new European Union (EU) rules that could hurt demand for a commodity used in foods from snacks to chocolate spread, threatening a US$60-billion industry.
Palm oil is used in everything from lipstick to biofuels, but its role as a cheaper cooking medium ensures that food accounts for nearly 70% of global consumption of an edible oil whose cultivation is blamed for stripping tropical rainforest.
The EU is looking at new limits on food contaminants in refined fats and oils, including palm oil, said Teresa Kok, Malaysia's minister in charge of the agricultural mainstay.
"Our industry must be ready to anticipate any challenges to these trade impediments and most importantly address the issues, especially on food safety," Kok told a conference on palm oil supply and demand outlook near the capital, Kula Lumpur.
The EU has imposed a limit for glycidyl esters and will soon impose a limit for 3-MCPD esters "that may have an impact on palm oil consumption in food products", Kok said, referring to the contaminants.
The European Food Safety Authority has said the two contaminants raise potential health concerns. A European Commission working group has also discussed setting maximum levels for 3-MCPD esters in food ingredients.
Environmentalists have attacked palm oil over the vast areas of forest they say have been cleared to grow the commodity that is consumed by billions of people.
Kok reiterated that Indonesia and Malaysia — the top two producers of palm — would challenge at the World Trade Organisation another EU law limiting its use in biofuels.
The grouping this year set a 2030 target to phase out palm-based transport fuels from its consumption of renewables after concluding that plam cultivation led to excessive deforestation.
"(This) will continue to cast a bearish sentiment in the international palm oil market because of the negative publicity on palm oil and prices will be affected negatively," Kok added.
Last year, Malaysia launched a worldwide public relations and lobbying effort to protect the reputation of its key export, particularly in Europe.
Malaysia would continue to tackle false accusations from foreign campaigns against palm, Kok said, stressing the need to monitor the operations of non-government organisations and keep them from tarnishing the industry's image.
