To price the private placement at 10 sen (illustratively)....hmmm.....akin to slapping down the promised value of the company? The 10m deal is meant to alleviate and not 'delleviate' the company, right? hehehe...

It depends on how much you believe their story..
ASAP, for a fact, was once a similar beautiful story promising success that enticed shareholders to pay over 20x above its accounting books. For the significant amount paid for, the profit guarantee remain questionable.

And the Angkasa story, does it sound familiar to the once upon a time ASAP story promising success, target the company to achieve certain milestones? The financial pipeline do not seem to add up when attested against the management earlier representations.

No catalyst at sight, my friend.

The proposed increased stake of 10% at a price tag of 10m....I don't think they can afford to do that with the existing cash position (so internally generated funds is remote unless...shareholders begin to exercise their rights at 17 sen/share but again the current share price is **cough cough**) and this leaves them with corporate proposal, eh..private placement of shares? Profit guarantee not met to-date.....the Orion folks up there gotta work harder. hahaha.

The overall market sentiment is apprehensive. Their recent quarter it is not exactly good (to be honest). The (verbal?) profit guarantees set out in the ASAP deal is barely at sight at this juncture (another bogey?), with a contingent legal exposure of some 45m spilled over from ASAP though the sellers of ASAP "agreed" (how? verbal again? no one knows) to fully indemnify Orion IXL against all claims, actions, damages, losses, liabilities, costs and expenses.

How to incentivise the price movement? :)

I wonder how they are going to deliver the yearly 7.5m profit guarantee over the next couple of years, with the sort of revenue they are reporting to-date. Interesting to watch, moving forward.

They had just reported a profit of slight over 1m, out of which 70% are mainly due to write-back of provisions and the balance 30% are operating profits. The 7.5m profit guarantee from the ASAP acquisition doesnt seem to surface or is it due to what they attribute as project delivery delay?

well...is supposedly to be doing better with the profit guarantee of 7.5m each year over the next 2 years. How good is the management...hmmm....nothing to look at for now to comment. Hopefully, it is not a situation when the shareholders cough out 53m (assuming profit guarantees not met) for an ASAP that is not worth the price tag.

Keep your fingers crossed. Hopefully the management didn't oversell the company in their recent story lines.

If one explore the terms of ASAP purchase, in the event the profit guarantee is not achieved, there is a 15m returnable from prior owners of ASAP to Orion, supposedly. (http://www.theedgemarkets.com/article/orion-ixl-expects-return-profitability-2018) 73m less the 15m gives you a 58m price tag for ASAP assuming the profit guarantee is not in place. Can ASAP deliver? Time will tell. The management is (supposedly) responsible for its investments in ASAP...yes...supposedly...again...time will tell.
