With reference to the letter from Bursa Malaysia Securities Berhad ("Bursa Securities") dated 24
August 2016 in relation to an unusual market activity due to the sharp fall in price of Company's
shares recently, the Company would like to confirm that to the best of its knowledge and after
making due enquiries with the board of directors and major shareholders of the Company seeking the cause of the subject matter of the query, the Company is not aware of any of the following that may have contributed to the unusual market activity:
1. Any corporate development relating to the M3Tech Group's business and affairs that has not
been previously announced that may account for the unusual market activity including those
in the stage of negotiation/discussion, save and except for the following:

Implementation of the proposed renounceable rights issue of new ordinary shares
of RM0.10 each in M3Tech (“M3Tech Shares”) (“Rights Shares”) together with free
detachable warrants (“Warrants”) at an issue price of RM0.10 per Rights Share on
the basis of four (4) Rights Shares together with three (3) Warrants for every two (2)
existing M3Tech Shares (“Rights Issue with Warrants”), the announcements of which
have been previously made to Bursa Securities on 16 April 2015, 15 June 2015, 16
June 2015, 3 July 2015, 17 September 2015, 8 October 2015, 18 January 2016, 20
January 2016, 17 June 2016, 23 June 2016, 12 July 2016, 26 July 2016 and 18 August
2016. An additional 389,525,880 new ordinary shares of RM0.10 each issued pursuant to
the Rights Issue with Warrants were granted listing and quotation with effect from
9.00 a.m., Thursday, 25 August 2016; and A total 292,144,409 Warrants issued pursuant to the Rights Issue with Warrants were admitted to the Official List of Bursa Securities and the listing and quotation of the Warrants on the ACE Market were granted with effect from 9.00 a.m., Thursday, 25 August 2016.
Announcement made on 24 August 2016 in relation to a press release dated 24 August 2016 entitled "M3TECH unveils future roadmap - i3TeamWorks".
2. Any rumour or report concerning the business and affairs of the Group that may account for
the unusual market activity; and
3. Any other possible explanation to account for the trading activity.
The Company is in compliance with, and will make the necessary announcement to Bursa Securities of any material information in compliance with, Rule 9.03 of Bursa Securities ACE Market Listing Requirements.
