丹斯里李深静是在六月十二日第一次出手，通过私人投资工具MORISEM於公开市场买进49,000股谢氏机构SBCCORP股票。

之後MORISEM数度加码，截至八月廿七日，MORISEM已持有1174万股或 5%谢氏机构股票，成为第二大股东。

谢氏机构最大股东仍是创办人家族谢家，董事经理兼CEO谢忠兴和弟弟执行董事谢忠良合持有32%。


市场感到兴趣的是，李深静，陈华春，游国安和MEER等人，是基於什麽理由看中谢氏机构？


陳華春

要知道，谢氏机构过去四年业绩是每况愈下，二零一四年净利为3330万令吉，二零一五年跌至1770万令吉，二零一六年则跌至1340万令吉。

二零一七年它更转盈为亏，蒙受304万令吉净亏损。

二零一八财政年它转亏为盈，录得210万令吉净利。

谢氏机构是老牌建筑商，它由谢贵茂创办，现在由第二代人打理，它在吉隆坡有两项发展计划，是DEX KIARA EAST公寓和吉隆坡怡保路的CANTONMENT EXCHANGE，目前已完工交货。

它在沙巴亚庇的爵士顿码头（JESSELTON QUAY）则一直拖延，计划迟迟不能落实。

对於这样一家公司，为什麽李深静为买进呢？IOI集团受询时表示，MORISEM是IOI集团属下的投资臂膀，投资的都不是核心业务。

「MORISEM早在二零一四年就有买进SBCCORP的股票，仅作为投资用途。」

SBCCORP一名小股东就认为，李深静等一众名人突然成为三十大股东之一，必然是看到背後的一些事实。

「我相信他们看到一些价值，所以才会进股，希望我看到的价值是和他们看到的一样。」

特别是陈华春，他一对子女持股已超过5%，但是两人分开持股，避开5%条例，买卖不必向交易所呈报，想必陈华春是意有所图。

陈华春在二零零九年时曾出其不意收购吴万发控股（GHB），他是一个行事低调，但动作快速的企业家，他会不会突然成为谢氏机构的控制人呢？

陈华春手上控制的小资本上市公司包括了马可控股（MARCO 3514），嘉沙基达（JASKITA 8648），飞达电线（FCW 2755），GPA控股（GPA 7096），电脑纸（CFM 8044）和JKG置地(JKGLAND 6769 )。

在二零一四年至一五年期间，卖出3家上市公司，即爱美家(MAICA)賣给发展商戴良业，目前改名为征阳产业（SUNSURIA），大众控股(PDZ)则卖给玛拉投资机构，吳萬發控股(GBH)賣給新山酒店大亨丹斯里陳英文，現改名為百麗環球（PGLOBE 3611)。

谢氏机构会引起多名闻人的兴趣，相信和它在沙巴联营的爵士顿码头计划有关，它和另一上市公司曙光资本（SURIA 6521）联营16.25英亩土地，该计划发展总值为18亿令吉。

由於地契分割问题，这项计划一直拖延，直到二零一六年九月，地契分割完成，计划重新启动，谢氏机构未来盈利将靠这项计划贡献。

但是市值仅有1亿1600万令吉的谢氏机构，要发展18亿令吉计划，会否需要引进更多有力资金呢？

爵士顿码头（JESSELTON QUAY）被视为是可吸引更多买家的大型计划，其面海地理位置是大卖点。

从李深静到陈华春等人，是不是为了这块肥肉而来呢？RM0.495的谢氏机构，未来股价会不会因为这批名人而有更好表现呢？一切还有待证明，让我们拭目以待。

After announcement of new substantial shareholder dated 7 September 2018
Volume have been building up..................

From 8 September to now 155m totalling 27% of paid up shares have been changed hand,
it is believable that proxy fight will be happen to remove the board of directors.

Dato are very worry and have been aggressively buying Tiger at 10 cents from ACP as he is fully aware change will happen.

New shareholders will appear in the coming shareholders list in 2018 annual report to be release on 1 NOVENBER, ......

Proxy fight is the method to takeover a company by the way of buying more than 10% shares, hold EGM and convinces shareholders to vote out the current board and replace the approving board. However although it is popular in UK, USA, but never happen here.

A lot of good analyst like CALVIN TAN, LOGIC TRADING ANALYSIS, TAN K W, EQUITY DAIRY,CP TEH etc etc should team up their followers, instead of waiting and waiting and waiting the current board to declare, to change, to hope something benefit to the minority shareholders, they should do a step ahead by accumulate the proxy enough to pressure and even to remove the board to realign their business.

Please bear in mind a lot of listed company in BURSA, the controlling stake are very loose like 11% control in Tiger currently.

Utterly rubbish! Despite of recording two consecutive of much improved profits, the share price is over hanged with the 10% private placement placed at 0.46 piece back in December. The placee must be very frustrated.

Loss making, price drop. Profit making, price also drop. The only thing for sure are management and bod assets increase. That's is the norm. Est coming few quarters results will drop yoy as the past few quarters results were too good.

I understand the jesselton quay project is expected to be completed within the year.

CityPads (the apartment or condo? not so sure what's its called) all sold except 2 units. All commercial units for Airbnb I think. (Let's hope that once its completed tourism back on track) I forgot how many units, 149x2 perhaps??

The GalleryShoppes are for lease only. Once economy back on track next year, maybe co. can bag some income....

Something is brewing in SBC judging from the market price being spiked up recently.
I believed insiders are slowly accumulating SBC shares. Very likely, along with the coming
QR, we will know what is going on and the reasons for SBC share price movement.
